Subiect:
Adopt Resolution No. 2020-81 supporting the mural-based architectural treatment and
associated funding, and approve and authorize execution of a Memorandum of Understanding
(MOU) between the City of Huntington Beach and AES Southland Development, LLC
Statement of Issue:
In 2016, the City Council approved Resolution No. 2016-27, "A Resolution of the City Council of the
City of Huntington Beach Supporting Proposed Architectural Improvements as Modified and
Approximate 150-Foot-High Structures Related to the Reconstruction of the Huntington Beach
Energy Project," which, in part, provided that construction of the project would include architectural
enhancements to soften the view of the new structures, including the use of an architectural screen
wall design to preserve and enhance public visual resources as required in the Coastal Zone overlay.
AES Southland Development, LLC (AES) is proposing to change the architectural enhancements
from the previously approved ball-wall structure to a mural. AES is requesting that the City adopt the
attached resolution indicating support for the change as well as approve a Memorandum of
Understanding (MOU) that would provide a mechanism for the company to provide $4,900,000 to the
City to pursue additional community benefits.
Financial Impact:
There is a positive fiscal impact to the General Fund in an amount of $4,900,000.
Recommended Action:
A) Adopt Resolution No. 2020-81, "A Resolution of the City Council of the City of Huntington Beach
Supporting the Mural-Based Architectural Treatment and Capital Improvement Projects and
Programs Related to the Newly Constructed Huntington Beach Energy Project" (Attachment 1); and,
B) Approve the "Memorandum of Understanding AES Southland Development, LLC and City of
Huntington Beach" (Attachment 2) and authorize and direct the City Manager to execute the MOU on
behalf of the City.

Analysis:
AES has begun operation of the new Huntington Beach Energy Project (HBEP), a natural gas-fired,
combined cycle air-cooled 644-megawatt electrical generation facility, which shall serve as a
replacement for the AES Huntington Beach Generating Station (HBGS). The City previously adopted
Resolution No. 2016-27, "A Resolution of the City Council of the City of Huntington Beach Supporting
Proposed Architectural Improvements as Modified and Approximate 150-Foot-High Structures
Related to the Reconstruction of the Huntington Beach Energy Project," which, in part, provided that
construction of the HBEP would include architectural enhancements to soften the view of the new
HBEP structures, including the use of an architectural screen wall design to preserve and enhance
public visual resources as required in the Coastal Zone overlay. The screen wall design was
commonly referenced as the "ball wall."
Due to certain concerns related to timing, scale, and potential noise impacts associated with the
previously approved ball wall, AES desired to explore alternative architectural enhancements,
primarily a mural, to improve the aesthetics of the newly constructed plant.
Following an extensive public outreach effort by AES to the local community, much of the local
community supports the development of a mural-based surface treatment by renowned Southern
California artist, Kim West, as an alternative to the previously-approved architectural screen. The
mural highlights imagery depicting the natural environment, local fauna and flora, and regional
features, all intended to highlight nature and the unique Huntington Beach experience.
In support of the mural-based aesthetic design, AES submitted a Design Review Planning Application
to the City seeking input from the Design Review Board (DRB). The DRB discussed the proposal at
their regularly scheduled meeting on October 8, 2020, and supported the alternative mural concept.
The California Energy Commission (CEC) is the permitting agency for the AES project and, therefore,
AES is requesting that the City Council consider adopting an Advisory Resolution from the City
recommending approval by the California Energy Commission ("CEC") for the mural at the HBEP.
In consideration of the City issuing an Advisory Resolution recommending approval of the mural, AES
agrees to fund, in an amount not to exceed $4,900,000, certain Capital Improvement Projects (CIPs)
and Programs for the City as set forth in the attached MOU.
Environmental Status:
The action to adopt an advisory resolution in support of the mural constitutes an administrative
activity by the City Council that will not result in a direct or indirect physical change in the
environment. As such, the adoption of the resolution is not a project as defined by Section 15378(b)
(5) of the CEQA guidelines and no further environmental analysis is required.
Approving the MOU is exempt in accordance with Section 15061(b)(3) of the CEQA Guidelines as
the MOU will not cause a significant effect on the environment. Future projects funded with the

monies provided by AES for community benefits will be analyzed once sufficient detail is available to
define project descriptions and the appropriate level of environmental analysis will be conducted.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF HUNTINGTON BEACH
SUPPORTING THE MURAL-BASED ARCHITECTURAL TREATMENT AND
CAPITAL IMPROVEMENT PROJECTS AND PROGRAMS RELATED TO THE
NEWLY CONSTRUCTED HUNTINGTON BEACH ENERGY PROJECT
WHEREAS, AES Southland Development, LLC ("AES") has begun operation of the
new Huntington Beach Energy Project ("HBEP"), a natural gas-fired, combined cycle air-cooled
644-megawatt electrical generation facility, which shall serve as a replacement for the AES
Huntington Beach Generating Station("HBGS"); and
WHEREAS, the City has previously adopted Resolution No. 2016-27, "A Resolution of
the City Council of the City of Huntington Beach Supporting Proposed Architectural
Improvements as Modified and Approximate 150-Foot-High Structures Related to the
Reconstruction of the Huntington Beach Energy Project," which in part provided that
construction of the HBEP would include architectural enhancements to soften the view of the
new HBEP structures, including the use of an architectural screen wall design to preserve and
enhance public visual resources as required in the Coastal Zone overlay; and
WHEREAS, following an extensive public outreach effort by AES to the local
community, the local community supported the development of a mural-based surface treatment
by renowned Southern California artist, Kim West as an alternative to the previously approved
architectural screen. The mural highlights imagery depicting the natural environment, local
fauna and flora and regional features, all intended to highlight nature and the unique Huntington
Beach experience; and
WHEREAS, the Kim West mural based design project will result in the elimination of
one tall structure, the 150-foot tall spherical ball wall, and will have no other changes to the
heights of the structures addressed by Resolution No. 2016-27; and
WHEREAS, on September 14, 2020, in support of the mural-based aesthetic design,
AES submitted a Design Review Planning Application to the City seeking an Advisory
Resolution from the City recommending approval by the California Energy Commission
("CEC") for the Kim West mural at the HBEP; and
WHEREAS, the CEC has permitting authority for the HBEP, and will consider
resolutions issued by the City regarding the Kim West mural based design project's compliance
with local laws, ordinances, regulations, and standards ("LORS"); and
WHEREAS, by regulation,the comments and recommendations made by the City
relating to matters within the City's jurisdiction, but for the CEC's exclusive jurisdiction over
power plant siting, "shall be given due deference by Commission staff' (20 CCR §1744(e); and
WHEREAS, on October 8, 2020,the Design Review Board recommended support of the
Kim West mural based design project to the City Council; and

WHEREAS, AES and the City of Huntington Beach will enter into that certain
Memorandum of Understanding ("MOU")to memorialize the agreement of AES to fund certain
identified Capital Improvement Projects and Programs, as identified in the Memorandum of
Understanding attached as Exhibit A and incorporated herein by reference, which will provide
the City with both the funding and the discretion to proceed with the identified Capital
Improvement Projects and Programs that will benefit the City and its residents; and
WHEREAS, by this Resolution, the City Council is making a recommendation that the
CEC incorporate the Kim West mural based design(received and dated September 14, 2020 and
subsequently revised on October 26, 2020 to depict painted louvers on the lower part of the Air
Cooled Condenser unit) into the project approvals for the new Huntington Beach Energy Project,
and is making findings that the AES proposal for a painted mural and potentially an additional
approximately 10 foot high wall to fill in the "gap"to west of the sound wall, is not detrimental
to visual resources and is consistent with applicable LORS.
NOW, THEREFORE,the City Council of Huntington Beach does hereby resolve as
follows:
SECTION 1. The City of Huntington Beach reaffirms its conclusions in Resolution No.
2016-27 that the height variance that could have been granted to Huntington Beach Energy
Project was properly considered and the potential variance findings remain valid with the
proposed Kim West mural based design. Specifically, the City of Huntington Beach affirms in
this Advisory Resolution that the removal of the 150 foot tall spherical ball wall does not change
the City's conclusions with respect to the HBEP, and the City finds the Kim West mural based
design is consistent with Resolution No. 2016-27.
SECTION 2. By this Advisory Resolution,the City of Huntington Beach finds that the
Kim West mural based design will have less than significant potential environmental and esthetic
impacts from Magnolia Avenue (CEC Key Observation Point 4) and all other KOPs identified by
the CEC.
SECTION 3. By this Advisory Resolution, the City of Huntington Beach further finds
that the Kim West mural based design is consistent with all applicable laws, ordinances,
regulations and standards, including but not limited to all city ordinances, regulations, and
standards.
SECTION 4. By this Advisory Resolution,the City of Huntington Beach further finds that
the MOU to be entered into between the City and AES,which memorializes the agreement of AES
to fund certain identified Capital Improvement Projects and Programs,as further defined in Exhibit
A, will provide the City with funding and the discretion to proceed with certain additional Capital
Improvement Projects and Programs that will further benefit the City and its residents.
SECTION 5. By this Advisory Resolution, the City of Huntington Beach City Council
recommends that the CEC approve the Kim West mural based design project for the Huntington
Beach Energy Project as requested by AES.

CITY OF HUNTINGTON BEACH
This MEMORANDUM OF UNDERSTANDING ("MOU") is entered into this 3rd day of
November, 2020 by and between the City of Huntington Beach, a municipal corporation ("City")
and AES Southland Development, LLC, A California limited liability company ("AES") pursuant to
Resolution No. 2020-81 of the City Council of the City of Huntington Beach and AES' Design
Review Planning Application dated September 14th, 2020, with reference to the following facts:
RECITALS
WHEREAS, AES has begun operation of the new Huntington Beach Energy Project
("HBEP"), a natural gas-fired, combined cycle air-cooled 644-megawatt electrical generation
facility, which shall serve as a replacement for the AES Huntington Beach Generating Station
("HBGS"); and
WHEREAS, the City has previously adopted Resolution No. 2016-27, "A Resolution of the
City Council of the City of Huntington Beach Supporting Proposed Architectural Improvements as
Modified and Approximate 150-Foot-High Structures Related to the Reconstruction of the

Capital Improvement Projects ("CIPs") and Programs for the City as set forth in this MOU.

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the Parties hereto agree as follows:
1. Purpose and Implementation
The purpose of this MOU is to memorialize (a) the agreement of AES to fund the CIPs and
Programs as set forth in Section 2 of this MOU; and (b) the City's issuance of an Advisory
Resolution from the City recommending approval by the California Energy Commission ("CEC")
for the mural-based aesthetic design at the HBEP.
2. AES' Performance
A. Fundinq for CIPs and Programs. Consistent with the requirements of Section 3
below, AES shall submit the payment of Four Million, Nine Hundred Thousand
Dollars ($4,900,000) to the General Fund of the City of Huntington Beach, which
funds shall be allocated by the City for the following CIPs and Programs:
a) Neighborhood Mitigation Program
b) Homeless Response Program
c) Southeast Neighborhood Improvements
d) Downtown Connectivity Project
Economic Development
The City Council shall have the discretion to allocate an amount not to exceed
$4,900,000 between the various CIPs and Programs at it sole discretion.
B. Compliance with the Advisory Resolution. AES shall comply with the provisions
of the Advisory Resolution from the City recommending approval by the
California Energy Commission ("CEC") for the mural-based aesthetic design at
the HBEP unless such provisions are in conflict with or preempted by the CEC's
Certification.
3. The City's Performance
A. Issuance of the Advisory Resolution. AES shall submit payment in the amount of
$4,900,000 for the funding of the CIPs and Programs as set forth in Section 2(A)
above within thirty (30) days of the completion of all the following conditions: (a)
execution of this MOU by the Parties; (b) receipt of the Advisory Resolution from
the City recommending approval by the CEC for the mural-based aesthetic
design at the HBEP; and (c) the CEC's approval of the AES petition to amend the
CEC's Certification being final and no longer subject to administrative appeals or
judicial review.
B. Use of Funds. The City shall use the funding provided by AES as set forth in
Section 2(A) above exclusively for the listed CIPs and Programs; provided,
however that in the event the allocated costs exceed the actual costs of the listed
CIPs and Programs, the City may retain the excess payment exclusively for other
CIPs designated by the City for construction. In no event shall AES be required
to pay more than the Sum Total of$4,900,000.00 as set forth in Section 2(A)
above.

4. Term and Renegotiation
A. Term and Expiration. The term of this MOU shall be for two (2) years commencing
upon execution of the MOU by the Parties. All provisions of this MOU shall expire
on the termination date unless extended by mutual agreement in writing.
B. Renegotiation. In the event either party desires to negotiate the provision of a
successor MOU, that party shall serve upon the other its written request to
commence negotiations. Negotiations shall begin no later than thirty(30)days from
date of receipt of notice unless extended by mutual agreement between the
Parties.
C. No Assignment. Neither AES nor its subsidiaries or affiliates shall assign or
transfer any interest in this MOU or the performance of any obligation hereunder
without the prior written consent of the City, and any attempt to so assign this MOU
or any rights, duties or obligations arising hereunder shall be void and of no effect.
This section shall not apply to assignments between AES and any of its
subsidiaries and affiliates under common control or a successor-in-interest by
merger, consolidation or reorganization.
5. Indemnification
A. No Liability to Third Parties. Nothing in this MOU shall be deemed to create rights
or obligations in third parties not signatories to this MOU except as specifically
stated herein.
B. AES shall defend, indemnify and hold harmless the City, its council, commissions,
officials, agents and employees from or against any and all liability, loss expense
(including reasonable attorneys' fees) or claims for injury or damage arising out of
the performance of this MOU, but only in proportion to and to the extent such
liability, loss, expense, attorneys' fees, or claims for injury or damages are caused
by or the result of the negligent or intentional acts or omissions of AES.
6. Private Undertaking
It is specifically understood and agreed by and between the Parties that the Project is exclusively
undertaken as private development. No partnership, joint venture or other association of any kind
between AES and the City is formed by this MOU.
7. Governing Law
This MOU shall be governed by the laws of the state of California.
8. Modifications
Any modification of or amendment to this MOU will be effective only if in writing signed by the
Parties.

this Advisory Resolution that the removal of the'150 foot tall spherical ball wall does not change
the City's conclusions with respect to the HBEP, and the City finds the Kim West mural based

neglected FAR TOO LONG. Our parks have been over run with vagrants, homeless and crime. Our neighborhoods are
infested with criminals. Our air is polluted with TWO Power Plants and our coastal view is permanently imposed upon,
with the new monstrosity of a power plant. Our community center is dilapidated and we have permanent wind barrier
preventing toxins from blowing into schools and neighborhoods. It's my understanding there are funds of$4.9 million
that were originally intended for improvements and beautification in the South East HB area. I strongly urge the council
members and city manager to consider the neighbors,the locals,the families, the businesses and the constituents in
South East HB when allocating these funds. We feel the funds should stay in South East HB and diverting them
elsewhere is neglect of your responsibilities. Please remember, your job is to represent ALL of Huntington Beach, not
just the tourists that visit Main Street and the hotels and restaurants. Promises have been broken for too long. It's time

My name is Jon Ely and I am a 36-year resident of Huntington Beach. I recently became aware that City staff had set up
a zoom meeting to discuss the placement of$4.9 million in "AES Public Benefit" funds. I watched the processing and
ultimate approval of the new AES plant in 2001 and was one of many concerned residents over the years that expressed
dismay over the visual and other impacts to our neighborhoods in Southeast HB ("SEHB"). While the plant was
eventually approved, commitments were made to someday use funds to enhance our area.
I have two complaints here. First is the procedural blunder that was setting up a meeting to discuss the placement of
those funds WITHOUT NOTICE to many in our SEHB neighborhoods. Where did the list of 97 invitees come from? A
third of them do not even appear to reside in HB. Further, solicitation of a survey of five options for these funds use
only given to these 97 invitees?? This is absolutely wrong. By the way, where did these five options come from?
Second, these "public benefit" funds were primarily meant to enhance our area of SEHB....I know because I attended
those hearings over the last 20 years. While we are now resigned to the fact that we have to look at that gigantic, ugly,
piece of industrial blight in our coastal community, at least there was the discussion of"perhaps there can be some help
with improving some things down there". Several ideas discussed at the many workshops and hearings ranged from
upgrading the Banning Library to undergrounding the old 1960s power lines that run the span of Banning
Avenue. NEVER were these funds intended to be used in other parts of the City such as "ways to connect Pacific City to
Downtown Main Street" or"provide grants to small businesses", etc...where did these come from and what does that
have to do with the AES plant and mitigating the impacts on SEHB?
Apparently the results of the semi-private survey on the five uses for these funds is being presented to you, our City
Council, next Monday November 2. Please recognize what these funds were for and direct them to other way to
enhance SEHB, a neighborhood that have been severely impacted by the benefactor of those funds. I urge you to table
any discussion of this survey and reconsider the process that was so poorly undertaken here.

On Nov 2, 2020 there is an item on the agenda, #20-1998, that should receive a "NO"vote for the following reasons:
1. AES is proposing a $4.9 Million package that does not address the residents of SEHB concerns. This area has been
adversely effected by the industrial area of Newland to Brookhurst/Adams to PCH for many years and little to nothing has
been done to address the problems there. Health problems are a high concern with toxic substances involved in the
primary parcels of ASCON, Tank Farm, AES, and now the threat of Poseidon. The residents have voiced their concerns
often with no results from the City of Huntington Beach or any other agency.
2. The plan proposed by AES has ignored the concerns of area residents and is favoring business interests in other
areas of the City. Equity demands that any money devoted to approval of this request be limited to the concerns of the
immediate community, and not to Downtown, or other areas of the City. The rush of this proposal through the City
procedure is contrary to the "common good" of ALL RESIDENTS, speaks to political corruption and outside interests and
must in good conscience to stopped.
3. The design of the "mitigation" of visual impact has been completely flawed and completely ignored. It will also set a
dangerous precedent for any and all other projects that are proposed. HB has already gone through a difficult period of a
previous "public art mural' on another privately owned building. We totally need some regulations to allow for public input
on such projects. There seems to be no such process within our City regulations even though we were assured that
was"in the works". The time is NOW.

I am writing to show support for the Police Management Association
request that they be included in the hiring of a new Police Chief. I have read
the letter that they sent to city council and city manager Chi and believe that
it is more important than ever that we have level-headed leadership providing
input to the future safety of our city. I am grateful that the PMA had the
courage to exercise their First Amendment rights to speak out as it is clear
that the safety of our city has never been so threatened.
I stand in support of their request to be involved in the future of their
department and their request to be involved in key decisions so they can plan
for the future of our Police Department. I think Kelly Rodriguez was the
perfect choice to be our acting Police Chief as she understood the challenges
we are facing today, needs zero "getting up to speed" with the dept., is
incredibly respected, and can handle the job of keeping law and order We all
KNOW there may be civil unrest in the weeks to come due to the election and
its results. Having Kelly Rodriquez back ( if possible) is what would be best for
our city. She should
of never been treated as anything less than a respected, strong and effective
leader period. I find the rumors of her being asked to step down if she didn't
follow orders to reprimand the PMA absolutely unacceptable. Those who
were privy to those decisions should have consequences, and or be asked to
be removed from whatever positions they hold. A female police office in HB
isn't the most common thing to see, and to treat the one we had so poorly is

shameful. It seems discriminatory and gives a negative impression to our
city.
Also, I would like to comment on the AES Public benefits monies and want to
know why we must decide on the placement of the funds today, when the
SEHB area was not properly notified of the city needing or wanting any
input. A zoom meeting was announced on the day of the meeting,
there were 97 emails on the meeting announcement list, many folks
who don't even live in SEHB, but have attended meetings in the past ( OC
Register, Pilot, to name a couple). No agenda was distributed stating
the need for community input on such a important matter such as
distributing 4.9 million dollars of public benefit funds. Many in SEHB
were not aware of any of this!! AES sends countless mailers notifying the
community of all sorts of things, why didn't anyone send a mailer about
something as wonderful as this?? 4.9 million dollars to be spent in the SEHB
area???? After seeing the presentation from Community Development I
understood why.... Sure looks like the money that SHOULD BE GOING TO
ONLY SEHB, has potential for going elsewhere in the city. This is maddening,
and unfair. As a resident who has to look at the big blue monster, listen to it,
wash away the dust and dirt from and breath its dangerous levels of pm 10
and pm2.5 from the plant, I expected the funds to stay only in
SEHB. Community Development person Ursula shared her vision for offering
the five ways the money can be used. 2 of these ways had to do with
Downtown and to Small Business in the city. She also included a survey,
which few folks from SEHB could participate in, then sent the survey to the
same people on the original email and no one else. That doesnt seem right???
Can anyone tell me how much money SEHB received when Pacific City was
built???? Thats right ZERO. NO WAY THE MONEY FROM AES SHOULD
GO ANYWHERE BUT RIGHT BACK INTO THE SEHB AREA, AND THIS
AREA ONLY.
Please remove the options ( from the survey) of any of that 4.9 million going
to Downtown or anywhere else. This isnt right. Also, the residents were not
given ample opportunity to weigh in. The same day zoom meeting, left
many out of the discussion, and if the city really wanted to ask the
residents they would mailed something them and had them respond
from that . There are countless residents who knew absolutely nothing about
that meeting, and those funds. Moving forward I would think that having the
most transparency as possible would be the best choice possible when it

comes to dispersing almost 5 million dollars. I am sure we can all agree on
that!
In closing, please consider only allowing the money from the AES plant to go
to the area that is has affected ( SEHB) as this is appropriate and what is
right to do. We don't need a survey to know this.

Honorable Mayor Carr and Distinguished HB Council Members:
AES our neighbor to the West has extended a grant for $4.9 Million Dollars to thank the SEHB
residents for their support and assistance in building the new AES Power Plant. Working
directly with Stephen O'Kane, AES Manger Sustainability and Regulatory Compliance, we
were able to solve problems before they became a major nuisance and a liability. We were able
to solve the 18 wheeler's utilizing Banning Street especially during the arrival and discharge of
students at Eader School who dart across Banning without incurring any injuries or
deaths. These problems were solved by the neighborhood without any help from any HB City
Departments or Officials.
In recognition of the sacrifice that SEHB endured without causing any major problems, AES
made a good faith gift of$4.9 Million Dollars to relieve any pain or suffering. We, the
residents, were never informed by an HB Government Official let alone any HB City Council
person that this gift of thanks was received. Now we find out that the $4.9 Million Dollar thank
you gift will now be dispersed by the HB City Council at your discretion. We were included in
2 of the 5 Prioritization of funding Questionnaire, but we find this has only window dressing as
to why the funds cannot be used exclusively in SEHB. We need a Banning Library upgrade
which is housed in the Newport West Tract Sales office since 1963; this was a Temporary
Building with the bare minimum of facilities that continues to serve SEHB, its children, school
students and the residents of SEHB.
Several questions
1. Why were no SEHB Stakeholders contacted and allowed into the meetings you had
2. Was this $4.9 Million Dollars to be used as a "slush fund"
3. Will there be an Accounting on how and where the $4.9 Million Dollars was spent
4. Will it be used to grant raises to various City employees
5. Will the funds be used to pay off"early retirement" program by City Manager Chi.

Subject: Council Agenda Item 20-1988 AES Capital Improvement Projects
Honorable Mayor Semeta and City Council Members,
I have lived in South East Huntington Beach (SEHB)for 47 years and have been involved with the many changes in my
neighborhood during this time.
Item#20-1988 on the agenda of the 11-2 City Council meeting proposes a number of options for AES capital
improvement funds. I urge you to table discussion of the CIPs recommended in Item #20-1988 until extensive
community outreach can be achieved.
In the memorandum of understanding submitted by AES regarding the expenditure of the $4.9M on CIPs,the 5 areas
identified are apparently the results of a semi-private survey. Unlike AES' extensive community outreach on the mural
and its design, the suggested CIPs were presented in a ZOOM presentation to 97 last minute invitees. The ZOOM
invitation was received the day of the meeting. Throughout the 20+year AES project, it was understood that
improvement funds would be used to enhance the neighborhood most affected—SEHB. The impact of living near two
power plants affects the air, water, noise, and aesthetics of SEHB. This money should go to the area of the city that
bears the most burden.
Please reach out to the residents of SEHB before you make any decision on the allocation of these funds.

I m glad AES is finally giving SE HB what they promised a long time ago. We have put up with traffic and
pollution. My ideas are Walking paths around wet lands , bike pedestrian bridge crossing pch and
mural .Coming from Newport Beach into HB is a embarrassment . Looks like a radiation vacation not surf city
