THE CITY OF HUNTINGTON BEACH AND
PSOMAS
FOR
PREPARATION OF A \MITIGATED NEGATIVE DECLARATION
FOR GISLER RESIDENTIAL
THIS AGREEMENT ("Agreement") is made and entered into by and between the
Cite of Huntington Beach, a municipal corporation of the State Of California. hereinafter
referred to as "CITY," and Psomas, a California Corporation hereinafter referred to as
"CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to prepare a
Mitigated Negative Declaration for the Gisler Residential project: and
Pursuant to documentation on file in the office of the City Clerk, the provisions of
the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of
professional service contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW. T I REFORE, it is agreed by CITY and CONSULTANT as follows:
I. SCOPE OF SERVICES
CONSULTANT shall provide all services as described in Exhibit "A,"
which is attached hereto and incorporated into this Agreement by this reference. These
services shall sometimes hereinafter be referred to as the "PROJECT."
CONSULTANT hereby designates Alia Hokuki who shall represent it and
be its sole contact and agent in all consultations with CITY during the performance of this
Agreement.

2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT
in the performance of this Agreement.
3. TERM; TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of CONSULTANT
are to commence on t�p�e4 1 , 2021 (the "Commencement Date"). This Agreement
shall autornatically terminate three (3) years from the Commencement Date, unless
extended or sooner terminated as provided herein. All tasks specified in Exhibit "A" shall
be completed no later than three Q) years from the Commencement Date. The time for
performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit
"A." This schedule may be amended to benefit the PROJECT if mutually agreed to in
writing by CITY and CONSULTANT.
In the event the Commencement Date precedes the Effective Date,
CONSULTANT shall be bound by all terms and conditions as provided herein.
4. COMPENSATION
In consideration of the performance of the services described herein. CITY
agrees to pay CONSULTANT on a time and materials basis at the rates specified in
Exhibit "ll," which is attached hereto and incorporated by reference into this Agreement,
a fee, including all costs and expenses. not to exceed Ninety Nine Thousand Eight
Hundred Seventy Seven Dollars ($99,877).
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A"
or changes in the scope of services described in Exhibit "A," CONSULTANT will
undertake such work only after receiving written authorization from CITY. Additional

compensation for such extra work shall be allowed only it' the prior Written approval of
CITY is obtained.
6. METHOD-OFPAYMENT
CONSULTANT shall be paid pursuant to the terms of Exhibit "B."
7. DISPOSITION OF PLANS, ESTIMATES AND OTHIER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder,
including, without limitation, all original drawings, designs, reports. both field and office
notices, calculations, computer code. language. data or programs. maps, memoranda,
letters and other dOCnmt'ntS, shall belong to CITY. and CONSULTANT shall turn these
materials over to CITY upon expiration or termination of this Agreement or upon
PROJECT completion, whichever shall occur first. These materials may be used by CITY
as it sees Tit.
S. 1-101-D HARMLESS
A. CONSULTANT hereby agrees to protect, defend, indemnify and
hold harmless CITY. its officers. elected or appointed officials, employees, agents and
Volunteers from and against any and all claims, damages, losses, expenses, judgments.
demands and defense costs (including, without limitation. costs and fees of litigation of
every nature or liability of any kind or nature) arising out of or in connection with
CONSULTAN"I's (or CONSULTANT's subcontractors, if any) negligent (or alleged
negligent) performance of this Agreement or its failure to comply with any of its
obligations contained in this Agreement by CONSULTANT, its officers. agents or
employees except such loss or damage which was caused by the sole negligence or willful
misconduct of CITY. CONSULTANT Will conduct all defense at its sole cost and expense
and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall

apply to a]I claims and Iiability regardless oI*whether any Insurance policies are applicable.
The policy limits do not act as limitation upon the amount of indemnification to be
provided by CONS ULTANT1'.
B. To the extent that CONSULTANT performs "Design Professional
Services' within the meaning of Civil Code Section 2782.8. then the following Hold
Harmless provision applies in place of subsection A above:
"CONSULTANT hereby agrees to protect, defend, indemnify and hold
harmless CITY and its officers, elected or appointed officials, employees, agents and
volunteers, from and against any and all claims, damages. losses, expenses. demands and
delense costs (including, without limitation, costs and fees of litigation of every nature or
liability of any kind or nature) to the extent that the claims against CONSULTANT arise
out of'. pertain to. or relate to the negligence, recklessness, or willful misconduct of
CONSULTANT. In no event shall the cost to defend charged to CONSULTANT exceed
CONSULTANT's proportionate percentage of fault. However. notwithstanding the
previous sentence, in the event one or more other defendants to the claims and/or litigation
is unable to pay its share of defense costs due to bankruptcy or dissolution of the business.
CONSULTANT shall meet and confer with CITY and other defendants regarding unpaid
delense costs. The duty to indemnify, including the duty and the cost to defend, is limited
as provided in California Civil Code Section 2782.8.
C. Reeardless of whether subparagraph A or 13 applies, CITY shall be
reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in
enforcing this obligation. This indemnity shall apply to all claims and liability regardless
of whether any insurance policies are applicable. The policy limits do not act as a
limitation upon the amount of indemnification to be provided by CONSULTANT.

9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability
insurance policy covering the work performed by it hereunder. This policy shall provide
coverage for CONSULfANT's professional liability in an amount not less than One
Million Dollars ($1,000.000.00) per occurrence and in the aggregate. The above-
mentioned insurance shall not contain a self-insured retention without the express written
consent of CITY; however an insurance policy "deductible" of Ten Thousand Dollars
(SI0.000.00) or less is permitted. A claims-made policy shall be acceptable if the policy
further provides that:
A. The policy retroactive date coincides with or precedes the initiation
of the scope of work (including subsequent policies purchased as
renewals or replacements).
B. CONSULTANT- shall notify CITY of circumstances or incidents
that might give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during
the required extended period of coverage following PROJECT completion. If insurance is
terminated for any reason. CONSULTANT agrees to purchase an extended reporting
provision of at least two (2) years to report claims arising from work performed in
connection with this Agreement.
II- CONSULTANT fails or refuses to produce or maintain the insurance
required by this section or fails or refuses to furnish the CITY with required proof that
insurance has been procured and is in force and paid for. the CITY shall have the right, at
the CITY's election. to forthwith terminate this Agreement. Such termination shall not

effect Consultant's right to be paid for its time and materials expended prior to notification
of termination. CONSULTANT waives the right to receive compensation and agrees to
indemnify the CITY for any work performed prior to approval of insurance by the CITY.
10. CERTIFICATE OF INSURANCI
Prior to commencing performance of the work hereunder. CONSULTANT
shall furnish to CITY a certificate of insurance subject to approval of the City Attorney
evidencing the foregoing insurance coverage as required by this Agreement; the certificate
shall:
A. provide the name and policy number of'each carrier and policy;
B. state that the policy is currently in lorce; and
C. shall promise that such policy shall not be suspended, voided or
canceled by either party. reduced in coverage or in limits except
after thirty (30) days' prior written notice, however, ten (10) days'
prior written notice in the event of cancellation for nonpayment of
premium.
CONSULTANT shall maintain the foregoing insurance coverage in force
until the work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not
derogate from CONSULTANT's defense, hold harmless and indemnification obligations as
set Forth in this Agreement. CITY or its representative shall at all times have the right to
demand the original or a copy of'the policy of insurance. CONSULTANT shall pay. in a
prompt and timely manner, the premiums on the insurance hereinabove required.

11. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of
this Agreement as an independent contractor herein and not as an employee of CITY.
CONSULTANT shall secure at its own cost and expense, and be responsible for any and
all payment of all taxes, social security, state disability insurance compensation,
unemployment compensation and other payroll deductions for CONSULTANT and its
officers, agents and employees and all business licenses, if any, in connection with the
PROJECT and/or the services to be performed hereunder.
12. TERNIINATION Of AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONS UETANT's services hereunder at any time with or
without cause, and whether or not the PROJECT is fully complete. Any termination of this
Agreement by CITY shall be made in writing, notice of which shall be delivered to
CONSULTANT as provided herein. In the event of termination. all finished and
unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become
its property and shall be promptly delivered to it by CONSULTANT.
13. ASSIGNIMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall
not be assigned, delegated or subcontracted by CONSULTANT to any other person or
entity without the prior express written consent of CITY. If an assignment, delegation or
subcontract is approved, all approved assignees, delegates and subconsultants must satisfy
the insurance requirements as set forth in Sections 9 and 10 hereinabove.

14. CO13YRIGI-ITS/PATI-NTS
CITY shall own all rights to any patent or copyright on any work, item or
material produced as a result of this Agreement.
15. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY
employee in the Svork performed pursuant to this Agreement. No officer or employee of'
CITY shall have any financial interest in this Agreement in violation of the applicable
provisions of-the California Government Code.
16. NOTICES
Any notices, certificates, or other communications hereunder shall be given
either by personal delivery to CONSULTANT's agent (as designated in Section 1
here inabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed
envelope, postage prepaid, and depositing the same in the United States Postal Service, to
the addresses specified below. CITY and CONSULTANT may designate different
addresses to which subsequent notices. certificates or other communications will be sent by
notifying the other party via personal delivery, a reputable overnight carrier or U. S.
certified mail-return receipt requested:

17. CONSENT
When CITY's consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval
to any subsequent occurrence of the same or any other transaction or event.
18. MODIFICATION
No waiver or modification of any language in this Agreement shall be valid
unless in writing and duly executed by both parties.
19. SEC'I'ION HEADINGS
The titles. captions. section, paragraph and subject headings, and descriptive
phrases at the beginning of the various sections in this Agreement are merely descriptive
and are included solely for convenience of reference only and are not representative of
matters included or esctuded from such provisions, and do not interpret, define, limit or
describe. or construe the intent of the parties or affect the construction or interpretation of'
any provision of this Agreement.
20. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed
as a whole, according to its fair meaning. and not strictly for or against any of the parties.
If any provision of this Agreement is held by an arbitrator or court of competent
jurisdiction to be unenforceable. void, illegal or invalid, such holding shall not invalidate
or affect the remaining covenants and provisions of this Agreement. No covenant or
provision shall be deemed dependent upon any other unless so expressly provided here.
As used in this Agreement, the masculine or neuter gender and singular or plural number
shall be deemed to include the other whenever the context so indicates or requires.
Nothing contained herein shall be construed so as to require the commission of ally act

contrary to law, and wherever there is any conflict between any provision contained herein
and any present or future statute. law. ordinance or regulation contrary to which the parties
have no right to contract, then the latter shall prevail, and the provision of this Agreement
which is hereby affected shall be curtailed and limited only to the extent necessary to bring
it within the requirements of the law.
21. DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto have been
prepared and signed in counterparts as duplicate originals, each of which so executed shall.
irrespective of the date of its execution and delivery, be deemed an original. Each
duplicate original shall be deemed an original instrument as against any party who has
signed it.
22. 11MIMIGRATION
CONSULTANT shall be responsible for full compliance with the
immigration and naturalization laws of the United States and shall, in particular, comply
with the provisions of the United States Code regarding employment verification.
23. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services. and that such legal services are expressly
outside the scope of services contemplated hereunder. CONSULTANT understands that
pursuant to Hun inglon Beach Cilv Charter Section 309, the City Attorney is the exclusive
legal counsel for CITY, and CITY shall not be liable for payment of any legal services
expenses incurred by CONSULTANT.

24. ATTORNEY'S PEES
III the event suit is brought by either party to construe, interpret and/or
enforce the terms and/or provisions of this Agreement or to secure the performance hereof,
each party shall bear its own attorney's fees, such that the prevailing party shall not be
entitled to recover its attorney's fees from the nonprevailing part'.
25. SURVIVAL
Terms and conditions of this Agreement, which by their sense and context
survive the expiration or termination of this Agreement, shall so survive.
26. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the
laws of the State of California.
27. SIGNA"rORIFS
Each undersigned represents and warrants that its signature hereinbelow has
the power, authority and right to bind their respective parties to each of the terms of this
Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the
event that such authority or power is not, in fact, held by the signatory or is withdrawn.
28. ENTIRETY
1-he parties acknowledge and agree that they are entering into this
Agreement freely and voluntarily following extensive arm's length negotiation, and that
each has had the opportunity to consult with legal counsel prior to executing this
Agreement. The parties also acknowledge and agree that no representations, inducements,
promises. agreements or warranties, oral or otherwise. have been made by that party or
anyone acting on that party's behalf. which are not embodied in this Agreement, and that
that party has not executed this Agreement in reliance on any representation, inducement,

promise, agreement, warranty, fact or circumstance not expressly set forth in this
Agreement. '['his Agreement, and the attached exhibits. contain the entire agreement
between the parties respecting the subject matter of'this Agreement, and supersede all prior
understandings and agreements whether oral or in writing between the parties respecting
the subject matter hercoi.
29. EPPECTIVE DATE
This Agreement shall be effective on the date of its approval by the City
Attorney. This Agreement shall expire when terminated as provided herein.

Dear Mr. Ramos:
Psomas appreciates the opportunity to submit a Scope of Work (SOW) and cost estimate for preparation
of an Initial Study/Mitigated Negative Declaration (IS/AND) for Gisler— Strathmoor Lane Residential
Project (Project), located in I Iuntington Beach(City). The City of Huntington Beach is the Lead Agency
on the IS/fviND.
Psomas is a full-service environmental. engineering, construction management, and land survey firm.
Psomas' Environmental and Resource Management Group provides California Environmental Quality
Act(CEQA) and National Environmental Policy Act(NEPA) documentation; biological resources
surveys and assessments: regulatory services and permitting: habitat restoration planning; cultural
resources assessments and monitoring: air quality,greenhouse gas emissions, and noise analyses: and
Geographic Information Systems(GIS) mapping and spatial analyses.
Psomas proposes a Project team with CEQA expertise on in-fill re-development residential projects with
relevant experience in Huntington Beach to assist the City and the Project team with preparation of an
IS/MND. Alia Hokuki, A ICP. is a Senior Project Manager with 24 years of experience in preparing
environmental documentation pursuant to CEQA for a variety of project types, including residential and
nonresidential in-fill projects, as well as commercial, retail, institutional (education and healthcare), and
infrastructure projects. In addition, Ms. I-lokuki has been working with the City on the Magnolia Tank
Farm Environmental Impact Report (EIR), in addition to prior work (i.e., Parkside Estates Project) while
at another firm. NIs. Flokuki will operate as the main point of contact to the City and Project team and the
day-to-day Project tilanager with the responsibility of ensuring work is completed on schedule and within
budget.
Nis. Hokuki will be supported by a team of highly qualified and experienced in-house staff. and all
technical analyses included in this SOW will be conducted by Psomas' technical staff. We

ATTACHMENT A
SCOPE OF WORK
GISLER— STRATHMOOR RESIDENTIAL PROJECT INITIAL STUDY/
MITIGATED NEGATIVE. DECLARATION
January 12, 2021
PROJECT UNDERSTANDING
The Gisler—Strathmoor Residential Project (Project). proposed by Brookfield Residential (Applicant)
involves re-development of the 13.9-acre Gisler School site with an 85-unit single-family detached
residential development with a density of 6.1 dwelling units per acre (du/ac). located at 21 141 Strathmoor
Lane The site is currently developed with the former Gisler School improvements. including a 73,000-
square-foot building on the eastern portion of the site, surface parking lots, sports field, and associated
improvements. The proposed Project will be developed as a Planning Unit Development (PUD),
comprised of 4,500 square-foot lots with a minimum lot width of 50 feet. The proposed development will
include three plan types, with three elevation styles for each plan. The units will range from 2.800 to
3,100 square feet in size and will include up to five bedrooms and up to 3-car garages. l'he new
development will be accessed from Strathmoor and include an emergency access from Bluefield Drive.
The proposed Project will include a total of'471 parking spaces, which exceed the number of parking
spaces required. Other infrastructure improvements will include private streets, sidewalks, storm drains, a
water quality detention system and sewer system with a lift station. The landscape concept will consist of
trees, shrubs, and turf.
The proposed Project will comply with the City's updated Inclusionary Zoning Ordinance, which is
anticipated to be approved in the nest few months. 'File updated ordinance will allow residential
developments of up to 100 units to pay in-lieu fees for affordable housing; if not, the Applicant would
meet the affordable housing requirements through establishing a Specific Plan. Additionally, as required
by approval of a PUD and in compliance with Public Benefit provision, the Applicant has proposed
rehabilitating existing improvements at Gisler Park. which is located along the entire southern boundary
of the site on Southern California Edison (SCE) property.
The Project site is located in a built-out and urbanized portion of the City of Huntington Beach and is
surrounded by single-family detached residential units on the north, west. east across Effingham Drive.
and south of Gisler Park. The site is located approximately 3.6 miles south of Interstate 405 (1-405); 1.5
miles north of State Route I (CA-1); and 2.5 miles west of State Route 55 (SR-55).
The Project site currently has a General Plan land use designation of PS (RL)(Public-Semipublic
underlying Residential Low Density) and a Zoning designation of PS (Public-Semipublic). The
anticipated entitlements for the proposed Project include General Plan Amendment No. 20-002 to amend
the designation from PS (RL)(Public-Semipublic underlying Residential Low Density)to RL
(Residential Low Density); Zoning Map Amendment No. 20-002 to amend the designation from PS
(Public-Semipublic) to RL (Residential Low Density); Tentative Tract Map No. 19136 to subdivide the
13.9-acre site into 85 single-family residential numbered lots and 13 lettered lots for private streets, open
space, and landscaping: Conditional Use Permit No. 20-024 to develop the site as a PUD with reduced lot
size and width; Design Review No. 20-007 to review the design, colors. and materials of the Project;
Environmental Assessment No. 20-002 to analyze the potential environmental impacts of the proposed
Project; and a PUD.

ENVIRONMENTAL ANALYSIS APPROACH
Based on Psomas' understanding of the site and the proposed development, and consistent with similar
re-development projects in the City, we concur that an IS/MND prepared in accordance with CEQA
(California Public Resources Code, Sections 21000 et seq.) and the State CEQA Guidelines (California
Cocle of Regulations, Title 14, Seclion 15000 er seq.). would be the appropriate CEQA document for the
proposed Project. Additionally. Psomas Will take into account the. City's requirements and specifications
and will use the CEQA Appendix G Environmental Checklist Form (2020 CEQA Guidelines) to prepare
the IS/MND.
SCOPE OF ENVIRONMENTAL SERVICES
Below is the SOW for the proposed Gisler-Stratfnnoor Lane Residential Project IS/MND based on our
understanding of the Project and the information received from the City. This SOW includes the
following tasks:
• Task I Project Initiation (Kick-Off Meeting. Data Collection. and Site Visit)
• Task 2 Technical Analyses/Studies
• Task 3 Initial Study/Mitigated Negative Declaration
• Task 4 Project Management, Meetings, and Public Hearings
TASK I PROJECT INITIATION
Subtask 1.1 Kick-Off Mectine
Psomas will attend a virtual or in-person kick-off meeting with the City, the Applicant, and the Project
team, as appropriate. "rhis meeting will provide an opportunity to discuss the approach to preparing the
environmental document, further define the SOW; identify and discuss the key community issues and
concerns. as applicable; and identify information needs. The Project schedule will be discussed, and key
milestones defined. It is assumed that available Project information, including an updated Site Plan. as
applicable, would be provided at this meeting. It is also assumed that the technical studies prepared by the
Applicant (i.e., a Preliminary Water Quality Management Plan [WQMP]; Preliminary Hydrology Study:
Geotechnical Survev: Phase I Environmental Site Assessment [ESA]; Hazardous Materials Survey of
Existing School Building; Preliminary Subsurface Methane Gas and Soil Testing Investigation; TIA; and
Preliminary Vehicle Miles Traveled [VMT] Screening Letter) will be provided to Psomas for
incorporation into the IS/MND, at this meeting.
If requested, Psomas will prepare and electronically submit the meeting minutes from the kick-off
meeting to the City for review and comment. Upon receipt of comments, the meeting minutes Will be
revised and distributed.
Subtask 1.1 Deliverables

Psomas will prepare a Data Needs Request to obtain data related to Project construction activities and

Additionally. Psomas will conduct a site visit to assist in the description of the environmental setting and
to photographically document the site and surrounding area.

Subtask 1.3 Project Description
Upon receipt of Project information. Psomas will draft a Project description appropriate for an IS/MND.
The Project description will include details related to short-term construction activities and long-term land
uses and operations of the Project. The draft Project Description will be submitted electronically to the
Citv for review and comment. Once approved by the City, the Project description will be distributed to
the Project team to initiate technical analyses.

TASK 2 TECHNICAL ANALYSES/STUDIES
Subtask 2.1 Proposed Technical Analvscs
Several technical analyses will be prepared as part of IS/MND sections by Psomas' in-house technical
experts in support of an adequate environmental document, consistent with CEQA requirements. These
analyses include Air Quality. Energy. Greenhouse Gas(GI-IG) Emissions, and Noise. The scopes of the
said analyses are provided below.
.Air Quality
Psomas will develop an Air Quality analysis which will provide discussions on the regulation and
environmental settings. CEQA significance thresholds, quantifications of construction and operations
phase emissions and mitigation measures, if needed. The Project's construction and operational criteria
pollutant emissions will be quantified on both the regional and local basis using the South Coast Air
Quality Management District's(SCAQMD) recommended California Ianissions Estimator Model
(CaIEEMod) for the Project site and compared with the SCAQMD's CEQA mass emissions thresholds.
The operations phase analysis will take into account the information in the TIA and the Preliminary VMT
Screening Letter prepared by the Applicant's consultant. Construction-related emissions from the Project
will be assessed for potential localized impacts to nearby sensitive uses based on the SCAQMD's
Localized Significance Thresholds (LST).
During the operations phase, it is expected that a qualitative assessment will demonstrate that the Project
would not generate traffic congestion at a major intersection at a magnitude that would cause a local
carbon monoxide (CO) "hotspot". The potential for odors will be addressed qualitatively. Additionally,
the analysis will include an evaluation of Project conformity with the Air Quality Management Plan
(AQN1P) for the South Coast Air Basin.
Energy
Psomas will develop an energy analysis for the Project, which includes a discussion of the regulatory
setting. energy demands. Project energy efficiency measures. impact assessment. and any necessary

mitigation measures. The regulatory setting will include a discussion of the City's Energy Resources
section of the Conservation Plan. Energy Action Plan, and State and federal policies and regulations that
apply to the Project. The discussion of Project-related energy demands include quantification of
anticipated energy consumption from the construction and operations phases. Construction phase energy
demand is due to diesel and gasoline consumption during the development of the Project. The operations
phase of the Project would be assessed for energy consumption related to onsite electricity and natural gas
demand as well as transportation fuel from vehicle trips to and from the Project site.
Greenhouse Gas Emissions
Psomas will prepare a GFIG Emissions analysis to assess potential Project-related contributions to climate
change. '['his analysis will include a discussion of the regulatory and environmental setting, assessment
methods, and Project-related impacts. The quantitative Project analysis will use the data and scenarios
developed for the Air Quality analysis: assumptions for the Project's anticipated electricity. natural gas.
and water usage: proposed Project features that would conserve energy and water: on-site sustainability
features: and other data relative to GHG emissions. Psomas will calculate construction and operational
GHG emissions concurrently with the air quality emissions using CaIEE` lod. Psomas will also determine
whether implementation of the Project would conflict with applicable State. regional, City plans; policies:
or regulations adopted for the purpose of reducing GHG emissions. including the relevant components of
the Citv's Greenhouse Gas Reduction Program and the Conservation Plan of the General Plan.
Noise
Psomas will visit the Project site to identify existing noise sources and noise-sensitive receptors. Due to
the lack of substantial noise sources adjacent to the project site. Psomas will measure existing noise levels
at up four locations for short-term measurements (20-minutes). Psomas will analyze temporary noise and
vibration impacts from construction activities and will also review the Project plans. design, and traffic
impact analyses to evaluate operational noise impacts to nearby sensitive receptors. including noise from
on-site stationary and mobile sources as well as noise increases due to Project-generated traffic on local
roads. The analysis will compare noise impacts with the standards in the City's General Plan and Section
8.4 of the Noise Ordinance. It is assumed that detailed interior noise analysis for individual residential
buildings will not be required and is not included in this SOW.
Subtask 2.2 Peer Review of ExistinC Technical Studies
We understand that the Applicant will prepare and provide to Psomas a Preliminary WQMP; Preliminary
Hydrology Study; Gcotechnical Survey; Phase I -SA: hlazardous Materials Survey of Existing School
Building: Preliminary Subsurface Methane Gas and Soil Testing Investigation: TIA: and a Preliminary
Vi%9T Screening Letter. Upon receipt of the studies. Psomas' Project .Manager and technical experts will
conduct a peer review of the studies for adequacy and compliance with CEQA. Upon review of each of
the studies for CEQA adequacy, a Memorandum will be prepared and submitted to City staff
summarizing the continents and recommendations of the Project Manager and technical experts-.
If additional studies/reports are prepared by the Applicant and provided to Psomas for peer review
and incorporation into the IS/MND, a budget augment will be required (through the contingency
budget) for the additional peer review.

TASK 3 INITIAL STUDY/MITIGATED NEGATIVE DECLARATION
Subtask 3.1 Administrative Draft Initial Study/Mitigated Negative Declaration
Psomas will prepare an Administrative Drat( IS/MND using the CEQA Environmental Checklist Form
(Appendix G). In compliance with Section 15063 of the State CEQA Guidelines. the. IS/MND will
contain the location of the Project site: a discussion of the environmental setting; a description of the
Project; identification of the Project's potential environmental effects; and a discussion of any required
mitigation.
The discussion of the environmental setting will be based on a review of existing information, including
the General Plan EIR: technical studies provided by the Applicant anti analyses prepared by Psomas;
review of aerial photographs; and a site visit. The environmental analysis will include an explanation for
all checklist responses to provide an understanding of how the IS/MND conclusions were reached.
Project-specific mitigation will be developed for impacts that are determined to be potentially significant.
The following discussion describes the work effort to be undertaken to assess potential environmental
impacts of the Project relative to each topical issue.
• Aesthetics. The discussion in the IS/MND will assess the potential visual changes in comparison
with the existing views of the site. The site is currently developed with a former school and
associated improvements and surrounded by existing residential uses and Gisler Park.
Photographs of the site will be taken from different vantage points and incorporated into the
discussion and analysis, but preparation of it visual simulation study is not included in this SOW.
"Public views" of the site from Gisler Park will be analyzed, as required by the IS checklist
question. Ifsignificant impacts are identified, in discussion with the City, Psomas will propose
appropriate mitigation measures. The potential impacts emanating from the changed light and
glare associated with the proposed residential development will also be analyzed in the IS/MND.
• Agricultural and Forest Resources. The site has been disturbed and developed. The Project site
is not being used, nor anticipated to be used, or zoned for agricultural purposes; it is not subject to
a Williamson Act contract: and it does not contain Prime Farmland or Farmland of Statewide
Importance. Additionally. no forest land occurs on the Project site or in the surrounding area. The
IS/MND will contain a statement identifying the site's lack of agricultural and forest resources.
• Air Quality. The findings of the Air Quality Analysis, under Subtask 3.1, will be incorporated in
the Air Quality section of the IS/MND, and the data will be included as an appendix.
• Biological Resources. The proposed Project site is within a highly developed area of the City of
Huntington Beach. Based on a preliminary review of the Project site and surrounding
environment by a Psomas biologist.on-site and surrounding resources are limited to ornamental
trees. These resources will be characterized as part of the IS and mitigation measures will be
identified, if needed. to avoid significant impacts related to nesting birds and raptors during
Project construction.
• Cultural Resources and Tribal Cultural Resources. Due to the highly disturbed condition of
file Project site, no pedestrian cultural resources survey is proposed. The following tasks will
meet standards practice in satisfying a CEQA-level Cultural Resources analysis. However. if the
City requires a pedestrian survey, Psomas can perform the survey subject to a budget augment.
A request will be submitted to the California Historical Resources Information System (CHRIS)
at the South-Central Coastal Information Center(SCCIC) to conduct a records search of the
Project site. For purposes of this Project. this search will encompass a '/2 - mile radius of the
Project site. Copies of all previously recorded cultural resources records and relevant cultural
resources reports within the search area will be obtained. Psomas will also inspect any historical

maps and aerials. USGS survey plats. and Government Land Office (GLO) plats that depict the
Project site. Additionally. Psomas will request the Native American Heritage Commission
(NAI-IC)conduct a search of the Sacred Lands File (SL ) of the Project site.
Psomas will also provide support to the City to fulfill the agency-lo-agency consultation
requirements under Assembly Gill (AB) 52 and Senate Bill (SB) 18. This includes assisting with
consultation with California Native American Tribes, identification of tribal cultural resources.
and developing appropriate mitigation measures. This task assumes the preparation of up to six
letters on City letterhead and up to three hours of telephone consultation in concert with the City.
as needed to fulfill Native American consultation requirements. Psomas can provide further
support related to AB 52 and SB 18 consultation, such as additional meetings, minutes,
development of non-standard mitigation measures, or additional site visits. subject to a scope and
budget augment. The results of the records searches and tribal consultations will be compiled and
described in the Cultural Resources and Tribal Cultural Resources (TCR)sections of the
IS/MND, as appropriate.
• Energy. The findings of the Energy Analysis. under Subtask 2.1, will be incorporated in the
Energy section of the IS/MND, and the data will be included as an appendix.
• Geology and Soils. Nte understand that a Geotechnical Study has been prepared by the
Applicant's consultant and will be provided to Psomas for incorporation into the IS/MND. Upon
peer review of the study, the findings will be incorporated in the Geology and Soils section of the
IS/MND, and study will be included as appendix in the IS/MND.
Additionally. Psomas will request a paleontological resources records search and literature review
for the Project site from the Vertebrate Paleontology Section of the Los Angeles County Museum
of Natural I listory. The Natural History Museum provides a letter summarizing information on
geological formations and known paleontological localities (if any) near the Project area, and a
cletennination of the paleontological sensitivity of the geologic units underlying the site. It should
be noted that, per the updated CEQA Guidelines and Appendix G. the Paleontological Resources
disc Liss ion/analvsis is now included under Geology and Soils.
• Greenhouse Gas Emissions. The findings of the GI IG Emissions Analysis. under Subtask 2.1.
will be incorporated in the GI-1G Emissions section of the IS/MND, and the data will be included
as an appendix.
• Hazards and Hazardous Materials. We understand that a Phase I ESA, a Hazardous Materials
Survey of Existing School Building, and a Preliminary Subsurface Methane Gas and Soil Testing
Investigation have been prepared and will be provided to Psomas for incorporation into the
IS/HIND. Upon peer review of the said reports/studies. the findings will be summarized in the
Hazards and Hazardous section of the IS/MND, and the studies/reports will be included as
appendices in the IS/MND. Additionally. Psomas will qualitatively address other potential
impacts related to hazards, including potential impacts related to chemical transport, storage, and
handling; airport hazards; emergency response and emergency evacuation plans; and wildland
fires.
• Hydrology and Water Quality. We understand that a Preliminary WQMP and a Preliminary
Hydrology Study have been prepared and will be provided to Psomas for use in the IS/HIND. It is
assumed that information on hydrology and drainage will include the pre- and post-development
conditions; the available capacity of existing infrastructure; and potential impacts related to storm
drainage. The analysis associated with water quality will identify tributaries, impaired waters, and
Pollutants of concern. It will also identify whether the total maximum daily load standards have
been established: storm water rate and volume that dictates the Best Management Practices
(BMPs) proposed: and the potential for hydrologic conditions of concern. Upon peer review of
the said reports. the findings will be incorporated in the I-lydrology and Water Quality section of

the IS/MND, and the Preliminary WQMP and Hydrology Study will be included as appendices to
the IS/MND.
• Land Use and Planning. Psomas will describe the existing condition of the site and the
surrounding land uses based on it site visit (Task 1.2)and review of the relevant available
documents anti information and analyze the Preject's compatibility with the surrounding uses.
The Project requires a General Plan Amendment and it -Zoning Map Amendment to accommodate
the proposed residential development. Psomas will also evaluate the proposed Project's
consistency with relevant local planning documents, including the 2017 General Plan policies and
the Zoning Ordinance (1-113/_SO).
• Mineral Resources. Based on the California Department of Mines and Geology (CDMG).
Generalized Mineral Land Classification of Orange County. California, the proposed Project site
and the surrounding area are designated as iIMRZ-3. which identifies"area containing mineral
deposits the significance of which cannot be evaluated from available data". Additionally.
according to the California Department of Conservation. Division of Oil. Gas and Geothermal
Resources (DOGGR) Well Finder, the Project site is underlain by the West Newport Oil/Gas
field: however, there are no wells located on the Project site. The IS/iIfND will contain a
statement identifying the site's lack of mineral resources.
• Noise. 'file findings of the Noise Analysis, tinder Subtask 2.1. will be incorporated in the Noise
section of the IS/MND, and the data will be included as an appendix.
• Population and Housing. The proposed Project will include 85 single-family residential units.
The increase in residential population in the City associated with the proposed Project will be
discussed in relation to local projects. Additionally. Psomas will evaluate the direct and indirect
impacts that the proposed uses could have on population. housing, and employment forecasts.
Psomas will conduct an analysis to evaluate potential impacts related to population, housing,
and employment projections for the Project area using the latest demographic data frorn the
Orange COLIMV Projections (OCP 2018) and other relevant documents. Psomas will
additionally provide it discussion of afforclable housing in light of the updated 111CIUSlOmtry
Zoning Ordinance (approval clue in few months) and identify how the Projcct will comply
with the said ordinance.
• Public Services and Recreation. Implementation of the proposed Project would directly
generate additional population at the Project site; therefore, the Project has the potential to
increase the demand for public services(fire, police, other public services such as schools, parks,
and libraries). Psomas understands that fire and police services will be provided by the City's Fire
and Police departments, respectively. The Huntington Beach City School District will serve the
new residential development. The potential effects associated with implementation of the
proposed Project are related to the provision of adequate service levels and the need to upgrade
and/or provide additional facilities to serve the proposed Project. Psomas will coordinate with the
above service providers to identify existing public service facilities and to determine whether the
proposed Project can be adequately serviced without any increase in personnel or expansion of
existing resources, including facilities.
• Transportation. Psomas understands that the Applicant's traffic consultant has prepared a
Prelintinary Vehicle Miles Traveled (VNIT) Screening Assessment and are currently preparing a
T[A. which will be provided to Psomas for use in the IS/N1ND analysis. Upon peer review of the
said analyses, the findings will be incorporated into the IS/MND, and the reports will be included
as appendices in the IS/MND.
• Utilities and Service Systems. Implementation of the proposed Project would directly generate
additional population at the Project site: therefore, the Project has the potential to increase the
demand for wet and dry utility services (e.g.. water. wastewater treatment, solid waste, electricity,

gas. telephone, and cable). Water and wastewater services will be provided by the City as well as
Orange County Water District (OCWD) and Orange County Sanitation District (OCSD).
Electricity will be provided by Southern California Edison and gas by Southern California Gas.
The preparation of a Water Supply Assessment for the proposed Project is not required. as the
Project is below the threshold of)00 dwelling units for residential, and no non-residential uses
are provided that would count towards the threshold. Psomas will coordinate with applicable
utility providers to obtain the necessary information regarding existing capacity, supply, and
future demand from the proposed Project. It is assumed that utility plan showing connections for
wet and dry utilities will be provided by the Applicant's civil engineers.
• Wildfire. According to Cal Fire, the ['reject site is not located within any fire hazard zone Given
that the site and general area is not within the path of a high fire hazard designation, no impacts to
future development are anticipated. The fire hazard zones will be identified and described in
detail in the IS/MND.
Upon completion. the Administrative Draft IS/MND will be submitted for review by the City and
Applicant.
Subuisk 3.1 Deliverahles

Subtask 3.2 Initial Study/Mitigated Negative Declaration
Following review of the Administrative Draft IS/MND by the City, Psomas will revise the document to
incorporate comments received. This task anticipates that comments received would require only one set
of revisions. Psomas will then resubmit the document to the City for final approval prior to distribution.
Since the proposed Project requires submittal to the State Clearinghouse (SCH), a 30-day public review
period is required. Per the current requirements of the Office of Planning and Research(OPR), Psomas
will post the ISAMND, including the appendices. the Notice of Intent (NO[). the Notice of Completion
(NOC), and the State Clearinghouse(SCH) Summary Form on the SCH's website, and no hard copies
will be submitted. Psomas will file the NOI to adopt an IvIND and the NOC with the County Clerk. A
notice is also required to be published in local newspapers or, at a minimum, posted at the Project site. It
is assumed that ['somas will prepare the notice. but the City will post it at the Project site and submit it to
the newspaper for publication.
In addition to submittal to the SCH, it is assumed that CDs of the IS/HIND will be provided for City staff.
decision makers, and for agency distribution. Psomas will distribute the CDs and a hard copy of the NO[
to public agencies. using a distribution list to be provided by the City.
Additionally, the NOI will be distributed to the property owners around the site(radius to be determined
by the City). based on a mailing list provided by the Applicant.

Subtask 3.3 Final Initial Study/Mitigated Negative Declaration
Once the public review period has ended. Psomas will coordinate with the City to review the comments
received and to develop an approach on how to address the comments. Preparation of responses to
comments on an IS/MND is not required by CEQA but recommended to assist the City in the decision-
making process. All environmental continents on the IS/MND will receive responses. Topical responses
will be used if multiple comments are received on the same issue and will be included with a summary of
the response. This will allow a more complete response without undue repetition. The Response to
Comments (RTC) document will be submitted to the City for review and then revised based on comments
received and transmitted to the City. 'file City's decision-making body must consider the proposed
IS/HIND together with any comments received during the public review process. A total of 30 hours of
technical staff time is assumed to prepare the RTC document. Should a large number of comments be
received, the estimated budget for completing the RTC document may need to be revised and a budget
augment requested (through the contingency budget). One round of review by the City staff is assumed
for the Final IS/HIND.
Psomas will prepare the Notice of Determination (NOD) for the Project, which will be signed by the City
upon certification of the IS/MND and action on the Project. Psomas will file the NOD with the County
Clerk and the SCH. This SOW does not include the filing fees for the County Clerk and the California
Department of Fish and Wildlife fee (if the fee is not waived by CDFW), which will be paid by the
Applicant at the time the NOD is filed.
Subtask 3.3 Deliverables

Subtask 3.4 Mitigation Monitoring and Reporting Program
Through the course of IS/MND preparation. if mitigation measures are identified, in compliance with
Section 2I08 1.6 of the California Public Resources Cocle, Psomas will prepare a iNfitigation 1onitoring
and Reporting Program (MMRP) as pan of the Final IS/N1ND document. The NINIRP will be prepared in
matrix format and will provide the timing and responsibility for each mitigation measure. It should be
noted that. later during the public hearings, if the Planning Commission or City Council modify the
Project and/or recommend standard conditions of approval/mitigation measures for the proposed Project.
Psomas will revise the MMRP. However, substantial modifications to the MN1RP are not assumed in the
SOW and fees for this Project.

'['his task includes attendance at up to two coordination meetings (virtual or in-person), as necessary. with
the Cite. the Applicant, and Project team (in addition to the Project Kick-Off meeting). This SOW
assumes that the Project Manager will attend all meetings(three hours each, which includes preparation
and travel time).
Additional meeting attendance will be billed on a time and materials basis. based on hourly rates and
subject to prior approval.

Psomas will attend the Planning Commission and Cite Council hearings for a total of two public hearings
(one Planning Commission and one City Council). Psomas will be available to provide advice and input
to the City and address questions regarding CEQA: the environmental review process: and the findings of
the IS/NIN'D analvses. as appropriate. The preparation of visual aids for the public hearings are not
included in this SOW. This task assumes public hearings will be attended by the Project Manager and up
to two ['somas technical staff. The supporting staff in attendance will be based on the issues that arise out
of the public review process.
Additional public hearing attendance will be billed on a time and materials basis. based on hourly rates
and subject to prior approval.

PROJECT SCHEDULE
This SOW assumes an approximate six-month schedule, upon receipt of final Project information for the
Project description. The six-month schedule for the preparation of the IS/MND does not include the
approval process for the IS/M\'D. Psmmas will work diligently and coordinate closely with the City and
Project team to ensure the IS/M\D is completed efficiently. on time, and within budget. All time-saving
approaches will be utilized to speed up the schedule. However. Psomas will ensure that time-saving
approaches will not jeopardize the quality of the document.
The proposed Project will be Initiated upon award of contract and after attendance at the Project's kick-
off meeting(Task 1.1). ['reparation of the. IS/NIND will start upon receipt of requested information front
the Applicant.

Payment Schedule (Fixed Pee Payment)
I. CONSULTANT shall be entitled to monthly progress payments toward the fixed fee set
forth herein in accordance with the following progress and payment schedules.
2. Delivery of work product: A copy of every memorandum, letter, report, calculation and
other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate progress
toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY
shall identify specific requirements for satisfactory completion.
3. CONSULTANT shall submit to CITY an invoice for each monthly progress payment
due. Such invoice shall:
A) Reference this Agreement;
B) Describe the services performed:
C) Show the total amount of the payment clue;
D) Include a certification by a principal member of CONSULTANT's firm that the
work has been performed in accordance with the provisions of this Agreement:
and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making
satisfactory progress toward completion of tasks in accordance with this Agreement. CITY shall
approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the
invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an
invoice. CITY shall notify CONSULTANT in writing of the reasons for non-approval and the schedule
of performance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree
that past performance by CONSULTANT is in, or has been brought into compliance. or until this
Agreement has expired or is terminated as provided herein.
d. Any billings for extra work or additional services authorized in advance and in writing
by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information
required above. and in addition shall list the hours expended and hourly rate charged for such time.
Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or
additional services requested, and if CITY is satisfied that the statement of hours worked and costs
incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute bethvecn the
parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing
performance of the remainder of this Agreement.

Thank you for the opportunity to respond to the City of Huntington Beach's Request for
Proposal to provide consultant services to prepare CEQA documentation in support of
the Gisler-Strathmoor Lane Residential Development located at 21141 Strathmoor

of 85 single-family homes on a 13.9-acre former school site.
Sapphos Environmental Inc. (SEI) has prepared many environmental documents
pursuant to the California Environmental Quality Act (CEQA) for similar types of
projects. Most recently,SEI prepared a Mitigated Negative Declaration (MND) for the
City of Glendora 501 West Route 66 project for a mixed residential and commercial
project and an MND for a mixed residential and commercial project for the City of
Alhambra.

As requested by the City,SEI will prepare an air quality and greenhouse gas emissions(AQ/GHG)and
a biological resources technical report. SEI has retained the services of Yorke Engineering to prepare
the AQ/GHG study for the proposed project. In addition, SEI proposes a basic screening-level noise
analysis technical letter to be prepared by Yorke Engineering in support of the proposed project. It is
understood that the City will request a traffic impact analysis(TIA)study from the applicant.As a result,
a TIA has not been included in this proposal.SEI will prepare the biological resources technical report
in-house.
Based on direction from the City, and a preliminary review, SEI has determined that an Initial
Study/Mitigated Negative Declaration (MND) would be the appropriate CEQA environmental
document to prepare for the project. However, should the Initial Study determine that the project
would have the potential for significant and unavoidable impacts,SEI will prepare a scope,budget,and
schedule to prepare an EIR under separate cover that would build upon the previously prepared work
of the Initial Study.
Sapphos Environmental,Inc.has prepared a scope of services for preparation of an IS/MND(Enclosure
1,Scope of Work).The estimated cost for preparation of the requested service is$87,743.20(Enclosure
2, Estimated Cost).As requested by the City, the cost includes a 10 percent contingency($8,774.00,
for a grand total of$96,517.20)(Enclosure 2).All work will be completed in accordance with the 2013
Standard Schedule of Fees. It is anticipated that the IS/MND will be completed in 7.5 months from the
notice to proceed (Enclosure 3,Schedule).
Sapphos Environmental,Inc. is ready to commence work upon written authorization to proceed from
the City. This proposal constitutes a firm offer for a 90-day period.

ENCLOSURE 1
SCOPE OF WORK
STATEMENT OF UNDERSTANDING
Sapphos Environmental, Inc. (SEI) understands that the City of Huntington Beach (City) requires the
services of a qualified consultant to prepare environmental documentation in accordance with the
California Environmental Quality Act (CEQA) for the entitlement of the Gisler-Strathmoor Lane
Residential Development (proposed project) located at 21141 Strathmoor Lane, City of Huntington
Beach, Orange County, California. The development is a planned unit residential development
consisting of 85 single-family homes on 4,500-square-foot lots,on a 13.9-acre former school site. It
is understood that the project site has a General Plan land use designation of PS (RL)
(Public/Semipublic with underlying Low Density Residential)and a zoning designation of PS(Public-
Semipublic). The Assessor's Parcel Numbers for the project site are 149-302-17 and 988-014-78. It
is also understood that the project site is currently developed with an approximately 73,000-square-
foot building, which formerly served as both a public and private school, that would need to be
demolished. The construction of the proposed project would consist of demolition, which includes
onsite crushing of concrete and pavement; grading; infrastructure; and horizontal improvements.
Grading of the site is anticipated to include an estimated 12,000 cubic yards of cut and 62,000 cubic
yards of fill,requiring 50,000 cubic yards of import that will be hauled in from an authorized off-site
location. Rough grading and import are estimated to take 90 days. Home construction is estimated
to take 18 to 24 months. SEI understands that, in addition to CEQA documentation and entitlement,
the proposed project would require General Plan Amendment No 20-002,Zoning Map Amendment,
Tentative Tract Map No. 19136, Conditional Use Permit No. 20-024, Design Review No. 20-007,
and Environment Assessment No. 20-002.
Based on a preliminary review and direction from the City, it is anticipated that a Mitigated Negative
Declaration (MND) would be the appropriate CEQA environmental document to prepare for the
project. However, should the Initial Study determine that the project would have the potential for
significant and unavoidable impacts, SEI will prepare a separate scope, budget, and schedule to
prepare an environmental impact report (EIR) that would build upon the work conducted for the
Initial Study.
SEI has prepared a scope of work that includes a comprehensive approach to the proposed project
including the integration of environmental analysis, infrastructure demands, and planning concerns.
SCOPE OF WORK
TASK 1 PROJECT MANAGEMENT, INITIATION AND MEETINGS
Work Efforts
SEI will provide project management for the duration of the project, which is anticipated to be 9
months(see Enclosure 3,Schedule). SEI uses Mavenlink project management software to ensure that
the project is kept on schedule and within budget. All work efforts and related milestone work
product deliverables are entered into the software and progress and budget are tracked weekly.
Up to nine (9) monthly invoices will be provided to the City for the duration of the project.
Additionally, SEI will provide the City with up to nine (9) monthly status reports transmitted with

monthly invoices to ensure that the project is kept on schedule and on budget and to apprise all
parties of project needs and deliverables.The monthly status reports will summarize completed work
efforts, upcoming work efforts,and any major issues and action items that arise from the work efforts
detailed in this proposal.
The SEI project manager and assistant project manager will attend one (1) project kickoff
teleconference meeting hosted by the City. SEI will prepare an agenda that will,at a minimum, include
project components and goals, discuss deliverables, schedule, data needs, and communication
protocols. SEI will also prepare a list of additional data needs from the City to prepare the Project
Description and technical analyses. Upon completion of the kickoff meeting, SEI will provide a
memorandum for the record (MFR) that will include a summary of the meeting's action items and
decisions made relating to deliverables,schedule,data needs, and communication protocols.
In addition, the SEI project manager and assistant project manager will attend one (1) meeting to
discuss issues regarding the preparation of the draft document. It is anticipated that these meeting
will be teleconferences given the COVID-19 pandemic and safer-at-home guidelines. Should the
circumstances change, in-person meeting will be planned.

TASK 2 PREPARATION OF ENVIRONMENTAL DOCUMENTATION - MITIGATED
NEGATIVE DECLARATION
Work Efforts
As discussed in the project understanding above,based on direction from the City,and a preliminary
review of the project and project site, it is anticipated that an MIND will be the appropriate CEQA
environmental document to prepare for the project. However,should the Initial Study determine that
the project would have the potential for significant and unavoidable impacts, SEI will prepare a
scope, budget, and schedule to prepare an EIR under separate cover.
Initial Study/Mitigated Negative Declaration (IS/MND)
SEI will prepare an IS/MND consistent with Article 6 Section 15070 to 15075 of the State CEQA
Guidelines and the City's requirements as lead agency. As required by CEQA, a Notice of Intent
(NOI) for distribution and filing with the Orange County Clerk-Recorder, a Notice of Completion
(NOC) for filing with the State Clearinghouse Office of Planning and Research (OPR), and a Notice
of Determination (NOD) for filing with the County Clerk and OPR will be completed and filed by
SEI.
The IS/MND will include a Cover Page, Title Page, Table of Contents, Project Description,
Environmental Checklist, and Environmental Checklist explanation providing substantial evidence
evaluating all 20 environmental issue areas and Mandatory Findings of Significance in accordance
with Appendix G of the State CEQA Guidelines.The project description will include project location,

project sponsor, zoning,general plan designation, background and existing conditions, a description
of the proposed project, statement of goals and objectives of the proposed project,and a construction
scenario. If determined necessary, feasible mitigation measures will be provided for each CEQA issue
area that may result in significant impacts. It is anticipated that the incorporation of mitigation
measures would reduce any potential impacts to below the level of significance. Below is a brief
description of the methods for analysis of each CEQA issue area:
Aesthetics. SEI will evaluate the potential for significant impacts to aesthetics related to the proposed
project in accordance with Appendix G of the CEQA Guidelines. The evaluation will assess the
potential for the proposed project to result in direct and indirect impacts to scenic vistas, damage
scenic resources within a designated scenic highway corridor, change in the visual character or quality
of public views of the area, or adversely affect daytime or nighttime views in the area through increase
in light and glare. SEI will conduct an analysis to determine if the proposed project is likely to result
in substantial damage to vistas, trees, rock outcroppings, or historic buildings within the viewshed
of a state scenic highway or the city's scenic corridors consisting of roads that offer vistas and pleasing
scenes to motorists, cyclists, and pedestrians. SEI will review the California Department of
Transportation's (Caltrans) Scenic Highway System designations, the City's General Plan Update
regarding scenic corridors, and any relevant published studies and data to assess the presence of
scenic resources and describe the baseline visual character of the project area, as well as lighting
standards and regulations associated with the potential for new source of light or glare. SEI will
review the Land Use Element, Circulation Element, and the Environmental Resources and
Conservation Element of the City General Plan, the City of Huntington Beach Urban Design
Guidelines, and any relevant published studies and data to assess the presence of locally designated
visual resources.
Agriculture and Forestry Resources. SEI will evaluate potential project impacts to agricultural and
forestry resources in accordance with Appendix G of the CEQA Guidelines. Data from the California
Department of Conservation's Farmland Mapping and Monitoring Program (FMMP), the
Environmental Resources and Conservation Element of the City General Plan, and available
geographic information system (GIS) data will be reviewed to characterize the existing agricultural
and forestry resources in the proposed project vicinity. the potential for impacts to agricultural or
forestry resources will be evaluated based on the presence or absence of resources at the proposed
project site and whether the project would result in changes in the existing environment that, because
of their location or nature, could result in conversion of Farmland to nonagricultural use or forest
land to non-forest use.
Air Quality. SEI has retained the services of Yorke Engineering, LLC (Yorke) to prepare an air quality
analysis to determine the potential impacts of the project to greenhouse gas (GHG) emissions in
accordance with the State CEQA Guidelines. Yorke will prepare a technical letter report to support
the air quality impact analysis, which would be conducted using the California Emissions Estimator
model (CalEEMod°) methodology (see Task 3, below). The results of this technical letter report will
be used to inform the analysis of potential air quality impacts. The air quality section will include a
review of the potential for significant impacts to air quality in light of the regulatory framework and
the existing air quality conditions in the project area. The scope of the air quality analysis will focus
on the potential for the proposed project to result in air emissions that exceed thresholds for
significance established by the South Coast Air Quality Management District (SCAQMD). Due to the
need to import fill from off-site, impacts to air quality may require mitigation measures.
Biological Resources. SEI will evaluate the potential for significant impacts from the proposed project
to biological resources. A site visit by a qualified biologist will be conducted to evaluate the potential

for biological impacts. Following the site visit, SEI will prepare a biological resources technical report
(BRTR; see Task 3, below). Based on the BRTR,SEI will determine the potential for significant impacts
using the criteria listed in Appendix G of the State CEQA Guidelines, as well as the goals and policies
contained in the City General Plan and California Department of Fish and Wildlife (CDFW), U.S.
Fish and Wildlife Service (USFWS), and U.S. Army Corps of Engineers (USACE) regulations. the
biological resources analysis will characterize the existing conditions of the project area in relation
to suitable habitat for federally- and State-listed rare, threatened, and endangered species, federally
designated critical habitat, and species under consideration for listing; State-designated sensitive
habitats, including areas afforded protection under Section 1600 of the California Fish and Game
Code; wetlands and other Waters of the United States afforded protection under Sections 401, 404,
and 408 of the Federal Clean Water Act, and other executive orders for the protection of wetlands;
proximity to regional wildlife movement corridors; resources, and oak and walnut woodlands
afforded protection under the City General Plan or Ordinances; and Lands subject to regional Habitat
Conservation Plans and/or Natural Communities Conservations Plans. ArcGIS mapping will be
created and used in the evaluation of the potential for the project to result in direct, indirect, and
cumulative impacts to resources that have been identified as being present or potentially present in
the baseline conditions. Although unlikely, in the event a listed or sensitive species or its habitat is
identified, additional protocol surveys may be required to assess presence or absence of these
species.
Cultural Resources. SEI will assess the potential for significant impacts of the proposed project to
cultural resources in accordance with Appendix G of the State CEQA Guidelines. The analysis will
address the potential for impacts to historical resources, prehistoric and historic archaeological
resources, and human remains. A record search for archaeological and historical resources will be
conducted at the South Central Coastal Information Center, located at California State University,
Fullerton, which is contracted by the State of California to maintain and manage the California
Historical Resources Information System for Orange County.
Energy.SEI will assess the potential for the proposed project to result in significant impacts to energy
in accordance with Appendix G of the State CEQA Guidelines thorough review of relevant State and
local plans for renewable energy or energy efficiency, existing energy resource use at the project
site, and the project design, in order to evaluate whether the proposed project would result in
wasteful, inefficient, or unnecessary consumption of energy resources during construction or
operation of the project and whether the proposed project would conflict with or obstruct a State or
local plan for renewable energy or energy efficiency. SEI will evaluate the project design to verify
that energy use would not exceed thresholds of significance.
Geology / Soils. SEI will review the geotechnical survey prepared by the project applicant in order
to establish the baseline conditions with regard to geology and soils at the proposed project site. This
report will be used to inform the potential for impacts to geology,soils,and paleontological resources
in accordance with Appendix G of the State CEQA Guidelines. Existing geological and soil
conditions will be evaluated and will focus on the potential for the proposed project to directly or
indirectly expose people or property to risks related to potential fault rupture, seismic ground
shaking, seismic-related ground failure (including liquefaction), and geotechnical factors. The
analysis will also evaluate whether the proposed project has the potential to directly or indirectly
destroy a unique paleontological resource or site or a unique geologic feature. Requests for records
searches will be made to the Los Angeles County (Museum of Natural History to determine the
presence of known paleontological resources. SEI will review State Department of Conservation
maps and CIS data including Alquist-Priolo Earthquake Fault Zone data and maps, and any project-

specific technical reports available for the site and any other supporting documentation readily
available for the proposed study area.
Greenhouse Gas Emissions. SEI has retained the services of Yorke to prepare a technical letter report
for the Air Quality and GHG emissions impact analysis using the California Emissions Estimator
model (CaIEEMod°) methodology that will be used to inform the analysis of potential GHG impacts
in the MND(see Task 3, below). The analysis of GHG emissions will include a review of the potential
for significant impacts to GHG emissions in light of the regulatory framework and the existing
conditions in the project area. The scope of the analysis will focus on the potential for the proposed
project to generate GHG emissions, either indirectly or directly, due to vehicle trips, stationary
sources, electricity use, and area sources.
Hazards and Hazardous Materials. SEI will review the Hazardous Materials Survey of Existing
School Building report prepared by the project applicant. This report will be used to inform the
potential for impacts to hazards and hazardous materials from the proposed project in accordance
with Appendix G of the State CEQA Guidelines. SEI will also obtain an EDR hazardous materials
data search report for the project property. The analysis will focus on the potential to create hazards,
emit hazardous or acutely hazardous materials, or require the handling of hazardous or acutely
hazardous materials, specifically, the potential for impacts due to the routine transport, use, or
disposal of hazardous materials; identify reasonably foreseeable upset and accident conditions;
create hazardous or acutely hazardous emissions within quarter-mile of an existing or proposed
school; determine location of hazardous materials sites complied pursuant to Government Code
Section 65962.5; evaluate the project location in relation to airport-related hazards; cause impair or
interfere with an emergency response or evacuation plan; or expose people or structures to wildland
fire hazards.
Hydrology and Water Quality. SEI will review the Preliminary Hydrology Study and Preliminary
Water Quality Management Plan (WQMP) prepared by the applicant for the proposed project. These
reports will be used to inform the analysis of hydrology for the project. SEI will assess the potential
for significant impacts of the proposed project to hydrology and water quality in accordance with
Appendix G of the State CEQA Guidelines. The analysis will be focused on the potential for the
proposed project to violate any water quality standards or waste discharge requirements;
substantially deplete groundwater supplies or interfere substantially with groundwater recharge;
substantially alter existing drainage patterns, including through the alteration of the course of a stream
or river in a manner that would result in substantial erosion or siltation, or substantially increase the
rate or amount of surface runoff in a manner that would result in flooding; substantially alter the
existing drainage pattern in a manner that would result in flooding; otherwise degrade water quality;
or create or be subject to effects related to a I00-year flood hazard area in the City. It is anticipated
that due to changes in the impervious project footprint and runoff patterns, mitigation measures may
be required for hydrology and water quality.
Land Use and Planning. SEI will assess the potential for the project to impact land use and planning.
The analysis will determine whether the proposed project would physically divide an established
community or conflict with any applicable plan, policy, or regulation of an agency with jurisdiction
over the area affected by the proposed project for the purpose of avoiding or mitigating an
environmental effect. SEI understands that the proposed project site currently has a General Plan
designation of PS(RL)(Public-Semipublic underlying Residential Low Density), and that the project
will require amendment of the General Plan through General Plan Amendment No. 20-002 - To
amend the General Plan designation from PS(RL) to RL (Residential Low Density). SEI also
understands that project site is currently zoned PS (Public-Semipublic), and that the project will

require a zone change through Zoning Map Amendment No. 20-002 - To amend the zoning
designation from PS (Public-Semipublic) to RL (Residential Low Density). SEI will review the
proposed project in relation to the City General Plan and Zoning Code to determine the proposed
project's consistency with these plans and regulations.
Mineral Resources. SEI will assess the potential for the proposed project to result in the loss of
availability of a known or valuable mineral resource in accordance with Appendix G of the State
CEQA Guidelines. SEI will review California Geological Survey and Geologic Energy Management
Division (CaIGEM; formerly Division of Oil, Gas, and Geothermal Resources fDOGGR)j)
publications, and any relevant published studies, maps, and data to assess the significance of
minerals within Mineral Resource Zones (MRZs). It is understood that the analysis of the potential
for significant impacts will be based solely on existing available records. SEI will review the City's
Environmental Resources and Conservation Element of the City General Plan, and any relevant
published studies, maps, and data to assess the presence of locally designated mineral resources or
mineral recovery sites.The impacts of the proposed project will be determined based on the potential
of the proposed project to result in loss of availability of a known mineral resource or mineral
resource recovery site.
Noise. SEI has retained the services of Yorke to prepare a Noise Technical Letter Report to determine
the potential impacts of the project to noise in accordance with Appendix G of the State CEQA
Guidelines (see Task 3, below). The results of the analysis prepared by Yorke will be used to inform
the analysis of potential noise impacts. The Noise Technical Letter Report will focus on the potential
for the proposed project to generate a substantial temporary or permanent increase in ambient noise
levels in the vicinity of the project that exceeds the standards for noise established for the City or
result in the exposure of sensitive receptors to excessive ground-borne vibration; a substantial
permanent increase in ambient noise levels; a substantial temporary increase in noise levels; or
exposure to excessive noise from public or private airports for people residing or working in new
structures. Mitigation may be required due to the proximity of sensitive receptors to the proposed
project.
Population and Housing. SEI will assess the potential for significant impacts in relation to population
and housing in accordance with Appendix G of the State CEQA Guidelines. Population and housing
conditions will be characterized according to local data and forecasts, including review of the
Housing Element of the City General Plan and Southern California Association of Governments
(SCAG) local profiles, for current and projected population and housing, and the proximity of the
proposed project to existing and planned utility infrastructure. The potential impacts of the proposed
project on population and housing will be evaluated in relation to whether the proposed project
would result in significant unplanned population growth or would result in displacement of
substantial numbers of existing people or housing.
Public Services. SEI will assess the potential of the proposed project to result in significant impacts
to public services in accordance with Appendix G of the State CEQA Guidelines and guidelines
established by the City. SEI's analysis will include a review of the existing public services and
coordination with local public service providers to determine capacity to accommodate additional
growth. The proposed project's impact on fire protection, police protection,schools, parks, hospitals,
libraries, post offices,and other public facilities in the proposed project's service area will be assessed
to determine the relevant levels of significance
Recreation. SEI will evaluate the potential for the proposed project to result in significant impacts to
recreation. SEI will review the Environmental Resources and Conservation Element of the City

General Plan, and data made generally available by the City, as well as any relevant published
studies, and maps. These documents and data will be used to assess any potential direct and indirect
impacts to parks, recreation, and open space within the proposed project site and surrounding area.
SEI will conduct a preliminary analysis in accordance with Appendix G of the State CEQA Guidelines
to identify and characterize existing baseline conditions, including existing recreational demands
and deficiencies in relation to City requirements, plans and policies, and discuss potential increased
demand or other impacts to recreation.
Transportation. SEI will review the Preliminary vehicle miles traveled (VMT) Screening Letter
prepared by the applicant's consultant, and the Circulation Element of the City General Plan to
determine the potential impacts of the project to transportation in accordance with the State CEQA
Guidelines. SEI understands that the applicant has been requested by the City to prepare a traffic
impact study(TIA). It is assumed that the traffic impact analysis prepared by the applicant will include
a VMT analysis consistent with CEQA Guidelines section 15064.3, subdivision (b). In addition to the
VMT analysis, the analysis of transportation and traffic will include the review of the potential for the
proposed project to result in significant impacts related to conflict with applicable plans, programs,
ordinances,or policies addressing the overall circulation system; conflict with or be inconsistent with
Section 15064.3 of the State CEQA Guidelines regarding VMT, an increase in hazards due to design
features; or inadequate emergency access. CIS data will be utilized to identify all public transit
systems, bicycle routes, and pedestrian facilities in the general vicinity of the proposed project study
area. This information will supplement the traffic assessment to determine conflicts with adopted
policies, plans, or programs regarding public transit, bicycle, or pedestrian facilities, or otherwise
decrease the performance or safety of such facilities.
Tribal Cultural Resources. SEI will assess the potential for the proposed project to result in significant
impacts to tribal cultural resources in accordance with Appendix G of the State CEQA Guidelines.
The analysis will address potential effects for either a site, feature, place, cultural landscape that is
geographically defined in terms of the size and scope of the landscape, sacred place, or object with
cultural value to a California Native American tribe on the project site. A records search for
archaeological and historical resources will be conducted at the South Central Coastal Information
Center, located at California State University, Fullerton, which is contracted by the State of California
to maintain and manage the California Historical Resources Information System. A request for a
Sacred Lands File search will be made to the Native American Heritage Commission to ascertain the
presence of any listed sacred sites. SEI will assist the City in coordinating requested tribal consultation
in accordance with Assembly Bill (AS) 52. If necessary, SEI will incorporate mitigation or avoidance
measures agreed upon between the City and tribal contacts during AS 52 consultation into the
environmental documentation.
Utilities and Service Systems. SEI will assess the potential for the proposed project to result in
significant impacts regarding utilities and service systems in accordance with Appendix G of the State
CEQA Guidelines and the City's Public Services and Infrastructure Element of the General Plan. The
analysis will include a review of the existing utilities infrastructure and coordination with the City
and other local public service providers. Impacts of the proposed project will be evaluated based
on whether the proposed project would result in construction of new or expanded wastewater,
stormwater drainage, electric power, natural gas, or telecommunications facilities. Additionally,
impacts would be determined based on existing and future water supply, capacity of existing
wastewater infrastructure, and consistency with solid waste regulations.
Wildfire. SEI will evaluate the potential for significant impacts of the proposed project as it relates to
wildfire risk in accordance with Appendix G, Section 15063, of the State CEQA Guidelines. SEI will

conduct a preliminary analysis to determine if wildfire risk would pertain to the proposed project.
SEI will review the California Department of Forestry and Fire Protection's (CAL FIRE) Fire and
Resource Assessment Program (FRAP) website, Natural and Environmental Hazards Element of the
City General Plan, and any relevant published studies and data to assess the presence of wildfire risk
and the potential for loss, injury or death. The material reviewed will determine whether the project
site is located in or near state responsibility areas or lands classified as very high fire hazard severity
zones. SEI will review state and local emergency response and evacuation plans,as well as any traffic
studies available to determine whether the proposed project would substantially impair an adopted
emergency response plan or emergency evacuation plan. SEI will characterize the baseline
conditions at the proposed project site regarding slope, prevailing winds, flood risks, landslide and
mudflow risks, and other factors that would have the potential for the proposed project to exacerbate
wildfire risks. The evaluation will determine whether the proposed project would require the
installation or maintenance of infrastructure including roads, fuel breaks, emergency water sources,
power lines or other utilities that may exacerbate fire risk or result in temporary or ongoing impacts
to the environment.
Mandatory Findings of Significance. SEI will assess the potential for significant impacts from the
proposed project to mandatory findings of significance in accordance with the State CEQA
Guidelines. SEI will utilize the relevant CEQA issue area analysis to evaluate the potential for the
proposed project to substantially degrade the quality of the environment, substantially reduce the
habitat of a fish or wildlife species, cause a fish or wildlife population to drop below self-sustaining
levels, threaten to eliminate a plant or animal community, substantially reduce the number or restrict
the range of a rare or endangered plant or animal, eliminate important examples of the major periods
of California history or prehistory,or directly or indirectly cause substantial adverse effects on human
beings. In consultation with the City, SEI will review a list of related projects in the vicinity of the
project site to determine whether the proposed project would result in cumulatively considerable
environmental impacts.
SEI will submit one (1) electronic copy in MS Word and PDF of the Administrative Draft IS/MND to
the City for review and comment. SEI will respond to one (1) composite set of comments on the
Administrative Draft IS/MND and submit the Draft IS/MND to the City. SEI will host a Galley Proof
meeting via teleconference to review the revisions to the IS/MND and verify that the City's comments
on the IS/MND have been adequately addressed. Any discrepancies will be resolved during the
Galley Proof meeting. Following the Galley Proof meeting, SEI will provide the City with one (1)
electronic copy of the Proposed IS/MND in Word and PDF for agency and public review circulation.
In addition, SEI will prepare up to five (5) hard copies of the Proposed IS/MND for distribution to the
City and local libraries.
Notice of Intent (NOI)
SEI will prepare an NOI to adopt an MND, and file it with the Orange County Clerk after City
approval of the Proposed fv11ND for public review. It is assumed that the City will be responsible for
distribution of the NOI to property owners/occupants, posting on-site, and/or distribution in a
newspaper in accordance with CEQA noticing requirements.
Notice of Completion (NOC)
SEI will prepare a Notice of Completion 0NOQ of an MIND and file it with the State Clearinghouse
on the first day of the 30-day public review period. This proposal assumes that the City will authorize
SEI to file the NOC on the State Clearinghouse's online portal on the City's behalf.

Final MND
Within one (1) week of the close of the 30-day public review period for the Proposed IS/MND, the
City will transmit copies of all letters of comment received on the Proposed IS/MND to SEI. Upon
receipt, SEI will review the letters of comment received and organize them by the source of
comments: federal, state, and regional agencies; and private organizations and individuals. Each
comment will be bracketed and numbered in each letter of comment. Comments may be grouped
into topical areas, and proposed responses will be developed. This scope of service is based on
addressing up to twenty-five (25) total substantive comments. Should a larger number of substantive
comments be received, utilizing a portion of the included contingency fee could be required.
SEI will prepare a Final IS/MND that incorporates comments from the public review period in
accordance with the City's standards. The Final IS/MND will consist of Response to Comments
organized by agency and public comment and a revised IS/MND document with clarifications and
revisions developed as a result of comments. SEI will provide one (1) electronic copy in Word and
PDF of the Administrative Draft Final IS/MND for City review. SEI will respond to City comments
and provide the City with one (1) electronic copy in PDF of the Final IS/MND.
Mitigation Monitoring and Reporting Program (MMRP)
SEI will prepare an MMRP in accordance with the City and CEQA standards and requirements for
the mitigation measures identified in the Final MND. The MMRP will include mitigation measures
that address significant impacts or are proposed to be adopted as conditions of approval, as well as
project design features and regulatory compliance measures discussed in the Project Description of
the MND. The MMRP will identify when the mitigation will take place (preconstruction,
construction, post construction, operation), the entity responsible for performing the mitigation
(applicant, City, construction contractor, etc.), how often, and how the mitigation will be
documented (i.e., weekly or monthly reports uploaded to the City website), the responsible
enforcement entity, and the responsible monitoring entity. SEI will prepare the Draft MMRP in a
format approved by the City and will provide one (1) electronic copy in MS Word and PDF format
for City review. SEI will respond to City comments and provide the City with one (1) electronic copy
in PDF of the final MMRP.
Notice of Determination (NOD)
SEI will prepare an NOD and file it with the Orange County Clerk and State Clearinghouse after
anticipated City approval of the project. This proposal assumes that the City will authorize SEI to file
the NOD on the State Clearinghouse's online portal on the City's behalf.

TASK 3 TECHNICAL STUDIES
Work Efforts
SEI has retained the services of Yorke to prepare an Air Quality and GHG and (Noise Technical Letter
Reports for the project.
Air Quality and GHG Impact Analysis
Yorke, in collaboration with SEI, will collect project data and provide a project-specific air quality
study that analyzes construction and operational emissions using CaIEEMod, a public domain
software developed by the CAPCOA in collaboration with the 35 California air districts specifically
for land use development projects, with the capability to include stationary source equipment. This
software program provides air basin-specific emissions estimates of air pollutants generated from
construction activities, including dust from demolition and earthmoving, and project operation,
including natural gas combustion and vehicle traffic. The emissions estimates will include criteria
pollutants [i.e., volatile organic compounds (VOCs), NOx, CO, sulfur oxides (SOx), and particulate
matter less than 10 and 2.5 microns in size (PM,o and PM2.$) and GHGs (i.e., carbon dioxide (CO2],
methane [CH41, nitrous oxide [N201, and carbon dioxide equivalent [CO2e]). As the official
assessment methodology for land use projects in California, CaIEEMod will be relied upon for
emissions quantification, which forms the basis for the impact analysis.
One set of modeling runs, including one initial and one final run, will be performed for the list of
construction phases and equipment provided by the applicant, or using CaIEEMod's default settings
if construction data is not available. The resulting emissions estimates will be used to perform an
initial significance evaluation of project impacts due to criteria pollutant and GHG emissions. If the
initial run shows that project impacts need to be mitigated to get below applicable significance
thresholds, standard mitigation measures will be applied in the final run. Final results from CalEEMod
will be compared against corresponding mass emissions thresholds for criteria pollutants and GHGs
to determine whether the project would have a significant impact during construction and/or
operation.
Mitigation Measures (if Needed)
CaIEEMod includes a number of basic mitigation measures that are normally activated by default for
commercial and residential land use projects because they are generally required by rule or code. If
the basic mitigation measures are not sufficient to pass a CEQA threshold, then optional mitigation

measures in the CalEEMod software can be used. Yorke will discuss these mitigation measures to
determine the most cost-effective method to meet the CEQA thresholds. If needed, these mitigation
measures will be incorporated into the analysis. A few examples of mitigation measures available in
CalEEMod are listed below:
• Newer construction equipment to reduce diesel engine NOx and PM10/PM2.5 emissions
• Enhanced construction fugitive dust (PM10/PM2.5) suppression, such as extra watering
• Staged application of architectural coatings to reduce daily VOC impacts
• Enhanced Title 24 energy efficiency features to reduce indirect GHG impacts
• Recycling programs to reduce off-site GHG impacts
• Transportation mitigation measures to reduce automobile dependency, etc.
Localized Significance Analysis
Due to the proximity of sensitive receptors, such as residences and schools, the SCAQMD's
Localized Significance Thresholds (LST) methodology will be used to analyze the neighborhood-
scale impacts of the criteria pollutants NOx, CO, PMIo, and PM2.5 associated with construction and
operational activities. Since the daily active project site is planned to be less than 5 acres in size, the
LST mass rate lookup tables will be used for the localized significance analysis.
Due to advances in modern vehicle exhaust system controls, project-related vehicular emissions of
CO rarely cause an exceedance of the CO standard, even at high-traffic intersections. Thus, a CO
"hot spot" analysis is not warranted, although a brief discussion will be added if the traffic analysis
(conducted by others) shows degradation in level-of-service (LOS) at an affected intersection.
Noise Impact Analysis
Yorke in collaboration with SEI, will perform a basic screening-level noise analysis for project
construction and operation based on methodology developed by the U.S. Department of
Transportation Federal Highway Administration (DOT FHWA) at the John A. Volpe National
Transportation Systems Center and other technical references. The DOT FHWA methodology uses
actual noise measurement data collected during the Boston "Big Dig" project (1991-2006) as
reference levels for a wide variety of construction equipment in common use. Equipment types will
be selected based on the CalEEMod construction equipment list determined in Task 1, thus ensuring
continuity between the air quality and noise analyses. For operational traffic noise, published
reference data will be used to assess localized impacts from streets, roads, and highways.
The DOT FHWA screening methodology, as correlated with CalEEMod, has been accepted by city
and county planning agencies throughout the region for preliminary construction noise impact
assessments upon nearby receptors, which are often residential land uses. For projects located in
urban settings, the incremental effect of project operation (possibility of a slight increase in traffic)
may not be quantifiable against existing traffic noise (background) in the project vicinity. This is due
to the logarithmic nature of sound attenuation.
Yorke will prepare a brief Technical Letter Report outlining the project-specific CalEEMod and LST
analysis techniques and results, as well as the results of the FHWA noise screening analysis. Yorke
will use a Technical Letter Report format customized for the particulars of the proposed project within
the established environmental and regulatory settings of the local agencies relative to CEQA. The
Technical Letter Reports for Air Quality/GHG and Noise will be included as appendices to the
IS/MND.

review and comment. The SEI team will respond to one (1) round of comment on each Draft
Technical Letter Report. The revised Technical Letter Reports will be appended to the IS/MND.
Biological Resources Survey and Technical Report
Work Efforts
SEI will conduct a field survey documenting all biological resources present on the project site,
including a 500-foot radius around the project site. SEI will perform a desktop records search of the
California Natural Diversity Database (CNDDB), the California Native Plant Society (CLAPS) Rare
Plant Inventory, and U.S. Fish and Wildlife Service data to determine the potential for sensitive
species to be present at the project site. SEI will consider all applicable local ordinances and
regulations as they pertain to the project. SEI will use CIS data from the CNDDB to search for all
records of sensitive species and plant communities within a 5-mile radius of the project site. In
addition, these records may be supplemented with other sources of data such as a-bird and herbaria
records, as appropriate.
Upon completion of the desktop review, two (2) SEI qualified biologists will conduct a site visit to
identify,characterize, and delineate habitat types present as well as any special status plant or animal
species in the proposed project area. The SEI biologists will conduct surveys of all possible nesting
substrates within the project area and a 500-foot buffer for evidence of sensitive bird species and
raptor use. SEI will photograph the proposed project properties and compile a floral and faunal
compendium of all species observed on-site.
SEI will document the results of the desktop research and field surveys in a Draft Biological Resources
Technical Report(BRTR)that addresses the applicable regulatory framework and baseline conditions,
evaluates the potential impacts of the project in regard to biological resources, and suggests potential
mitigation measures to reduce environmental impacts. This report will follow the guidelines
provided in Section IV under Appendix G of the CEQA Guidelines and will include an Introduction,
Methods, List of Potential Sensitive Species/Habitats, Results of Field Surveys, and Discussion.
Additionally, this report will consider regulations set forth by local plans and ordinances. The report
will discuss and analyze the permanent and temporary impacts to biological resources as a result of
the proposed project as well as the potential or cumulative impacts. The report will also suggest
avoidance, minimization, and mitigation measures, if required. This report will serve to inform the
property owner and representatives of the potential for impacts to biological resources at the
proposed project site.

Per the City's request,Willdan Engineering(Willdan) has prepared this proposal to provide environmental
consulting services and prepare a Mitigated Negative Declaration for a proposed 85-unit residential
development at 21141 Strathmoor Lane.
We understand that the City specifically requires assistance in preparing the required environmental
documentation in accordance with the California Environmental Quality Act (CEQA). Based upon our
review of the proposed project and preliminary assessment of the potential development impacts that
the Project would facilitate, we anticipate that the project would likely result in the preparation of a
Mitigated Negative Declaration of Environmental Impact. Although the appropriate CEQA document for
the proposed project cannot be determined until the Initial Study is completed, we have assumed in this
proposal that an MND will be the appropriate CECJA document.
Additionally, it is our understanding the applicant is requesting the following discretionary actions in
connection with the proposed development:

Our scope of services, schedule for completion and fee schedule for these services are discussed below.
CEQA Documentation
Willdan will discuss and analyze potential environmental impacts resulting from the project, including
potential impacts related to air quality, greenhouse gas, noise, cultural resources, and biological
resources. The Initial Study Checklist, at a minimum, will include a description of the project, project
setting, analysis of environmental impacts, proposed mitigation,and mitigation monitoring plan.
Task 1-Project Nick-off Meeting/Site Visit/Project Description
Wdldan's project manager will meet with City staff at the initiation of the project to clarify the work
program, review the project schedule, confirm the project description, and determine the applicability
and relevance of project objectives. During the course of the work program, Wllldan's project manager
will communicate with City staff on a periodic basis to discuss relevant issues and report on the status of
the work effort. Willdan's project manager will attend an initial meeting with City staff and additional
meetings conducted by phone on a monthly or as needed basis during the course of the work program.
Task 2-Review and of Technical Studies
Willdan understands the applicant has provided a series of technical studies prepared for the project
based on our review of project materials, the content of the City's Request for Proposals, and input we
have received from the City. The findings of the technical analyses will be incorporated into the Initial
Study, and the full technical studies will be included as appendices to the environmental document. The

The scope for each of these technical studies is described below:
Task 2.1 -Air Quality and Greenhouse Gas Emissions Study (CaIEEMod Analysis)
Unless otherwise directed, the air quality assessment will be prepared by Willdan and will assess both
operational and construction impacts. Both local and potential regional air quality impacts will be
addressed. The air quality assessment will include the following components:
• Existing Regulatory Environment: The project is located in the South Coast Air Basin, in the
jurisdiction of the South Coast Air Quality Management District (SCAQMD). The existing air
environment will be briefly described in terms of meteorology, local topography affecting
pollutant dispersion, and ambient air monitoring data. A summary of current air management
efforts related to the proposed project will be provided with particular emphasis on the applicable
requirements of the current SCAQMD Air Quality Management Plan (AQMP), as well as the
SCAQMD's CEQA Handbook requirements for air quality assessments.
• Analysis Method: Willdan will use the current version of the California Emissions Estimator Model
(CaIEEMod)to assess short-term construction and long-term operational emissions. CaIEEMod is
an Excel'"-based software program developed by a consortium of California air quality
management districts and air pollution control agencies. This model is designed for planners and
public agency staff,and provides a general assessment of project emissions using emissions values
from a wide range of construction equipment data obtained by surveying California contractors.
If project construction equipment is known, those specific values will assist in tailoring the model
so that the results represent actual emissions to the extent possible. Otherwise, the model
provides default equipment sets for various project categories; these will likely be adequate for
determining whether the proposed project will meet air quality thresholds. CaIEEMod estimates
operational emissions by incorporating vehicle trip volumes from the Institute of Transportation
Engineers'(ITE)traffic volume estimates for proposed land uses,and emissions related to ongoing
project maintenance (painting, re-paving, landscape maintenance,etc.).
Construction and operational emissions estimates will be compared to the SCAQMD Significance
Thresholds to determine whether project emissions will cause significant impacts.
The CaIEEMod program will also project long-term project emissions from increased traffic and
energy use (electricity generation, use of natural gas for heating and cooking, etc.) by public
utilities and other infrastructure supporting the project. The emissions generated by these
sources will be assessed and compared to both the SCAQMD Regional Thresholds and Local
Significance Thresholds.
• Mitigation Measures: Measures will be developed to reduce significant air quality impacts to the
extent possible for any significant impacts identified.
Unless otherwise directed, the greenhouse gas (GHG)assessment will be prepared by Willdan, using the
CaIEEMod program. The greenhouse gas assessment will include the following components:

GHG regulations and guidance for determining environmental impact significance will be
presented. The State of California considers GHG emissions — carbon dioxide (CO2), methane
(CH4), nitrous oxide (NOX) and ozone, collectively labeled "CO2 equivalents" (CO2eq) —to be
significant factors affecting global climate change. Climate change impacts may include an
increase in extreme heat days, higher concentrations of air pollutants,sea level rise, impacts to
water supply and water quality, public health impacts, impacts to ecosystems, impacts to
agriculture, and other environmental impacts. Although no single project can generate enough
GHG emissions to affect global average temperatures appreciably, the combination of GHG
emissions from past, present, and future projects may contribute substantially to the
phenomenon of global climate change and its associated environmental impacts.
The CEQA Guidelines do not assign GHG significance thresholds, and the SCAQMD sets forth a
GHG threshold only for industrial facilities that require SCAQMD permits to operate (10,000
metric tons (MT) of CO2eq per year). The City of Huntington Beach Draft Greenhouse Gas
Reduction Program (2017) does not set thresholds, but proposed a number of strategies and
reduction goals to which a proposed project can be compared.
In the absence of a numeric threshold, local agencies can also compare a project's emissions
against the California Air Resource Board(CARB)'s 2017 Climate Change Scoping plan,which sets
forth a"reference scenario"as a baseline for measuring how much GHG emissions can be reduced
in several economic sectors. This scenario illustrates the level of GHG emissions that would be
generated statewide through 2030 under existing policies and programs,but without any further
action to reduce GHGs,i.e.what would be generated by doing"business as usual"without efforts
to reduce emissions.This level is estimated to be approximately 400 million metric tons(MMTs)
of carbon dioxide equivalents (CO2e) from all California sources in 2030. The CARB's statewide
2030 target level of emissions is approximately 260 MMTs. The Scoping Plan estimates that the
change from 1990 levels in the residential and commercial sectors must be from 44 MMT of CO2e
to 38-40 MMT of CO2e by 2030, a four to eight percent reduction. Where a project can
demonstrate consistency with this percentage reduction, a finding of"less than significant" may
be appropriate.
• Potential Impacts: The CaIEEMod model noted above will be used to project the primary GHG
emissions from demolition and construction activities,vehicular usage,water consumption,solid
waste generation and other operational activities. Electrical generation and natural gas
combustion emissions will be included in the operational emissions.
• Mitigation Measures: Mitigation measures will be developed as necessary. If impacts are
identified, feasible means of mitigating the significant effects of GHGs must be based on
substantial evidence and subject to monitoring or reporting. Mitigation measures may include:
measures in an adopted Climate Action Plan or General Plan; reductions resulting from project
implementation including measures identified in Appendix F of the CEQA Guidelines; off-site
measures including carbon offsets; community energy conservation projects; greenhouse gas
sequestration(e.g. planting trees or other plant material on or off-site);and other measures that
can be implemented at the project level. Note that compliance with the California Green Building
Code (Title 24) in itself results in considerable GHG-emission reduction and may eliminate the
need for supplementary mitigation measures.

2.2.1 Native American Cultural Resource Scoping.
Willdan will request a search of the Sacred Lands File(SLF)from the Native American Heritage Commission
(NAHC). The SLF search will indicate whether cultural resources important to Native Americans are
present in the vicinity of the project site. No letters will be mailed as part of this task.
2.2.2 AB 52 Consultation Assistance.
Under AB 52,the City, as the CEQA lead agency, is required to begin consultation with California Native
American tribes that are traditionally and culturally affiliated with the project area prior to the release of
the Supplement or Addendum. Under this task, Willdan will assist the City with consultation under AB 52
by providing the City with letter templates, checklists, and detailed instructions to ensure meaningful
consultation with interested Native American groups can be completed in accordance with AB 52. This
task does not include costs for mailings, meetings, outreach, or additional consultation by Willdan.
Additionally,this assistance does not include an assessment of impacts for a CEQA document.Willdan can
assist with these tasks for an additional cost. Willdan will request an AB 52 consultation list from the
Native American Heritage Commission (NAHC) on behalf of the City, should the City choose to request
such a list from the NAHC. In the unlikely event that notification with any tribe(s) results in extensive
consultation, any additional time beyond the cost detailed below will be subject to the Project Manager's
hourly billing rate.

Task 3—Preparation of a Preliminary Draft Initial Study
Willdan will conduct project review and background research to identify the potential environmental
resources and conditions that exist on the project site, and to analyze the project's potential
environmental impacts. Using Huntington Beach's version of the CEQA Initial Study Checklist(if available),
Willdan will prepare a Preliminary Draft Initial Study for review by City staff, which will incorporate the
findings of the technical studies prepared under Task 2,as well as a full analysis of all of the environmental
issues included on the City's Initial Study Checklist. The evaluation of environmental impacts will include
narrative explanations of impacts,which will be classified as potentially significant, potentially significant
unless mitigated, less than significant,or non-existent.
Based on the results of the Draft Initial Study, Willdan will most likely recommend the preparation of a
Mitigated Negative Declaration to satisfy CEOA requirements for the project. If an MND is determined to
be the appropriate CEQA document for the proposed project,with the City's concurrence,Willdan would
proceed to Task 5. If an EIR is determined to be the appropriate CEQA document for the project,Willdan
will provide the City with a revised scope and fee.

Task 5—Notices, NOI,Circulation of the Mitigated Negative Declaration, and Public Notification
Willdan will assist the City in circulating the environmental document for public review. Willdan will
prepare the Notice of Completion form,a Notice of Intent to Adopt/Notice of Availability of an MND(NOI)
and a State Clearinghouse(SCH)Summary Form. Willdan will also send by certified mail copies of the NOI
and the MND to those on the mailing list of individuals, organizations, and agencies that will receive the
environmental document for review and comment. Willdan upload the entire document to the State
Clearinghouse CEQAnet database, including the technical appendices. The City will be responsible for
publication of the Notice of Intent to Adopt/Notice of Availability and location distribution and posting of
the MND in accordance with City procedures.
Upon project adoption, Willdan will prepare a Notice of Determination in accordance with Section 15094
of the State CEQA Guidelines for the City to file with the County Clerk. Willdan recommends the City file
the Notice of Determination within five (5) days of adopting the MND to establish a 30-day Statute of
Limitations. Willdan will also prepare and file the required California Department of Fish and Wildlife No
Effect Determination (NED)for the project.

Task 6-Prepare a Final Initial Study/Mitigated Negative Declaration.
After receiving the public comments on the Draft Initial Study and Willdan will make the appropriate
changes and prepare a final version of the Initial Study/Mitigated Negative for City staff review and
approval. The final IS/MND will include a detailed description of the proposed project, an overall
discussion of the environmental and regulatory setting for the proposed project, individual responses to
each of the checklist's questions, and a discussion of CEQA's Mandatory Findings of Significance. If
mitigation measures are required, the City must adopt a Mitigation Monitoring and Reporting Program
(MMRP) prior to project approval. Willdan will prepare and submit a draft version of the MMRP to the
City for review and comment. After receiving the City's comments and making the appropriate changes,
Willdan will submit the final MMRP to the City.
CEQA does not require a Lead Agency to prepare formal responses to comments on an MND.
Nonetheless, upon request, Willdan will prepare responses to comments on any environmental issues
raised during the public review period. A draft version of the responses to comments will be submitted
to the City for review and comment. After receiving the City's comments, and making the appropriate
changes,Willdan will submit a final version of the responses to comments to the City.
Deliverables:
• Willdan will submit the MND to the City electronically (PDP). Willdan will also submit one (1)
unbound,five(5)bound, and S CD copies of the final version of the IS/MND with technical studies
to the City.
• Willdan will submit the MMRP to the City electronically.
Task 7 -Attend Public Meetings and Hearings on the Project
Willdan's Project Manager will be available to attend meetings and public hearings on the project and
MND adoption. Attendance includes attending at least one (1) community meeting, and attendance at
two (2) public hearings(Planning Commission and City Council).
Task 8 - Management and Coordination
Willdan's Project Manager will coordinate with City staff and the technical specialists. Willdan anticipates
two (2) coordination meetings between Willdan and the City including the kick-off meeting.
We estimate that approximately 12 weeks would be needed to conduct the analyses of project impacts
and draft the Initial Study for the project for staff's review. Assuming that our staff will commence work
by February 2021, a screencheck (administrative) draft of the Initial Study Checklist will be available for
City staff review by May 15, 2021. Allowing 15 days for staff review and making requested revisions, the
Draft Initial Study Checklist will be ready for submittal to the State Clearinghouse and for circulation for
public review and comment by June 15, 2021. It is anticipated that the Final Initial Study Checklist and
