AMENDMENT NO. 1 TO AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND STANTEC CONSULTING SERVICES, INC. FOR ON-CALL CIVIL ENGINEERING, SURVEYING & PROFESSIONAL CONSULTING SERVICES THIS AMENDMENT is made and entered into by and between the CITY OF HUNTINGTON BEACH, a California municipal corporation, hereinafter referred to as "City," and STANTEC CONSULTING SERVICES, INC., hereinafter referred to as "Consultant." WHEREAS, City and Consultant are parties to that certain agreement, dated June 1, 2021, entitled"Professional Services Contract Between the City of I-luntington Beach and STANTEC CONSULTING SERVICES, INC. for On-Call Civil Engineering, Surveying& Professional Consulting Services"which agreement shall hereinafter be referred to as the "Original Agreement"; and City and Consultant wish to amend the Original Agreement to extend the term of the Agreement. NOW, THEREFORE, it is agreed by City and Consultant as follows: 1. TERM The term of the Agreement is extended for one additional year until May 31, 2025. 2. Statement of Issue: The Public Works Department requires on-call civil engineering, surveying, and consulting services for as-needed support staff to assist with the design and construction of the capital improvement projects, which are identified in the annual Capital Improvement Program (CIP). Financial Impact: The City adopted Fiscal Year (FY) 2020121 and proposed FY 2021/22 CIP Budgets total $24.5 million and $39 3 million, respectively, for approved projects citywide. Each approved CIP project has a budget containing sufficient funding for design, environmental, engineering, construction, project management, and other required costs. The five (5) recommended civil engineering contracts, totaling $5.0 million, will be funded within each project's individual CIP budget, as needed. As such, no additional funding is required by this action. Budgeted capital improvement projects could be delayed until new contracts are approved, Analysis: On February 1, 2021, the City advertised a Request for Qualifications (RFQ) for On-Call Civil Engineering, Surveying, and Professional Consulting Services. Proposals were requested and submitted in compliance with Chapter 3.03 of the Huntington Beach Municipal Code. Twenty-three (23) proposals were received for civil and engineering services. In accordance with qualifications- based selected procurement, per the Federal "Brooks Act," State SB 419, and the City of Huntington Beach Municipal Code Section 3.03 "Professional Services," the Public Works Department established a review board. Each firm stated their engineering category of expertise with their proposal. Proposals were then evaluated and ranked by the review board. The top five (5) firms were selected in each category to increase opportunity for competitive proposals for future projects from qualified on-call consultants. The five (5) contracts recommended for approval are for support staff for civil and design engineering of capital improvement projects. These services have historically been utilized to supplement City staff to meet annual Capital Improvement Program (CIP) goals as an extension of staff, and/or to provide required expertise for unique projects. It is anticipated that these services will be required based on past years. Each project is evaluated on a case-by-case basis to determine if these as- needed contract services are necessary. The City's CIP is approximately $24.5 million in Fiscal Year (FY) 2020/21, In addition, the proposed FY 2021/22 CIP totals $39.3 million in new projects. Typical design and construction support cost from the use of consultants on a CIP project can vary between ten to twenty percent (10-20%) of total costs for a CIP project. Therefore, it is practical to conservatively assume minimum annual consultant costs would be around $3 million to the City for total CIP projects, or approximately $9 million over the next three (3) years. Civil engineering, surveying, and consulting services are typically required for streets, alleys, parking lots, and other related CIP projects. Therefore, these consultants were selected to meet projected workload over the next three years with a total contract limit of $5 million. The proposed contract amounts are a not-to-exceed amount for a three-year temt, with no guarantee of work. Funding for any and all of these contract services is only through City Council authorization in the budget approval process. Environmental Status: Not applicable. ENGINEERING, SURVEYING & PROFESSIONAL CONSULTING SERVICES THIS AGREEMENT ("Agreement") is made and entered into by and between the City of Fluntington Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY." and STANTEC CONSULTING SERVICES. INC.. hereinafter referred to as "CONSULTANT." WHEREAS. CITY desires to engage the services of a consUltant to provide on-call civil engineering, surveying and professional consulting services; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform these services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all services as described in Exhibit "A," which is attached hereto and incorporated into this Agreement by this reference. TERM, TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence on .k,4r, l / , 20�/ (the "Commencement Date"). This Agreement shall automatically terminate three (3) years from the Commencement Date, unless extended or sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be completed no later than one year from the Commencement Date. The time for performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit "A." This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT. In the event the Commencement Date precedes the Effective Date, CONSULTANT shall be bound by all terms and conditions as provided herein. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is attached hereto and incorporated by reference into this Agreement, a fee, including all costs and expenses, not to exceed One Million Dollars (51,000,000.00). 5. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A" or changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 6. METHOD OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit "B." 21-97141254821 2 of 11 7. DISPOSITION OF PLANS. ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda. letters and other documents. shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion. whichever shall occur first. These materials may be used by CITY as it sees fit. S. HOLD HARMLESS A. CONSULTANT hereby agrees to protect. defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors. if any) negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of- CITY. CONSULTANT will conduct all defense at its sole cost and expense and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT. B. To the extent that CONSULTANT performs "Design Professional Services" within the meaning of Civil Code Section 2782.8, then the following Hold Harmless provision applies in place of-subsection A above: 21-971d254821 3 of I "CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY and its officers, elected or appointed officials, employees. agents and volunteers, from and against any and all claims, damages, losses, expenses, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) to the extent that the claims against CONSULTANT arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of CONSULTANT. In no event shall the cost to defend charged to CONSULTANT exceed CONSULTANT's proportionate percentage of fault. However, notwithstanding the previous sentence, in the event one or more other defendants to the claims and/or litigation is unable to pay its share of defense costs due to bankruptcy or dissolution of the business, CONSULTANT shall meet and confer with CITY and other defendants regarding unpaid defense costs. The duty to indemnify, including the duty and the cost to defend, is limited as provided in California Civil Code Section 2782.8. C. Regardless of whether subparagraph A or Q applies, CITY shall be reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in enforcing this obligation. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by CONSULTANT. 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Killion Dollars ($1,000,000.00) per occurrence and in the aggregate. The above-mentioned insurance shall not contain a self-insured retention without the express written consent of CITY: however an insurance 21-9zi4as•1821 4 of I I police "deductible" of Ten Thousand Dollars ($10,000.00) or less is permitted. A claims-made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). E. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for anv reason. CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. If CONSULTANT fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the CITY with required proof that insurance has been procured and is in force and paid for. the CITY shall have the right, at the CIfY's election, to forthwith terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its time and materials expended prior to notification of termination. CONSULTANT waives the right to receive compensation and agrees to indemnify the CITY for any work performed prior to approval of insurance by the CITY. 10. CERTIFICATE OF INSURANCE. Prior to commencing performance of the work hereunder. CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: A. provide the name and policy number of each carrier and policy; B. state that the policy is currently in force; and 21-9714P5d321 5 of I I C. shall promise that such police shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirtv (30) days' prior written notice: however, ten (10) days' prior written notice in the event of cancellation for nonpayment of'premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the wort: under this Agreement is fully completed and accepted by CITY. 'file requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. 11. IN—DI--'PENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation. unemployment compensation and other payroll deductions for CONSULTANT and its officers. agents and employees and all business licenses, if any. in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSUL.TANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the 2i 9714r'54821 6 of 1 I event of termination, all finished and unfinished documents. exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. NOTICES Any notices. certificates. or other communications hereunder shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY as the situation shall warrant. or by enclosing the same in a scaled envelope, postage prepaid, and depositing the same in the United States Postal Service. to the addresses specified below. CONSENT When CITY's consent/approval is required under this Agreement, its consent/approval for one transaction or event shall not be deemed to be a consent/approval to any subsequent occurrence of the same or any other transaction or event. 18. tMODIPICATION No waiver or modification of any language in this Agreement shall be valid unless in writing and duly executed by both parties. 19. INIMIGRAIION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of' the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. UNDERSTANDING AND METHODOLOGY 1 . OVERVIEW OF APPROACH TO ON-CALL SERVICES We understand the on-call process for local, state and federally funded projects. For most general on-call civil engineering services, we will prepare engineering design plans, reports, specifications, and estimates (PS&E). The phases of work for a typical project will include Preliminary Engineering, Final Engineering, and Bid and Construction Support Services. Surveying services can either be included as part of a specific civil engineering project or can be standalone. See the Figure 2 Project Workflow Diagram on the next page for a typical task order. PRELIMINARY ENGINEERING: In our experience, this phase is instrumental in confirming design objectives, highlighting project opportunities for cost savings, and expediting the design and approval process. We begin all projects by identifying and addressing major project design issues and funding constraints before work commences. To initiate this phase, we meet with you to gain an understanding of the project objectives, tinning, budget, and views of internal and external stakeholders. We will establish control, prepare a base map, and perform research to understand the existing conditions and identify the opportunities and constraints for the project. We will then prepare conceptual plan alternatives, technical studies, and preliminary cost estimates as required. If the project is within Caltrans right-of-way, we confirm the permitting process. If an environmental document is required, it will be prepared during this phase. Finally, our staff can lead or attend public outreach efforts to educate City staff and residents and gain project support. FINAL ENGINEERING: Once a preferred alternative is selected, it will typically be developed into preliminary construction plans at approximately 50% level. Once we receive comments on the preliminary construction plans, we further develop them into the final construction documents. If necessary, we can value engineer the project so that the total cost is within budget. We will then typically produce PS&E at the 90 and 100 °X levels to be reviewed and approved by you. PS&E will be prepared using the City's latest standard plans and Greenbook specifications. Permits and approvals from applicable agencies will be processed, and if necessary, legal descriptions and plat maps will be prepared for new right-of-way acquisitions and easements. Records of survey may also be prepared. BID AND CONSTRUCTION SUPPORT: We will provide support services during the bid process as requested by you. Once the project has been awarded, we will attend the pre-proposal, preconstruction, and other on-site meetings, as needed. APPROACH TO SPECIFIC ASSIGNMENTS The following illustrates our basic approach and the innovative and advanced techniques that we utilize for successful completion of typical Civil Engineering and Surveying Services, DESIGN SURVEY AND BASE MAPPING: An accurate base map consisting of existing topographic information, street centerlines and right-of-way lines, and utilities will yield the best possible design and reduce Contractor change orders. Our in-house surveyors will begin by establishing the horizontal and vertical controls and retracing the street centerlines and rights-of-way lines based on observed monuments. A field survey will typically be performed to create a topographic map of the area. For streets with heavy traffic such as Pacific Coast Highway or Beach Boulevard, we may utilize our advanced 3D laser scanning techniques to obtain the topographic data which is more efficient and safer for our staff since they don't have to traverse the busy streets. For larger projects, an aerial survey may also be performed. As part of the base mapping process, a utility base map will be prepared. Our engineers will research available utility maps from the City and other utility companies in the area and then prepare an accurate utility base map which is critical to know whether any new improvements will conflict with existing utilities and if any utility relocations are required. ROADWAY REHABILITATION IMPROVEMENTS: The goal of any roadway rehabilitation project is to provide the most cost-effective pavement resurfacing option to help ensure that the City is getting the "most bang for its buck" when enhancing and maintaining its infrastructure. We will explore all construction alternatives using innovative techniques such as in-place non-destructive deflection testing and ground penetrating radar. Utilizing these advanced techniques allows us to better value engineer the pavement structural design section by isolating the more distressed areas (which may require full depth pavement repairs) from the less distressed areas (which may only require cold milling and overlays). We can also provide recommendations for more advanced pavement rehabilitation strategies such as cold in-place recycling (CIR) or full depth reclamation (FDR), and will be available to discuss the benefits and drawbacks of each. In addition to pavement resurfacing, we will diligently review the project site and provide all necessary ADA upgrades to curb ramps, prepare new signing and striping plans, correct local drainage issues, repair damaged curbs, gutters, and sidewalk; adjust utilities to grade; provide tree root pruning; and replace loop detection. ROADWAY WIDENING AND REALIGNMENT IMPROVEMENTS: Modifications to existing roadways typically require a Traffic Study and Concept Plan alternatives to confirm the new roadway geometrics. Our traffic engineers will evaluate existing conditions and make recommendations on the most cost- effective improvements. Our staff can lead or assist the City with public outreach efforts which may be necessary to gain consensus for the proposed improvements. Our roadway engineers will utilize Civil 3D during the preliminary engineering phase to quickly design the proposed roadway geometrics 553 City of Huntington Beach#On-Call Engineering,Sun-eying,and Professional Consulting Services both horizontally and vertically. Preparing a 3D model of the proposed improvements at this stage allows us to accurately confirm impacts to offsite improvements, including additional right-of-way required, which is critical moving into final design. Utilizing Civil 3D also allows us to study different alternatives efficiently, so that we ultimately select the best available option. Identifying and mitigating conflicting utilities is also critical for these types of project. We have experts available who specialized in utility coordination and have developed a workflow which helps ensure that all existing utilities are mapped accurately, conflicts are identified, and relocations are coordinated before construction begins. If necessary, traffic signal relocation/modification and traffic control plans will be prepared to accommodate the widening. SITE IMPROVEMENTS: Site improvements usually include new or modifications to existing parks and parking lots. Typically, we will provide a Concept Site Plan to confirm the proposed improvements prior to final design. Since project aesthetics are important, we may provide a Concept Landscape and Hardscape Plan which will be a color illustrative depicting the proposed trees, shrubs, ground covers, decorative pavement, site furniture and other softscape elements. Upon concept plan approval, we will proceed with final design. The site will be graded with the goal of balancing the earthwork quantities. Drainage and water quality improvements will be provided, including incorporation of Low Impact Development and Best Management Practices (LID/BMP) to best extent possible to comply with water quality requirements for the treatment of stormwater. These improvements typically include the use of bioswales, rain gardens, pervious materials, and new landscape areas. We will provide efficient vehicle circulation within entry drives and parking lots. Pedestrian circulation will include confirming that the ADA path of travel complies with all state and federal regulations. We will create a sustainable landscape design by using indigenous and drought resistant materials, where appropriate. The irrigation system typically includes a low-volume delivery system designed to prevent water from leaving the target site while supplying the proper amount for the optimum plant health. Finally, new restrooms and picnic shelters can be provided and will include any required utility services for these structures and any other improvements within the site. ACTIVE TRANSPORTATION IMPROVEMENTS AND PEDESTRIAN SAFETY IMPROVEMENTS: We are committed to designing innovative and sustainable public infrastructure throughout your City with a focus on safety and equity, and understand how traditional approaches to traffic design perpetuate problems relating to health, safety, and unfairness to some users. We use principles found in Complete Streets programs to provide improvements which enable safe, convenient, and comfortable travel and access for users of all ages and abilities regardless of their mode of transportation. We have extensive experience with implementing new Class I, II, and IV bikeways and consistently look for innovative ways to close gaps in the existing bikeway network. 554 City of Huntington Beach//On-Call Engineering,Surveying,and Professional Consohing Serices i? DRAINAGE IMPROVEMENTS AND STUDIES: Stantec's holistic approach to drainage analysis begins with our assessment of drainage related project impacts. Drainage impacts associated with projects will be evaluated by inventorying the streets, catch basins, and storm drains that presently receive flow from the project-inclusive watersheds. Once identified, an evaluation of flow increases or decreases will be performed for each facility. In the event that flow increases are anticipated, an analysis will be made as to the magnitude of the increase, and whether or not that increase will be significant with respect to existing facility capacities. At the conclusion of the drainage evaluation, a Drainage Evaluation Memorandum we will be prepared to document the evaluation's findings. Once the drainage evaluation is accepted, design activities will be initiated and either coordinated with the overall project schedule or scheduled independently for projects that are exclusively drainage related. A hydrology and hydraulics report will typically be prepared and plans will be developed and reviewed with City staff at significant submittal milestones. WATER QUALITY IMPROVEMENTS AND DOCUMENTS: Stantec will coordinate with City staff responsible for the National Pollutant Discharge Elimination System (NPDES) compliance and maintenance staff to identify Best Management Practices (BMPs) that are acceptable to the City. This coordination will include reviewing project opportunities for the incorporation of permanent BMPs into the project's design features to promote aesthetics and water quality improvements. Rain gardens and landscaped bio-treatment cells, for example, are BMPs that fit well into roadway improvements projects. BMPs will also be integrated into the overall flood control management plan for the project to eliminate potential redundancies in storm water conveyance facilities. Upon selection of project BMPs, Stantec will typically prepare a Water Quality Management Plan (WQMP) for the project that will detail water quality considerations and requirements. The WQMP will address the City's MS4 Permit as issued by the Regional Water Quality Control Board, Santa Ana Region. To the maximum extent practicable, BMPs will be implemented that are consistent with Low Impact Development (LID) guidelines as well as the Green Streets guidelines as defined by the US Environmental Protection Agency. If necessary, detailed discussions will be provided in the WQMP to document the impracticality of BMP implementations as a part of the project. As the project proceeds into construction, Stantec's in-house Qualified Storm Water Pollution Prevention Plan Developer (QSD) can also prepare a SWPPP for the project to address water quality concerns during construction activities and processes the NOI and all pre-construction filings through SMARTS. Since the cost estimate will be used as a basis for the bid schedule, it's important to include all required work items and confirm that the quantities for these work items are correct. Accurate unit costs are also important for the City to understand the overall cost of the project and to determine if the project needs to be value engineered to get the project within the budget available. Stantec has developed custom software which links the linework and hatches in the base drawings to the quantities shown in the estimate, and we continuously track unit costs using recent bids from local contracts. Therefore, our quantities and estimates are current from preliminary to final design, which is critical in keeping the project within the City's budget. SPECIFICATIONS: Well written specifications reduce the potential for change orders during construction. We are familiar with various formats of specifications including the Standard Specifications for Public Works Construction (SSPWC), "Greenbook", Construction Specification Institute (CSI), and Caltians. Our experienced staff will thoroughly prepare the specifications so that convey our engineers' design intent, do not conflict with the improvement plans, and clearly describe the work required for all bid items. The specifications will also identify all permits, plans, coordination, and other requirements the contractor will be responsible for during construction, including all specific utility coordination efforts and work windows that will need to be provided. CORNER RECORDS AND RECORDS OF SURVEY: Our surveyors have extensive experience preparing and reviewing corner records and dozens of records of survey maps for municipal agencies. We have prepared thousands of corner records for the City of Huntington Beach and dozens of Records of survey maps for clients like Los Angeles County Public Works, the Sanitation Districts of Los Angeles County, the City of Irvine, and many others. We have extensive monument preservation experience throughout Orange and Los Angeles Counties. LEGAL DESCRIPTIONS AND PLATS: A professionally prepared legal description and plat must hold up under the scrutiny of the owners, title insurance companies, local agencies, and the courts.
