PREPARATION OF A MITIGATED NEGATIVE DECLARATION

THIS AGREEMENT ("Agreement") is made and entered into by and between the
City of 1-iunthwton Beach, a municipal corporation of the State of California, hereinafter
referred to as "CITY," and Sagecrest Planning and Environmental. a California
Corporation hereinafter referred to as "CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to prepare a
Mitigated Negative Declaration for the Olson Townhomes project: and
Pursuant to documentation on file in the office of the City Clerk, the provisions of
the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of
professional service contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. SCOPE OF SERVICES
CONSULTANT shall provide all services as described in Exhibit "A,"
which is attached hereto and incorporated into this Agreement by this reference. These
services shall sometimes hereinafter be referred to as the "PROJECT."
CONSULTANT hereby designates Christine Saunders who shall represent
it and be its sole contact and agent in all consultations with CITY during the performance
of this Agreement.

2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT
in the performance of this Agreement.
3. TERNC TINIE OF PERFORNIANCE
Time is of the essence of this Agreement. The services of CONSULTANT
are to commence on -594'= Z:L . 2021 (the "Commencement Date"). This Agreement
shall automatically terminate three (3) years from the Commencement Date, unless
extended or sooner terminated as provided herein. All tasks specified in Exhibit "A" shall
be completed no later than three (3) years from the Commencement Date. The time for
performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit
"A." This schedule may be amended to benefit the PROJECT if mutually agreed to in
writing by CITY and CONSULTANT.
In the event the Commencement Date precedes the Effective Date,
CONSULTANT shall be bound by all terms and conditions as provided herein.
4. CONVENSATION
In consideration of the performance of the services described herein. CITY
agrees to pay CONSULTANT on a time and materials basis at the rates specified in
Exhibit "13," which is attached hereto and incorporated by reference into this Agreement,
a fee. including all costs and expenses, not to exceed Eighty Three Thousand Six
Hundred Dollars ($83,600).
3. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A"
or changes in the scope of services described in Exhibit "A," CONSULTANT will
undertake such work only after receiving written authorization from CITY. Additional

compensation for such extra work shall be allowed only if' the prior written approval of'
CITY is obtained.
6. METHOD OF PAYMENT
CONSUL:TANT shall be paid pursuant to the terns of Exhibit "B."
7. DISPOSITION OF PLANS. ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder.
including. without limitation, all original drawings, designs, reports, both field and office
notices, calculations. computer code, language, data or programs, maps, memoranda,
letters and other documents, shall belong to CITY, and CONSULTANT shall turn these
materials over to CITY upon expiration or termination of this Agreement or upon
PROJECT completion, whichever shall occur first. These materials may be used by CITY
as it sees fit.
8. HOLD HARMLESS
A. CONSULTANT hereby agrees to protect. defend, indemnify and
hold harmless CITY. its officers, elected or appointed ol'ticials, employees. agents and
volunteers from and against any and all claims. damages, losses, expenses, judgments.
demands and defense costs (including, without limitation. costs and fees of litigation of
every nature or liability of any kind or nature) arising out of or in connection with
CONSUL:TANT's (or CONSULTANr's subcontractors, if any) negligent (or alleged
negligent) performance of this Agreement or its I'ailure to comply with any of its
obligations contained in this Agreement by CONSULTANT, its officers, agents or
employees except such loss or damage which was caused by the sole negligence or willful
misconduct of CITY. CONSULTANT will conduct all defense at its sole cost and expense
and CITY shall approve selection of CONSULTANT's counsel This indemnity shall

apply to all claims and liability regardless of whether any insurance policies are applicable.
The policy limits do not act as limitation upon the amount of indemnification to be
provided by CONSULTANT.
B. To the extent that CONSULTANT performs "Design Professional
Services" within the meaning of Civil Code Section 2782.8, then the following Hold
Harmless provision applies in place of subsection A above:
"CONSULTANT hereby agrees to protect, defend, indemnify and hold
harmless CITY and its officers. elected or appointed officials, employees, agents and
volunteers. from and against any and all claims, damages, losses, expenses, demands and
defense costs (including, without limitation, costs and fees of litigation of- even nature or
liability of any kind or nature) to the extent that the claims against CONSULTANT arise
out of', pertain to, or relate to the negligence, recklessness. or willful misconduct of
CONSULTANT. In no event shall the cost to defend charged to CONSULTANT exceed
CONSULTANT's proportionate percentage of fault. However. notwithstanding the
previous sentence, in the event one or more other defendants to the claims and/or litigation
is unable to pay its share of defense costs due to bankruptcy or dissolution of the business,
CONSULTANT shall meet and confer with CITY and other defendants regarding unpaid
defense costs. The duty to indemnify, including the duty and the cost to defend, is limited
as provided in California Civil Code Section 2782.8.
C. Regardless of whether subparagraph A or B applies, CITY shall be
reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in
enforcing this obligation. This indemnity shall apply to all claims and liability regardless
of whether any, insurance policies are applicable. The policy limits do not act as a
limitation upon the amount of indemnification to be provided by CONSULTANT.

9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liabiliq
insurance policy covering the work performed by it hereunder. This policy shall provide
coverage for CONSULTANT's professional liability in an amount not less than One
Million Dollars (S1,000,000.00) per occurrence and in the aggregate. The above-
mentioned insurance shall not contain a self-insured retention without the express written
consent of CITY; however an insurance policy "deductible" of Ten Thousand Dollars
($10.000.00) or less is permitted. A claims-made policy shall be acceptable if the policy
further provides that:
A. The policy retroactive date coincides with or precedes the initiation
of the scope of work (including subsequent policies purchased as
renewals or replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents
that might give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during
the required extended period of coverage following PROJECT completion. if insurance is
terminated for any reason. CONSULTANT agrees to purchase an extended reporting
provision of at least two (2) years to report claims arising from work performed in
connection with this Agreement.
If CONSULTANT fails or refuses to produce or maintain the insurance
required by this section or fails or refuses to furnish the CITY with required proof that
insurance has been procured and is in force and paid for, the CITY shall have the right, at
the CITY's election, to forthwith terminate this Agreement. Such termination shall not

effect Consultant's right to be paid for its time and materials expended prior to notification
of' termination. CONSULTANT waives the right to receive compensation and agrees to
indemnify the CITY for any, work performed prior to approval of insurance by the CITY.
10. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT
shall furnish to CITY a certificate of' insurance subject to approval of the City Attorney
evidencing the foregoing insurance coverage as required by this Agreement; the certificate
shall:
A. provide the name and policy number of each carrier and policy;
13. state that the policy is currently in force: and
C. shall promise that such policy shall not be suspended, voided or
canceled by either party. reduced in coverage or in limits except
after thirty (30) days- prior written notice; however, ten (10) days'
prior written notice in the event of cancellation for nonpayment of
premium.
CONSULTANT shall maintain the foregoing insurance coverage in force
until the work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not
derogate from CONSULTANT's defense, hold harmless and indemnification obligations as
set forth in this Agreement. CITY or its representative shall at all times have the right to
demand the original or a copy of the policy of- insurance. CONSULTANT shall pay, in a
prompt and timely manner, the premiums on the insurance hereinabove required.

1 1. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of
this Agreement as an independent contractor herein and not as an employee of CITY.
CONSULTANT shall secure at its own cost and expense. and be responsible for any and
all payment of all taxes, social security, state disability insurance compensation,
Unemployment compensation and other payroll deductions for CONSULTANT and its
officers, agents and employees and all business licenses, if any. in connection with the
PROJECT and/or the services to be performed hereunder.
12. TERMINATION 01" AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or
without cause, and whether or not the PROJECT is fully complete. Any termination of this
Agreement by CITY shall be made in writing, notice of which shall be delivered to
CONSULTANT as provided herein. In the event of termination, all finished and
unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become
its property and shall be promptly delivered to it by CONSULTANT.
13. ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall
not be assigned. delegated or subcontracted by CONSULTANT to any other person or
entity without the prior express written consent of CITY. If an assignment, delegation or
subcontract is approved. all approved assignees, delegates and subconsultants must satisfy
the insurance requirements as set forth in Sections 9 and 10 hereinabove.

14. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work. item or
material produced as a result of this Agreement.
15. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY
employee in the work performed pursuant to this Agreement. No officer or employee of
CITY shall have any financial interest in this Agreement in violation of' the applicable
provisions of the California Government Code.
16. NOTICES
Any notices. certificates. or other communications hereunder shall be given
either by personal deliver- to CONSULTANT's agent (as designated in Section I
hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed
envelope, postage prepaid, and depositing the same in the United States Postal Service, to
the addresses specified below. CITY and CONSULTANT may designate different
addresses to which subsequent notices, certificates or other communications will be sent by
notifying the other part via personal delivery, a reputable overnight carrier or U. S.
certified mail-return receipt requested:

17. CONSENT
When curs consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval
to any subsequent occurrence of-the same or any other transaction or event.
18. MODIFICATION
No waiver or modification of any language in this Agreement shall be valid
unless in writing and duly executed by both parties.
19. SECTION' FIFADINGS
The titles, captions, section, paragraph and subject headings, and descriptive
phrases at the beginning of the various sections in this Agreement are merely descriptive
and are included solely for convenience of' reference only and are not representative of'
matters included or excluded from such provisions, and do not interpret, define, limit or
describe. or construe the intent of the parties or affect the construction or interpretation of'
any provision of this Agreement.
20. INTERPRETATION OF THIS AGREENIFNT
The language of all parts of this Agreement shall in all cases be construed
as a whole, according to its fair meaning, and not strictly for or against any of the parties.
If any provision of this Agreement is held by an arbitrator or court of' competent
jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate
or affect the remaining covenants and provisions of this Agreement. No covenant or
provision shall be deemed dependent upon any other unless so expressly provided here.
As used in this Agreement, the masculine or neuter gender and singular or plural number
shall be deemed to include the other whenever the context so indicates or requires.
Nothing contained herein shall be construed so as to require the commission of any act

contrary to law, and wherever there is any conflict between any provision contained herein
and any present or future statute, law, ordinance or regulation contrary to which the parties
have no right to contract, then the latter shall prevail, and the provision of this Agreement
which is hereby afTected shall be curtailed and limited only to the extent necessary to bring
it within the requirements of the law.
21. DUPLICATE ORIGINAL
The original of' this Agreement and one or more copies hereto have been
prepared and signed in counterparts as duplicate originals, each of which so executed shall,
irrespective of the date of its execution and delivery. be deemed an original. Each
duplicate original shall be deemed an original instrument as against any party who has
signed it.
22. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the
immigration and naturalization laws of the United States and shall, in particular, comply
with the provisions of the United States Code regarding employment verification.
23. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly
outside the scope of services contemplated hereunder. CONSULTANT understands that
pursuant to Hunthagta7 Beach City Charter Section 309, the City Attorney is the exclusive
legal counsel for CITY; and CITY shall not be liable fbr payment of any legal services
expenses incurred by CONSULTANT.

24. ATTORNEY'S FEES
In the event suit is brought by either party to construe, interpret and/or
enforce the terms and/or provisions ol'this Agreement or to secure the performance hereof,
each party shall bear its own attorney's fees, such that the prevailing party shall not be
entitled to recover its attorney's fees from the nonprevailing party.
25. SURVIVAL
"berms and conditions of this Agreement, which by their sense and contest
survive the expiration or termination ofthis Agreement, shall so survive.
26. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the
laws of the State of California.
27. SIGNATORIES
Each undersigned represents and warrants that its signature hereinbelow has
the power, authority and right to bind their respective parties to each of the terms of this
Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the
event that such authority or power is not, in fact, held by the signatory or is withdrawn.
28. ENTIRETY
The parties acknowledge and agree that they are entering into this
Agreement freely and Voluntarily following extensive arm's length negotiation, and that
each has had the opportunity to consult with legal counsel prior to executing this
Agreement. The parties also acknowledge and agree that no representations. inducements,
promises, agreements or warranties, oral or otherwise. have been made by that party or
anyone acting on that parts behalf, which are not embodied in this Agreement, and that
that party has not executed this Agreement in reliance on any representation, inducement,

promise; agreement, warranty, fact or circumstance not expressly set Forth in this
Agreement. This Agreement. and the attached exhibits. contain the entire agreement
between the parties respecting the subject matter of-this Agreement, and supersede all prior
understandings and agreements whether oral or in writing between the parties respecting
the subject matter hereof.
29. EFFECTIVE DATE
This Agreement shall be effective on the date of its approval by the City
Attorney. This Agreement shall expire when terminated as provided herein.

Subject: Proposal for Environmental Assessment for the Proposed Olson Company Townhomes
Project in the City of Huntington Beach
Dear Mr. Ramos:
Sagecrest Planning+Environmental (Sagecrest) is pleased to submit this proposal for an
environmental assessment for the proposed Olson Company Townhomes Project at 8371 Talbert
Avenue in the City of Huntington Beach. Sagecrest understands that the City is requesting the
preparation of an Environmental Assessment to analyze the potential environmental impacts of
the Applicant's request to demolish three single-family residences with a status code of 3C5 from
the City's 2014 Historic Context and Survey Report in order to redevelop a 2.1-acre infill site
(APNs 167-531-23 and 167-531-24) with thirty-four (34) attached townhome units, ranging from
2 to 3 stories. All units will feature attached, 2-car, side-by-side garages. All units will be for-sale,
five (5) of which are designated as moderate-income affordable. Units will range from 1,258
square feet to 1,846 square feet. Bedrooms range from 3 to 4 and bathrooms from 2 to 3. All
units will be sold and owned legally as condominiums. Sagecrest and its technical subconsultants
will prepare technical studies to address the environmental issues in Appendix G of the CEQA
guidelines, as further defined in this proposal.

QUALIFICATIONS
The Sagecrest environmental team is led by Christine Saunders, Director,who will be responsible

Sagecrest provides objective environmental analysis on behalf of a Lead Agency for a wide range

SCOPE OF WORK
Sagecrest specializes in the preparation of environmental documents for discretionary projects
in compliance with the California Environmental Quality Act (CECA). Sagecrest is prepared to
provide environmental document preparation services for the Olson Company Townhomes
Project located at 8371 Talbert Avenue (Project Site) in the City of Huntington Beach (City).
Sagecrest has prepared this scope of work pursuant to the CEQA and our experience preparing
environmental documents for similar projects.
Sagecrest understands that the Applicant proposes to demolish three single-family residences
with a status code of 3CS from the City's 2014 Historic Context and Survey Report in order to
redevelop a 2.1-acre infill site (APNs 167-531-23 and 167-531-24) with thirty-four (34) attached
townhome units, ranging from 2 to 3 stories. All units will feature attached, 2-car, side-by-side
garages. Units will range from 1,258 square feet to 1,846 square feet. All units will be sold and
owned legally as condominiums.
The Project Site is surrounded by single-family residences to the north, major arterial roadways
to the east and south, and a cemetery and church to the west. The General Plan designation for
the Project Site is Residential Low Density (RL) and the zone is Residential Low Density (RL).
Requested entitlements for the Proposed Project include General Plan Amendment, Zoning Map
Amendment, Conditional Use Permit, Tentative Tract Map, and required environmental
documents.
Sagecrest's work plan for the preparation of an Environmental Assessment and supporting
technical studies follows, detailing our approach to developing, managing, and implementing all
actions for the preparation of the CEQA documents.
Project Initiation & Project Description
Kick-off Meeting: Upon receipt of the Notice to Proceed (NTP), the Sagecrest Project Manager
will meet with City Staff and the Applicant to review the Proposed Project and collect all available
project information, including project applications, site plans, elevations, narrative descriptions,
comment letters, and previously prepared technical studies. The Kick-Off Meeting will
accomplish the following:
• Identify the roles and responsibilities of the Sagecrest team, City staff, the Applicant, and
their architect/civil engineer;

potential impacts of the Proposed Project on the environment.The project description will detail
all phases of the project to meet the requirements of CEQA and will be based on the project
information provided by the City and the Applicant.The project description will include:
• Narrative and graphical presentation of the Proposed Project;
• Project site location and boundaries;
• Environmental setting and surrounding land uses;
• Regional and vicinity topographical maps;
• Site plan, conceptual landscape plans, and utility plans;
• Construction phasing and schedule;

Tribal Consultation PerAB51:Sagecrest and the cultural resources subconsultant,VCS,will assist
the City in notification and consultation per the requirements of AB52 by drafting consultation
letters to those tribes that have previously requested notification from the City regarding projects
within the City's jurisdiction and within the tribe's traditional use area. Sagecrest and VCS will
conduct initial Native American scoping under the consultation requirements of AB 52 and SB 18
(General Plan Amendment) consisting of a request to the California Native American Heritage
Commission (NAHC) for a review of its Sacred Lands File and to obtain a list of Native American
contacts for the project area. if the City has an AB 52 contacts list in place, the City's list will be
used and the NAHC request will not be needed. The SB 18 list from the NAHC will be obtained in
any case. Listed contacts will be offered, via letter, the opportunity to consult on the project.
Formal consultation must be undertaken between tribes and the lead agency. Results of
consultation, as available from the City, will be included in the Technical Report
Technical Studies
Review, Comment, and Coordinate Technical Studies: Sagecrest will review all technical studies
prepared by other professionals in support of the Proposed Project to confirm consistency in the
project description and that the analysis is sufficient for the purposes of CEQA.

Prepare Technical Studies: Sagecrest has assembled a team of technical specialists that will
prepare the following technical studies to support the CEQA analysis. Sagecrest will manage and
coordinate the technical work of the subconsultants to ensure quality and consistency across all
topical issues examined in the Initial Study.
Air Quality Energy, and Greenhouse Gas Impact Analysis, Vista Environmental
Vista will prepare an Air Quality, Energy, and Greenhouse Gas Impact Analysis technical
memorandum for the Proposed Project that incorporates the methodology, findings, and all
supporting calculations and assumptions for the findings of the following tasks:
Existing Air Quality Setting, Regulatory Requirements and Thresholds
• Provide a project description that details the project location and nearby sensitive receptors.
• Identify the existing air quality setting in the area.
• Identify greenhouse gases (GHGs) and their associated impacts to global climate change.
• Identify toxic air contaminants (TACs) and their potential health effects.
• Identify applicable federal, state, and SCAQMD's rules and regulations and identify current
attainment status of federal and state standards, and current SCAQMD attainment plans.
• Obtain existing air quality data from air quality monitoring stations within the study area
utilizing California Air Resources Board (CARB) data sources. Data will be obtained for air
pollutants, including; ozone, nitrogen dioxide (NO2), and particulate matter (PM10 and
PM2.5).
• Identify SCAQMD thresholds of significance for the criteria pollutants and GHGs.
Air Quality Analysis
• Provide a project consistency analysis with the Air Quality Management Plan (AQMP). The
consistency analysis will determine if the project contributes to air quality violations and if it
will comply with AQMP control measures.
• Evaluate and quantify regional criteria pollutant emissions associated with each phase of
demolition and construction activities for the proposed project utilizing the CalEEMod Model
and construction assumptions provided by the applicant. Compare the proposed project's
construction-related regional criteria pollutant emissions to the SCAQMD thresholds. If
significant emission levels are found to be created from construction activities, feasible
mitigation will be developed and quantified.
• Evaluate local NOx, CO, PM10, and PM2.5 emissions associated with each phase of demolition
and construction activities for the proposed project at the nearest off-site sensitive receptors
utilizing the SCAQMD Look-Up Tables and the methodology described in Localized
Significance Threshold Methodology, prepared by SCAQMD, July 2008.
• Provide a qualitative analysis of the construction-related toxic air contaminant (TAC) impacts
from the proposed project and detail how due to the limited duration of construction
activities that the cancer and non-cancer risks would be less than significant.

• Evaluate and quantify regional criteria pollutant emissions associated with the operations of
the proposed project utilizing the CalEEMod Model. Compare the proposed project's
operational regional criteria pollutant emissions to the SCAQMD thresholds. if significant
emission levels are found to be created from operational activities,feasible mitigation will be
developed and quantified.
• Evaluate local NOx, CO, PM10, and PM2.5 emissions created onsite from the operation of the
proposed project at the nearest off-site sensitive receptors utilizing the SCAQMD Look-Up
Tables and the methodology described in Localized Significance Threshold Methodology,
prepared by SCAQMD, July 2008.
• Prepare a qualitative CO hotspot analysis of the study area intersections that details the
current attainment status of CO in the Air Basin as well as research performed by the
SCAQMD that analyzed the four busiest intersections in the South Coast Air Basin and found
less than significant local CO hotspot concentrations, in order to make a finding of less than
significant for the proposed project.
• Provide a qualitative odor analysis from construction and operation of the proposed project.
The odor analysis will identify the potential sources of odors and the number of variables that
can influence the potential for an odor impact as well as providing detail of what constitutes
a significant odor impact.
• Utilize the results of the above tasks to develop responses to each of the air quality related
CEQA checklist questions.
Greenhouse Gas Emissions Analysis
• Evaluate and quantify GHG emissions associated with construction activities for the proposed
project through utilization of the CalEEMod Model run used in the Air Quality Analysis.
• Evaluate and quantify GHG emissions associated with the operations of the proposed project
through utilization of the CalEEMod Model run used in the Air Quality Analysis.
• Compare the construction and operational GHG emissions to all applicable GHG emissions
thresholds including AB 32, AB 197, SB 32, and SCAQMD's draft GHG emissions thresholds. If
necessary, develop mitigation to ensure the proposed project will meet each applicable
measure.
• Determine if the proposed project would conflict with any applicable plan, policy or
regulation of an agency adopted for the purpose of reducing the emissions of greenhouse
gases.
• Utilize the results of the above tasks to develop responses to each of the GHG-related CEQA
checklist questions.
Energy Analysis
• Calculate construction energy usage through utilization of the CalEEMod model run
developed for the air quality analysis to quantify the total hours off-road equipment will
operate, the total worker miles traveled, and total haul and vendor truck miles traveled
during construction of the proposed project. Utilize the fuel usage factors from

OFFROAD2011 and off-road equipment operating hours to calculate the fuel usage from the
off-road equipment. Utilize the vehicle fleet average miles per gallon rates from EMFAC2014
and the worker and truck vehicle miles traveled to calculate the fuel usage from on-road
construction trips.
• Calculate operational energy usage through utilization of the CaIEEMod model run developed
for the air quality analysis to quantify electricity and natural gas usage rates from operation
of the proposed project as well the total vehicle miles traveled from operation of the project.
Utilize the vehicle fleet average miles per gallon rates from EMFAC2014 and the total vehicle
miles traveled to calculate the fuel usage from operation of the proposed project.
• Provide an assessment of how the applicable renewable energy and energy efficiency rules
and regulations will be implemented by the proposed project and where possible, quantify
the energy savings achieved through implementing each rule and regulation. If the proposed
project is found to be inconsistent with any rule or regulation, provide mitigation to ensure
the project meets the requirements.
• Utilize the results of the above tasks to develop responses to each of the energy related CEQA
checklist questions.
Report Preparation
• Prepare an Air Quality, Energy and GHG Emissions Report documenting the results of the
study and provides responses to each of the air quality and GHG emissions related CEQA
checklist questions.
Biological Assessment, VCS Environmental
VCS will conduct a Biological Resource Assessment at the Property located at 8371 Talbert
Avenue between Beach Boulevard and Newland Street to analyze the potential environmental
impacts of the proposed project. VCS will initiate a database review for the Project area prior to
the field work to determine the special-status species that may occur in the vicinity, including the
California Natural Diversity Database (CNDDB), California Natural Plant Society (CNPS), United
States Fish and Wildlife Services (USFWS) databases, and Google earth mapping.The project site
will be walked to map the plant communities. Plant communities are mapped to the Manual of
California Vegetation where possible. Additional biological resources observed during the field
work will be mapped and presented in figures. Based on the aerial review it does not appear
jurisdictional waters occur onsite; therefore, we are assuming no jurisdictional delineation will
be required and this will be confirmed in the field.
A full biological technical report is not considered necessary since it appears the project impacts
will be occurring within developed land, ornamental landscaping, and already disturbed areas,
where few, if any, sensitive biological resources (sensitive plants or wildlife species) are
anticipated to occur. Therefore, a memorandum will be prepared summarizing the results of the
assessment and avoidance/minimization measure recommendations.

Cultural Resources Phase I Report VCS Environmental
VCS will prepare a Cultural Resources Phase I Report for the Proposed Project that incorporates
the methodology, findings, and all supporting and assumptions for the findings of the following
tasks:
Background Research
Cultural Resources Literature Review:VCS will conduct a records search of the proposed project,
including a %: mile radius buffer, in the California Historical Resources Information System (CHRIS)
at the South-Central Coastal Information Center, California State University, Fullerton for cultural
resources that are known to exist within %, mile of or within the project area. In addition to the
archaeological records, reports and historic maps, an examination will be made of the Historic
Resource Inventory (HRI) maintained by the California Office of Historic Preservation (OHP) for
Anaheim. The HRI contains listings for the National Register of Historic Places (NRHP), the
California Register of Historical Resources (CRHR), California Historical Landmarks, and California
Points of Historical Interest properties. The records search is designed to reveal the nature and
extent of any cultural resources work previously conducted within or adjacent to the property.
Paleontological Resources Literature Review: VCS will also obtain a paleontological records
search for the property from the Paleontology Section of the Los Angeles County Museum of
Natural History.The records search will provide information on geological formations,vertebrate
and invertebrate paleontological localities, the project's potential to adversely affect fossil
resources, and mitigation recommendations.
Cultural Resources Technical Report
VCS will prepare a Cultural Resources Phase I Report pursuant to CEQA to ensure compliance
with State regulations for the identification and evaluation of any historical resources that may
exist in the project area, including the built environment. The inventory will include the results
of background research, Tribal scoping, and historic resources evaluation. This cost reflects
incorporating one round of comments. Additional review time may require an augment to the
contract. Sagecrest will utilize the Cultural Resources Phase I Report in the Cultural Resources,
Geology, and Tribal Cultural Resources sections of the Initial Study Checklist.
Historical Resources Evaluation Report
VCS understands that the three existing properties included within the proposed project
boundaries are addressed as 8371, 8421, and 8461 Talbert Avenue. All three properties have
been previously surveyed as eligible for an association with significant events under California
Register of Historical Resources (CRHR) Criterion 1. The proposed evaluation report will formally
evaluate the properties under the local and CRHR criteria, and will provide a CEQA historical
resource determination, impacts analysis, and mitigation recommendations. DPR 523 series
forms will be appended to the report along with other requisite or supplemental attachments.
Noise Analysis Vista Environmental
Vista will prepare a noise technical memorandum for the Proposed Project that incorporates the
methodology, findings, and all supporting calculations and assumptions for the findings of the
following tasks:

Existing Noise Environment, Regulatory Requirements and Thresholds
• Identify nearby transportation-related noise sources such as Talbert Avenue and Newland
Street, and aircraft noise (if any).
• Detail fundamentals of noise that include noise source characteristics, noise propagation, and
definition of decibels and other noise descriptors.
• Identify applicable noise and vibration regulations and thresholds of significance.
• Evaluate the existing noise environment and obtain two (2) long-term (24-hour) noise
measurements in the vicinity of the project site in order to determine the existing ambient
noise conditions on the project site and nearby homes.
Construction Analysis
• Utilize the Federal Highway Administration's Roadway Construction Noise Model (RCNM)
Version 1.1 to analyze potential noise impacts at the nearest homes from each phase of
demolition and construction activities for the proposed project. Compare the results to the
applicable City noise standards. If necessary, develop mitigation to minimize the noise
impacts from construction activities at the nearby sensitive receptors.
• Analyze potential vibration impacts associated with construction activities through
application of the methodology used in the Transportation- and Construction-Induced
Vibration Guidance Manual (Vibration Guidance Manual), prepared for Caltrans.
Operational Analysis
• Utilize a version of the FHWA RD-77-108 noise prediction model to calculate the existing and
future offsite traffic noise contours at up to four (4) roadway segments. Vista Environmental
will use the roadway traffic data provided in the Traffic Study prepared for the proposed
project.
• Calculate the existing and future Project-related roadway traffic noise contributions by
comparing the Pre-Project and Post-Project noise contours on the study area roadways and
compare the results with the City noise standards.
• Utilize a version of the FHWA RD-77-108 noise prediction model to calculate the onsite noise
levels at the private patios and balconies of the proposed townhomes from vehicles on
Talbert Avenue and Newland Street. Compare the private exterior area noise levels with the
City's exterior residential noise standards and, if necessary, provide mitigation to reduce
exterior area noise levels to within the City standards.
• Utilize a version of the FHWA RD-77-108 noise prediction model to calculate the noise levels
at the facades of the proposed townhomes and standard residential attenuation rates to
determine the interior noise levels of the proposed townhomes. Compare the calculated
interior noise levels with the City's interior residential noise standards and, if necessary,
provide mitigation to reduce the interior area noise levels to within the City standards.
• Analyze potential vibration impacts to the proposed structure from trucks operating on
Talbert Avenue and Newland Street and from any other identified sources of operational

vibration impacting the project site through application of the methodology used in the
Vibration Guidance Manual, prepared for Caltrans.

CEQA Document Preparation
Screencheck Draft Initial Study Checklist: Sagecrest will prepare a detailed Initial Study Checklist
that meets the requirements of the CEQA Statue and Guidelines, and the City's local CEQA
guidelines, including applicable significance thresholds. The Initial Study will assist Sagecrest and
the City in determining the appropriate level of CEQA review for the Proposed Project (Section
15063), expected to be a Mitigated Negative Declaration. The Initial Study will use the most
recent version of the CEQA Environmental Checklist Form (based on Appendix G, updated
January 2019) and will contain the following:
• Detailed project description and location of the Project Site
• Identification of the environmental setting
• Identification of the potential environmental effects of the Proposed Project for each
topical issue, with evidence to support the analysis
• The significance criteria or threshold used to evaluate each topical issue

Sagecrest will provide the Public Review IS to the City electronically in Adobe PDF for the City to
post on its website.
Mitigation Monitoring and Reporting Plan: For Initial Studies that identify mitigation measures
to reduce a potentially significant impact to less than significant, Sagecrest will consolidate all
mitigation measures into tabular format to serve at the Mitigation Monitoring and Reporting Plan
(Section 15097) and provide an electronic copy to the City.
Public Review and Comment
Public Noticing: Sagecrest will prepare the draft and final Notice of Intent to Adopt a Mitigated
Negative Declaration (NOI) according to Section 15072(g) and distribution list for the City to
distribute as follows:
• File with the County Clerk Recorder and State Clearinghouse according to Section
15072(d) and Section 15073(a);
• Publish in a local newspaper whose general circulation includes the project area according
to Section 15072(b);
• Deliver via certified mail for the 30-day public review period to the final distribution list,
which will include responsible and trustee agencies, reviewing agencies, adjacent cities
according to Section 15073(c);
• Deliver via first class mail to nearby property owners and interested parties according to
Section 15072(b)(3);
Sagecrest will compile all certified receipts and document when and where the IS was mailed;
these will be provided to the City for its records.

Response to Comments: Sagecrest will prepare a response to comments on a time and materials
basis.
Attendance at Public Heoring(s):Sagecrest will attend one study session and two public hearings
before the Planning Commission and two public hearings before the City Council. Sagecrest will
attend up to two public hearings and be available to answer questions from the public and/or
decision-making body.
Notice of Determination: Sagecrest will prepare a Notice of Determination according to Section
15075(b) and file it with the County Clerk Recorder and the State Clearinghouse. The Applicant
will be responsible for the California Fish and Wildlife fee to be paid directly to the County Clerk
Recorder at the time of filing the NOD.
Proiect Management
Progress Meetings and Check-in Calls: Sagecrest will attend up to two in-person or conference
call meetings with the City to discuss work program and progress, resolve issues, review
comments on administrative documents and/or receive any necessary direction from City staff.
Sagecrest will participate in up to three check-in calls to discuss project status and environmental
issues and is always available by phone and email for ongoing communication and project
management.

Payment Schedule (Fixed Pee Payment)
I. CONSULTANT shall be entitled to monthly progress payments toward the fixed Ice set
forth herein in accordance with the following progress and payment schedules.
2. Delivery of work product: A copy of every memorandum, letter, report, calculation and
other doctnncntation prepared by CONSULTANT shall be submitted to CITY to demonstrate progress
toward completion of tasks. In the event CITY rejects or has comments on any such product. CITY
shall identify specific requirements for satisfactory completion.
3. CONSULTANT shall submit to CITY an invoice for each monthly progress payment
due. Such invoice shall:
A) Reference this Agreement;
13) Describe the services performed;
C) Show the total amount of the payment due:
D) Include a certification by a principal member of CONSULTANT's firm that the
work has been performed in accordance with the provisions of this Agreement;
and
G) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making
satisfactory progress toward completion of tasks in accordance with this Agreement. CITY shall
approve the invoice. in which event payment shall be made within thirty (30) days of receipt of' the
invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an
invoice. CITY shall notihv CONSULTANT in writing of the reasons for non-approval and the schedule
of perfonnance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree
that past perfonnance by CONSULTANT is in, or has been brought into compliance. or until this
Agreement has expired or is terminated as provided herein.
d. Any billings for extra work or additional services authorized in advance and in writing
by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information
required above. and in addition shall list the hours expended and hourly rate charged for such time.
Such invoices shall be approved by CITY if the work perfornied is in accordance with the extra work or
additional services requested, and if CITY is satisfied that the statement of hours worked and costs
incurred is accurate_ Such approval shall not be unreasonably withheld. Any dispute between the
parties concerning payment of'such an invoice shall be treated as separate and apart from the ongoing
performance of the remainder of this Agreement.
