Statement of Issue:
Transmitted for your consideration is an appeal by the property owner (AF-GHBM, LLC) of the
Planning Commission's denial of Entitlement Plan Amendment No. 22-003. This application is a
request to remove Condition of Approval No. 6(b) of Conditional Use Permit No. 19-014 requiring all
existing overhead utilities along the property's westerly property line to be undergrounded. The
Planning Commission held a public hearing on April 26, 2022 and denied the request. On May 6,
2022, the property owner appealed the Planning Commission's decision citing that the
undergrounding condition of approval results in disproportionate burdens on the appellant.
Financial Impact:
Not applicable.
Recommended Action:
A) Find the proposed project exempt from the California Environmental Quality Act (CEQA)
pursuant to Section 15061(b)(3) (General Rule) of the CEQA Guidelines; and
B) Approve Entitlement Plan Amendment No. 22-003 with findings by modifying Condition of
Approval No. 6(b) to require the payment of in-lieu fee instead of undergrounding existing overhead
utilities (Attachment No. 1).
Alternative Action(s):
A) Continue Entitlement Plan Amendment No. 22-003 with the public hearing open and direct
staff to come back with an analysis of the reasons for the pending appeal of the Planning

Analysis:
A. PROJECT PROPOSAL

Entitlement Plan Amendment No. 22-003 is a request to remove Condition of Approval No. 6
(b) of Conditional Use Permit No. 19-014 requiring all existing overhead utilities along the
property's westerly property line to be undergrounded.
A description of the proposed Entitlement Plan Amendment can be found in the April 26, 2022
Planning Commission staff report (Attachment No. 2).
B. BACKGROUND
On April 26, 2022, the Planning Commission held a public hearing to consider Entitlement
Plan Amendment No. 22-003. The Planning Commission denied the Entitlement Plan
Amendment, determining that the undergrounding condition should remain.

C. APPEAL
On May 6, 2022, the property owner, AF-GHBM, LLC, appealed the Planning Commission's
denial of Entitlement Plan Amendment No. 22-003. The appellant believes that the
undergrounding condition of approval results in disproportionate financial burdens on the
appellant and as such is an unconstitutional ad hoc condition of approval that constitutes a
taking of the applicant's property (Attachment No. 3).
Staff has conducted additional research and determined that despite the undergrounding of
utilities condition originally imposed, the applicant can meet the condition by paying in lieu

fees. The fees will be used to help offset the cost to pay to underground the lines when future
developments are proposed. Projects similar in scope (including two 7-11 projects) that have
been required to underground existing overhead lines but instead paid in-lieu fees include the
following:
- Beach Medical Office Building (17752-17762 Beach Boulevard)
- The Learning Experience (17131 Beach Boulevard)
- 7-11 retail centers (6012 Edinger Avenue and 7012 Edinger Avenue)
- Plaza Marina retail center (16161 Springdale Street)
- Chase Bank (20001 Brookhurst Street)
Staff discussed the possibility of paying an in-lieu fee with the appellant and they were
amenable to amending the condition to include an in-lieu fee payment. The Public Works
Department determined the in-lieu fee amount would be $80,000 based on a total of 200 linear
feet of existing overhead lines required to be undergrounded times the City's average unit cost
(for undergrounding) of$400 per linear foot.
In part, because similar projects have been allowed to pay in-lieu fees, staff recommends
approval of Entitlement Plan Amendment No. 22-003 by modifying Condition of Approval No. 6
(b) to require the payment of in-lieu fees instead of the undergrounding of existing overhead
utilities.
Previous Condition of Approval No. 6(b):
6. Prior to final inspection or occupancy, the following shall be completed:
b. All existing overhead utilities that occur along the project's westerly property line shall
be under-grounded. This includes the Southern California Edison (SCE) aerial
distribution lines (12kV) and poles (nos. 102601 NG and 1039478E) along the entire
length of the westerly property line of the subject project. This condition also applies to
all utilities, including but not limited to all telephone, electric, and Cable TV lines. If
required, easements shall be quitclaimed and/or new easements granted to the
corresponding utility companies. (PW)

SUGGESTED FINDINGS FOR PROJECTS EXEMPT FROM CEQA:
The Planning Commission finds that this project will not have any significant effect on the
environment and is exempt from the provisions of the California Environmental Quality
Act (CEQA) pursuant to section 15061(b)(3) (General Rule) of the CEQA Guidelines
because there is no potential that the removal of the subject condition of approval will
have a significant effect on the environment.
SUGGESTED FINDINGS FOR APPROVAL— ENTITLEMENT PLAN AMENDMENT NO.
22-003:
1. Entitlement Plan Amendment No. 22-003 to modify Condition of Approval No. 6(b) of
Conditional Use Permit No. 19-014 requiring the payment for a fee in-lieu of the
undergrounding of all existing overhead utilities will not be detrimental to the general
welfare of persons working or residing in the vicinity or detrimental to the value of the
property and improvements in the neighborhood because the existing overhead
utilities do not create a significant visual impact along Beach Boulevard. All utilities to
the north and south of the project site are located on poles above ground, within a
developed area where undergrounding is not likely to occur within the near future.
The new retail building and fueling station canopies will screen the view of the
overhead utilities along the property's westerly property line.
2. The granting of Entitlement Plan Amendment No. 22-003 to modify Condition of
Approval No. 6(b) of Conditional Use Permit No. 19-014 requiring the payment for a
fee in-lieu of the undergrounding of all existing overhead utilities will not adversely
affect the General Plan because it is consistent with the following policy of the General
Plan:
Circulation Element
Policy CIRC-7(F): Continue to locate new and relocated utilities underground
within scenic corridors to the greatest extent possible. All other utility features shall
be placed and screened to minimize visibility.
The project will locate all new utilities underground to comply with the Municipal Code
requirements and to be consistent with the General Plan policy. The existing
overhead lines do not create a significant visual impact along Beach Boulevard, a
scenic corridor, because the new retail building and fueling station canopies will
screen the view of these utilities.

3. Entitlement Plan Amendment No. 22-003 to modify Condition of Approval No. 6(b) of
Conditional Use Permit No. 19-014 requiring the payment for a fee in-lieu of the
undergrounding of all existing overhead utilities will comply with the provisions of the
base district and other applicable provisions in Titles 20-25 of the Huntington Beach
Zoning and Subdivision Ordinance because the existing overhead utilities do not
create a significant visual impact as viewed from Beach Boulevard. In addition, there
are physical constraints at the site to accommodate both the large footings of the
required 8 ft. block wall and the underground structure to house the conduits without
multiple redesigns.
INDEMNIFICATION AND HOLD HARMLESS CONDITION:
The owner of the property which is the subject of this project and the project applicant if
different from the property owner, and each of their heirs, successors and assigns, shall
defend, indemnify and hold harmless the City of Huntington Beach and its agents,
officers, and employees from any claim, action or proceedings, liability cost, including
attorney's fees and costs against the City or its agents, officers or employees, to attack,
set aside, void or annul any approval of the City, including but not limited to any approval
granted by the City Council, Planning Commission, or Design Review Board concerning
this project. The City shall promptly notify the applicant of any claim, action or proceeding
and should cooperate fully in the defense thereof.

PROJECT PROPOSAL:
On January 28, 2020, the Planning Commission approved Conditional Use Permit No. 19-014 to
demolish an existing auto repair building and construct a 2,323 sq. ft. convenience store operating 24
hours per day with ABC Type 20 License (Off-Sale Beer and Wine) and an eight pump fueling station
at 16171 Beach Boulevard.
The approval included a number of conditions, including Condition of Approval No. 6(b),
recommended by the Public Works Department, which reads as follows:
All existing overhead utilities that occur along the property's westerly property line shall be
undergrounded. This includes the Southern California Edison (SCE) aerial distribution lines
(12kv) and poles (nos. 102601 NG and 10394478E) along the entire length of the westerly
property line of the subject project. This condition also applies to all utilities, including but not
limited to all telephone, electric, and Cable TV lines. If required, easements shall be
quitclaimed and/or new easements granted to the corresponding companies. (PVV)
As explained in more detail below, the condition is a typical requirement imposed upon new
developments, with each development responsible for undergrounding a limited area proportional to
its property frontage.
Recently, on March 21, 2022, the applicant submitted Entitlement Plan Amendment No. 22-003,
requesting the removal of Condition of Approval No. 6(b) based on financial concerns. The applicant
has not proposed any alternative action besides non-performance of the undergrounding work.

General Plan Conformance:
The Public Works Department originally reviewed the project in 2019. At that time, staff determined
that the project scope was sufficient to recommend undergrounding as a condition of approval. In
making its recommendation, staff considered direction provided by a General Plan policy addressing
utility undergrounding, as follows:
Circulation Element
Policy CIRC-7(F): Continue to locate new and relocated utilities underground within scenic
corridors to the greatest extent possible. All other utility features shall be placed and screened to
minimize visibility.
The nexus between Policy CIRC-7(F) and the project is the project location along the Beach
Boulevard and Stark Drive; the entirety of Beach Boulevard is identified as a "scenic corridor" in the
Circulation Element. Staff also considered the past history of undergrounding (or payment of
corresponding in lieu fees) by all recent applicants within the project vicinity as well as Policy CIRC-7
(F)'s general direction to implement undergrounding "to the greatest extent possible". As a result,
staff made its recommendation to the Planning Commission to require undergrounding along the
project property. As is typical for all public hearings, the applicant had an opportunity to contest the
condition at the January 28, 2020 Planning Commission meeting. The applicant did not bring up the
recommended condition of approval at the public hearing, and the Planning Commission ultimately
adopted staffs recommendation. In the two years since the project's approval, much of the project
has been constructed. As discussed further below, the applicant is now citing the high costs
associated with the work as the reason for its request to complete the project without undergrounding
utilities rather than any mistake in applying the City's policy to the project back in 2020.
Zonin_g Compliance:
Under the Zoning Ordinance, conditions of approval may be imposed on projects for certain reasons:
1) to make the project consistent with the General Plan; 2) to protect the public health, safety, and
general welfare; and/or 3) to ensure operation and maintenance of the use in a manner compatible
with existing and potential uses on adjoining properties or in the surrounding area. Accordingly, in
considering the applicant's request to remove a condition, the Planning Commission must determine
whether it could still make the findings to approve the underlying CUP application without Condition
of Approval No. 6(b). To that end, the Planning Commission must consider whether the proposed
project remains consistent (and will not adversely affect) with the General Plan if the condition is
removed.
Next, in order to guide the Planning Commission's discussion with respect to issues of public health,
safety, and welfare, and compatibility with existing and potential uses in the area, staff has analyzed
the standards for waiving undergrounding for analogous development projects (i.e., subdivision

projects). For those projects, the Zoning Ordinance permits waiver of the undergrounding
requirement where waiver benefits the public welfare, that is only if:
- The project is within an area where existing utilities have not been placed underground;
- Physical constraints make undergrounding of existing and proposed utilities impractical; and
- Overhead utilities will have no visual impact.
Undergrounding of Existing Utilities in the Surrounding Area
While the subject site includes existing overhead lines that have not been undergrounded along
interior property lines and crossing adjoining streets, all properties abutting Beach Boulevard within
the City limits contain no existing overhead lines along the Beach Boulevard frontage (with the
exception of certain perpendicular crossings at Atlanta Avenue and Slater Avenue). Some properties
abutting Beach Boulevard still have overhead lines along the interior property lines that have not
been undergrounded because they have not been redeveloped yet. Undergrounding of utilities is
required when a property is proposed for development. Since 2008, similar projects along the Beach
Boulevard corridor have been required to underground existing overhead lines (or pay an in-lieu fee)
including the Beach Medical Office Building (17752-17762 Beach Boulevard) and The Learning
Experience (17131 Beach Boulevard). Other similar-sized projects elsewhere within the City limits
that have been required to underground existing overhead lines (or pay in-lieu fees) include the 7-11
retail center (7012 Edinger Avenue), Plaza Marina retail center (16161 Springdale Street), 7-11 retail
center (6012 Edinger Avenue), and Chase Bank (20001 Brookhurst Street).

underground the existing utilities that paid in-lieu fees:

Physical Constraints
The overall undergrounding scope for this project includes trenching and running conduit for new
underground cables, placement of an underground vault in the Stark Drive right-of-way, removing the
existing overhead wires (and existing onsite pole), and pulling new cable within the recently installed
conduits. To date, the underground conduits have been installed at the project site with the other
aforementioned scope of work items remaining. With respect to the existing and new public utilities
(water and sewer) near or adjacent to the subject project, all necessary clearances have been
accounted for in the project's design, related street improvement plans, and the Southern California
Edison plan for placement of the new vault in Stark Drive.
The project was approved with a condition of approval that required the construction of 8 ft. high and
8 in. wide block walls along the westerly and southerly property lines. According to the applicant,
there is insufficient space to fit the large footings for the 8 ft. high walls and the underground structure
to house the conduits along the westerly property line. However, the wall footings were redesigned in
order to install both the footings and conduits.
Visual Impact of Overhead Utilities
The existing overhead utility lines (at the property's westerly edge) do not create a visual impact from
Beach Boulevard due to screening by the new retail building, the fueling gas station, and related
canopies. However, the existing overhead utility lines create a visual impact from Stark Drive due to
an existing pole at the project's frontage on Stark Drive and an existing pole within the site's westerly
boundary and directly in the line of sight from adjacent residential properties. Additionally, there are
five existing overhead lines (between these poles) plus three pole-mounted transformers that create
a visual impact as well. If Condition of Approval No. 6(b) is retained to require undergrounding, the
existing pole at the project's frontage on Stark Drive will remain as a guy pole for the pole across the
street. However, the guy pole will be shorter and not have any transformers or overhead lines.
Urban Design Guidelines Conformance:
Not applicable.
Environmental Status:
The proposed project is exempt from the California Environmental Quality Act (CEQA) pursuant to
Section 15061(b)(3) (General Rule) of the CEQA Guidelines because there is no potential that the
removal of the subject condition of approval will have a significant effect on the environment.
In the event that the Planning Commission denies the application, the proposed project is exempt
from the California Environmental Quality Act (CEQA) pursuant to Section 15061(b)(3) (General
Rule) of the CEQA Guidelines because denial of the project means that there is no change
whatsoever in the condition of the property or surrounding areas, and therefore there is no potential
for causing a significant effect on the environment. In addition, pursuant to Section 15270 of the
CEQA Guidelines, CEQA does not apply to projects that are disapproved or denied by the approval
body.

On Tuesday, April 26, 2022, the Huntington Beach Planning Commission took action on your
application, and your application was denied with findings. Attached to this letter are the
findings for denial.
Under the provisions of the Huntington Beach Zoning and Subdivision Ordinance, the action
taken by the Planning Commission becomes final at the expiration of the appeal period. A
person desiring to appeal the decision shall file a written notice of appeal to the City Clerk within

FINDINGS FOR DENIAL— ENTITLEMENT PLAN AMENDMENT NO. 22-003:
1. Entitlement Plan Amendment No. 22-003 to remove Condition of Approval No. 6(b) of
Conditional Use Permit No. 19-014 requiring all existing overhead utilities along the
property's westerly property line to be undergrounded will be detrimental to the general
welfare of persons working or residing in the vicinity or detrimental to the value of the
property and improvements in the neighborhood because the existing overhead utilities
create a significant visual impact on Stark Drive due to an existing pole at the project's
frontage and an existing pole within the site's westerly boundary. These poles and
overhead lines are not screened from view from Stark Drive as well as the adjacent
residential project west of the site. In addition, other similar projects within the City were
required to underground existing overhead lines.
2. The granting of Entitlement Plan Amendment No. 22-003 to remove Condition of Approval
No. 6(b) of Conditional Use Permit No. 19-014 requiring all existing overhead utilities along
the property's westerly property line to be undergrounded will adversely affect the General
Plan because it is inconsistent with the following policy of the General Plan:
Circulation Element
Policy C/RC-7(F): Continue to locate new and relocated utilities underground within
scenic corridors to the greatest extent possible. All other utility features shall be placed
and screened to minimize visibility.
The intent of the General Plan policy is to protect scenic corridors from visual clutter created
by overhead utilities. Requiring the undergrounding of existing utilities would implement the
General Plan policy. If the requirement to underground the existing utilities is eliminated, the
visual clutter from overhead lines at the subject site would remain.
3. Entitlement Plan Amendment No. 22-003 to remove Condition of Approval No. 6(b) of
Conditional Use Permit No. 19-014 requiring all existing overhead utilities along the
property's westerly property line to be undergrounded will not comply with the provisions of
the base district and other applicable provisions in Titles 20-25 of the Huntington Beach
Zoning and Subdivision Ordinance because overhead lines at other similar projects within
the City were required to underground. Although the applicant mentioned the physical
constraints related to undergrounding onsite, redesigns were made to accommodate both
the large footings of the required 8 ft. block wall and the underground structure to house the
conduits. Undergrounding the existing utilities at the project site would eliminate the visual
clutter along Stark Drive and from the adjacent residential property west of the site.

Dear Mayor Delgleize and Members of the City Council,
This office represents AF-GHBM, LLC ("Appellant"), owners of the real property
located at 16171 Beach Boulevard, Huntington Beach, California ("Property"). Appellant
hereby appeals the April 26, 2022 denial by the City of Huntington Beach ("City")
Planning Commission of Entitlement Plan Amendment No. 22-003. This letter presents
a preliminary statement of the grounds for this appeal. Appellant reserves the right to
amend and/or supplement its grounds for the appeal letter up to and at the time of the
City Council's hearing.
1. Appellant Information.

2. Summary of Reasons for Appeal.
(A) General Background on Project.
In 2019, Appellant's lessee, 7-Eleven, and its representative applied to the City to
demolish an existing auto repair building and construct a convenience store operating
24 hours per day with Type 20 (Off-Sale Beer and Wine) ABC license and an eight-
pump fueling station at the Property ("Project"). (Staff Report re Conditional Use Permit

No. 19-014.) Appellant representatives discussed the potential to pay in-lieu fees for
undergrounding utilities with City staff during the application process and the City was
willing to support that option. On or about January 28, 2020, the City's Planning
Commission voted to approve Conditional Use Permit No. 19-014 with conditions. One
of those conditions, No. 6(b), required:
"B. All existing overheard utilities that occur along the
project's westerly property line shall be under-grounded.
This includes the Southern California Edison (SCE) aerial
distribution lines (12kV) and poles (nos. 102601 NG and
1039478E) along the entire length of the westerly property
line of the subject project. This condition also applies to all
utilities, including but not limited to telephone, electric, and
Cable TV lines. If required, easements shall be quitclaimed
and/or new easements granted to the corresponding utility
companies."
Appellant did not become aware of this condition until three days after the appeal
period ended on Planning Commission's adoption of CUP No. 19-014. In February and
May 2020, Appellant's representatives met with City staff, regarding a request to pay a
fee in-lieu of performing the undergrounding, as is customary for this type of work. City
representatives remained open to the idea as a manner of satisfying the condition set
forth in CUP 19-014.
In March 2021, Appellant's representatives again met with City representatives to
discuss the mounting financial burden placed on them by Condition No. 6(b). At that
time, the City's representatives observed that City Council members were not inclined to
accept in-lieu fees for undergrounding of utilities.
In February 2022, the undergrounding work became so costly that Appellant was
forced to halt construction and seek a reprieve from the onerous condition. The work
completed already on the Property had far exceeded other in lieu fees developers paid
in the area. The table shows similar costs paid by developers for undergrounding
utilities at or near their property.

Because it was becoming clear to Appellant that it could not satisfy the condition,
Appellant once again sought modification of Condition 6(b) from the Planning
Commission.
(B) The City's Undergrounding Condition Constitutes Results in
Disproportionate Burdens on Appellant.
In accordance with long-standing precedent, a city's imposed development
conditions must have an "essential nexus" that is roughly proportional to the impacts
attributable to the proposed development and. (See, e.g., Alliance for Responsible
Planning v. Taylor(2021) 63 Cal.App.5th 1072, 1085 ("Taylor") citing Dolan v. City of
Tigard(1994) 512 U.S. 374, 396; Koontz v. St. Johns River Water Management Dist.
(2013) 570 U.S. 595, 605-606.) The nexus requirement ensures that a city, in imposing
exactions to mitigate proposed development's impacts, does not leverage its legitimate
interest in mitigation to pursue governmental ends that lack a rough proportionality to
those impacts. (Koontz v. St. Johns River Water Management Dist., supra, 570 U.S. at
pp. 605-606.)
The court in Taylor dealt with similar conditions to the ones requested by the City
here. There a county established policies to condition development permits on the
developer's completion or construction of road improvements. The court noted that the
policies requested casted a wider net than the harm resulting from an individual project,
leaving both Nollan and Dolan factors lacking. (Alliance for Responsible Planning v.
Taylor, supra, 63 Cal.App.5th at p. 386.) The court also noted mitigation to complete
improvements to address those beyond the property owners exceeds the rough
proportionality standard. (Ibid.) Citing Dolan, the court noted the rough proportionality
required the government to make some sort of individualized determination that the
required dedication is related both in nature and extent to the impact of the proposed
development. (Ibid.)
The requirement to have one property owner bear the burden to underground
utilities that serve multiple properties along Beach Boulevard and Stark Avenue -- as
well as the community at large -- conflicts with the above standards. Put another way,
requiring the Appellant to underground these utilities is not roughly proportional to the
impact imposed by Appellant's development. Undergrounding these utilities is a public
initiative, not a private one to be borne by a single property owner. Nor has the City
proposed a development impact fee reimbursement arrangement whereby the City
reimburses Appellant for the underground work and obtains funds from future
development within the vicinity. Courts have noted that these arrangements --when
undertaken correctly -- may meet the nexus standard. (Alliance for Responsible
Planning v. Taylor, supra, 63 Cal.App.5th at 806, citing Larson v. City and County of
San Francisco (2011) 192 Cal.AppAth 1263, 1250.)

(C) The Planning Commission's Reasons for Denying Entitlement Plan
Amendment No. 22-003 Are Improper.
The Planning Commission's reasons for denial note that failure to underground
Beach Boulevard utilities would be detrimental to the "general welfare" of persons
working or residing in the vicinity. Such a finding reveals that the measure addresses
generalized matters of public concern, more than particularized impacts of a single 7-
Eleven store. (See, April 27, 2022 Notice of Action, p. 3.)
The Planning Commission also deemed that the removal of Condition No. 6(b)
would run aground of City General Plan Circulation Element Policy CIRC- 7(F).
However, that policy should not (and does not) apply to Appellant's Project. Initially,
CIRC-7(F) does not require undergrounding of utilities or similar project. While the
policy suggests a continued relocation of utilities underground or screening them, it
does not require the City to condition approval of a development on performing this
task. Furthermore, CIRC-7(F) applies to "scenic corridors." The Planning Commission
has made no findings or determinations that the utilities to be undergrounded would be
seen from a "scenic corridor." (See City General Plan, Circulation Element, p. 3-25.)
The fact that the City conditioned other projects on the undergrounding of utilities
does not bear on this issue. The majority of projects on or adjacent Beach Boulevard
appear to have addressed undergrounding through payment of an in lieu fee.
Apparently, the City has now closed its doors to that option. Even if other projects were
made to underground utilities, such a fact does not mean that Condition No 6(b) -- as
applied to Appellant's development -- is not overly burdensome and/or roughly
proportional to the impacts of Appellant's proposed development of the Property.
Applicable Title 20-25 provisions in the City's Zoning Code can still be met without
placing improper exactions on Appellant project.
3. CONCLUSION.
Based on the foregoing reasons, among others, Appellant respectfully requests
that the City Council revoke, rescind, or deem complete the performance of Condition
No. 6(b) in Conditional Use Permit 19-014. As noted, Appellant reserves the right to
amend or supplement this appeal letter to up and at the City Council's hearing on this
matter.
