Staff solicited proposals through a competitive Request for Proposal (RFP) process and determined that Focus Media Group is the highest ranked firm based upon evaluation criteria and effective maintenance program via GPS based tracking. Staff is recommending a franchise agreement with Focus Media Group to implement a comprehensive street furniture program that includes enhanced maintenance services on City- owned street furniture and an advertising program within limits of Huntington Beach. Financial Impact: The City will receive a minimum annual guarantee payment of $120,000 plus 25% revenue share on any wrapped advertisement. No minimum expenditures are required with this franchise. As such, no additional funding is required by this action. Recommended Action: A) Approve and authorize the Mayor and City Clerk to execute a "Franchise Agreement Between City of Huntington Beach and Focus Media Group Inc., for Transit Shelter Services;" and, B) Adopt Ordinance No. 4261, "A Non-Codified Ordinance of the City of Huntington Beach Providing Consent to the Assignment of the Transit Shelter Services Franchise to Focus Media Group, Inc." Alternative Action(s): Do not authorize the franchise agreement, and direct staff accordingly. Inaction will result in a loss of potential revenue. These bus stops have either a bus shelter or bus bench, which serve as spaces for various advertisements. Of these bus stops, there are 183 benches and 150 bus shelters with trash cans. These shelters provide the public with protection from the environment while waiting for the OCTA bus system. On February 15, 2022, the City advertised a Request for Proposals (RFP) for management and operations of bus shelters/bus bench advertisements and its facilities. The contractor is required to implement a comprehensive street furniture program that includes enhanced maintenance services on City-owned street furniture and an advertising program within limits of Huntington Beach. The scope of services include providing day-to-day operational supervision and personnel management, project management, and maintenance expertise necessary to operate the program; providing knowledgeable staff capable of selling advertising at all bus benches and bus shelter kiosks; providing adequate numbers of street furniture to meet the needs of bus patrons and residents and to ensure that all street furniture and access abides by State and Federal American with Disabilities Act (ADA) requirements; and providing cleaning and maintenance of the street furniture. On March 30, 2022,the City received three (3) proposals from the following firms: 1. Focus Media Group, Inc. 2. Clear Channel Outdoor 3. Creative Outdoor Advertising Proposals were then evaluated and ranked by a review board, which identified the top firm. Focus Media Group (FMG) was the highest ranked firm based upon the company's commitment to beautifying and enhancing transit furniture, effectively meeting the City's maintenance and rehabilitation needs which includes a GPS maintenance tracking software, positive work history and past performance. FMG has active contracts with the cities of Fountain Valley, Westminster, Garden Grove, Stanton, Santa Ana and Huntington Beach. They have in-house crews located in Fullerton and are quick to respond to any service requests. Their proposal will include 124 bus shelters and 233 bus benches, which is a net increase of 24 fixtures. In addition to being the highest ranked firm, FMG proposed the best value to the City by offering a guaranteed minimum revenue of $120,000 per year, plus 25% revenue share on wrapped advertisement, an initial capital investment of $533,000 and annual maintenance value of $258,700. Finally, FMG has proposed a community benefit that sets them apart from the competition by offering job opportunities for the homeless in Huntington Beach through the Navigation Center. WHEREAS, Huntington Beach Charter section 615 provides that franchises shall be granted by adoption of an ordinance; and WHEREAS, Focus Media Group, Inc. has requested a franchise to provide transit shelter services; and NOW, THEREFORE, the City Council of the City of Huntington Beach does hereby ordain as follows: SECTION 1. Focus Media Group, Inc. is hereby awarded a franchise for transit shelter services within the City of Huntington Beach. The terms and conditions of the Franchise Agreement awarded by this Ordinance are contained in the Franchise Agreement attached hereto as Exhibit"A" and incorporated by this reference as though fully set forth herein. SECTION 2. The City Clerk shall cause this ordinance to be posted in three places designated by the City Council within the City and to be published by title with a brief summary at least once within fifteen days after its adoption in a daily, semi-weekly or weekly newspaper, published in the County of Orange or the City and circulated in the City, which is selected by the City Council for that purpose. PASSED AND ADOPTED by the City Council of the City of Huntington Beach at a regular meeting thereof held on the 20th day of September , 2022. s Mayor ATTEST: AP=-- M: ��4' � City Clerk rty orney kEV AN APPROVED: TIA AND APP OVED: City Mann Director of Public s EXHIBIT "A" Ordinance No. 4261 Exhibit A FRANCHISE AGREEMENT BETWEEN CITY OF HUNTINGTON BEACH AND FOCUS MEDIA GROUP, INC., FOR TRANSIT SHELTER SERVICES This Franchise Agreement (the "Agreement") is made and entered into as of September 20, 2022, by and between the City of Huntington Beach, a municipal corporation ( "City"), and Focus Media Group, Inc. an Oklahoma Corporation, ("Grantee;" collectively, the City and Grantee are the "Parties"); and WHEREAS,the City is the fee owner of, or has heretofore acquired an easement for public street purposes over the right-of-way within its jurisdiction; and WHEREAS,the City desires to have Grantee construct, refurbish, install, operate and maintain advertising Transit Shelters and Advertising Bus Benches (collectively, "Bus Shelters") at all bus stops throughout the City; and WHEREAS,the City desires to have Grantee maintain all of Bus Shelters throughout the City; and WHEREAS, Huntington Beach Municipal Code Chapter 12.36 authorizes the City to grant a Franchise for Bus Shelters which incorporates advertising panels not exceeding two, 24- square foot panels, and subject to the prohibition of advertising for cigarettes, alcoholic beverages, and on-site businesses; and WHEREAS, Grantee has the financial, legal and technical ability to provide the services, facilities and equipment as set forth in this Agreement; and WHEREAS,the terms and conditions of this Agreement granting a Franchise are reasonable to meet the future bus transit needs and interests of the community, taking into account the cost of meeting such needs and interests; and NOW, THEREFORE, in consideration of the promises and agreements hereinafter made and exchanged, the Parties covenant and agree as follows: 1. GRANT OF FRANCHISE Pursuant to the authority provided in Chapter 12.36, the City hereby grants Grantee an exclusive Franchise to provide the City with a Transit Shelter Advertising Program (the "Program"). The Program shall consist of the following elements: 22111488/288438 1 A. Within thirty (30) days of execution of this Agreement, Grantee shall perform a pilot refurbishment demonstration of a"test transit shelter" close to City Hall as a sample so that the City is able inspect and approve the standard for future refurbishment of Transit Shelters. Once approved by the City, this refurbishment demonstration shall constitute the "Test Transit Shelter Standard." B. Within forty-five (45) days of execution of this Agreement, Grantee shall complete a survey of the location and condition of all Transit Shelters and Advertising Bus Benches in the City (the "Survey"). The Survey shall identify and make proposals regarding: (i) any Transit Shelters that do not comply with the Americans with Disability Act ("ADA"); (ii) any additional Transit Shelters Grantee proposes installing; (iii) removal of such Transit Shelters where there is insufficient bus boarding to justify a Shelter; and, (iv)the relocation(s) of any Transit Shelters and/or Advertising Bus Benches. C. Within forty-five (45) days after Grantee delivers the Survey to the City, the City and Grantee shall agree upon the "Performance Schedule" for the installation and/or refurbishment of any of the following: (1) Refurbishment of existing Transit Shelters to the Test Transit Shelter Standard; (2) The removal of unnecessary Transit Shelters' (3) The removal of all existing Advertising Bus Benches; (4) The installation of a minimum of one hundred fifty (150) new Advertising Bus Benches at OCTA-designated bus stops. D. Failure of the Parties to agree in writing to the Performance Schedule within ninety (90) days of execution of this Agreement shall cancel and rescind this Agreement without compensation or cost to either the City or Grantee. The Parties may mutually agree in writing to extend said ninety (90) day period. If the Parties fail to agree on a Performance Schedule, Grantee's rights under this Agreement and the Original Agreement terminates, and City shall own all right and title to the Transit Shelters. 22-11488/288438 2 E. The City Design Review Board shall approve the design of all Transit Shelters and Advertising Bus Benches pursuant to Huntington Beach Zoning and Subdivision Ordinance Code Chapter 244 prior to approval of the Performance Schedule. F. At a minimum, the Performance Schedule shall provide that Grantee shall, at its sole cost, refurbish to the Test Transit Shelter Standard all existing Transit Shelters. Grantee, at its sole cost, shall install new Transit Shelters to replace any existing Transit Shelters that cannot be refurbished to Test Transit Shelter Standard. G. All new Transit Shelters and Restore Transit Shelters shall be installed in compliance with Sections 5 and 6 of this Agreement, as further refined in the Performance Schedule Grantee estimates that its cost for the bus shelter refurbishment program, the removal of the existing advertising bus benches, and the installation of a minimum of one hundred fifty (150) new Advertising Bus Benches will not exceed two-hundred and twenty-five thousand dollars ($225,000.00), including materials and labor ("Grantee's Capital Cost), and this estimate shall be used for purposes of the City purchasing the Transit Shelters prior to the expiration of the Term of this Agreement. However, regardless of the actual cost of the bus shelter refurbishment program, Grantee shall complete all work agreed upon in the Performance Schedule and required under Sections 5 and 6. . H. Throughout the term of this Agreement, Grantee, at its sole cost, shall maintain all Transit Shelters pursuant to the Maintenance Standards at Section 7 of this Agreement. I. All seating and benches at Transit Shelters shall have seat dividers. 2. FRANCHISE AREA. The area of Grantee's Franchise shall be all property within the boundaries of the City of Huntington Beach, as they exist on the effective date of this Agreement 3. TERM OF AGREEMENT AND OWNERSHIP OF TRANSIT SHELTERS A. This Agreement shall commence on the2eo?P TK(the "Effective Date") and shall continue in effect for a period of ten (10) years (the "Term"), unless this Agreement is terminated earlier, pursuant to the provisions of this Agreement. Upon the end of the term of this Agreement, City shall take title and ownership of all Transit Shelters and any other equipment, and street furniture Grantee has installed in the public right-of-way. 22-11488/288438 3 B. City may terminate this Agreement without cause upon one year written notice to Grantee. Upon termination of this Agreement, City shall have the right to keep any or all of the street furniture covered by this Agreement. C. If City terminates this Agreement for cause pursuant to Section 10, City shall take title and ownership of all Transit Shelters and any other equipment, and street furniture Grantee has installed in the public right-of-way. 4. FRANCHISE FEE TO CITY A. Computed on a quarterly basis during the Term of this Agreement, FRANCHISEE agrees to pay to CITY the guaranteed minimum payments ("Guaranteed Minimum Payment") or a stated percentage of the gross advertising revenues ("Percentage Advertising Revenue") whichever amount is greater. The Guaranteed Minimum Payment will be equal to $780.00 per shelter, per year, and $100.00 per advertising bench, per year. The Percentage Advertising Revenue will be calculated as follows: (1) Twenty-five percent (25%) of the quarterly gross advertising revenues received by GRANTEE, for rental of advertising space on all bus shelters located in the City. (2) Fifteen percent (15%) of the gross advertising revenues received by GRANTEE, for rental of advertising space on all bus benches located in the City. For the purposes of this Agreement, the term "gross advertising revenues" upon which the quarterly Percentage Advertising Revenue will be paid, includes all advertising revenue collected by GRANTEE in that quarter, whether for cash or credit, less production costs and any advertising agency commissions, or non-affiliated third-party commissions (i.e. media brokers). All advertising contracts must clearly show the total advertising costs, per panel, per time (e.g., monthly, quarterly, etc.). If at any time during the term of this Agreement GRANTEE and the CITY agree to add or decrease the number of shelters or bus benches authorized by this Agreement, the Percentage Advertising Revenue "percentage" will remain the same. 22-11488/288438 4 B. Quarterly reports (unaudited) concerning gross advertising receipts derived from the benches and/or shelters within CITY shall be provided to the City Manager within 30 days after the conclusion of said Quarterly period.. Any payments due beyond the guaranteed amount will be provided with the statement. All payments from the FRANCHISEE to CITY shall be supported by a Statement of Account showing all shelter and/or bench locations and revenues received. If said payment is not paid within thirty(30) days, it shall accrue interest at the rate of 5 percent per month for each month thereafter. 5. MINIMUM STANDARDS FOR NEW AND REPLACEMENT TRANSIT SHELTERS All new and replacement Transit Shelters shall meet the following minimum design and construction requirements: A. All new and replacement Transit Shelters (except for bus benches designated in the Survey) shall conform to the Test Transit Shelter Standard. B. Each Transit Shelter shall be compatible with the landscaping in its vicinity, in a manner satisfactory to the Director of Public Works or his/her designee. Transit Shelters to be located on an existing landscaped slope will require special design and landscaping modifications. All Transit Shelters shall have consistent design within a community. C. All new and replacement Transit Shelters shall conform to the minimum design standards of as defined in the City of Huntington Beach Standard Plans, and the March 2004 Orange County Transportation Authority's Bus Facilities Handbook, or the most current adopted Handbook ("OCTA Handbook"). All work performed shall conform to City Standard Plans on file, the latest edition of Standard Specifications For Public Works Construction (Green Book), the latest edition of the National Electric Code (NEC). D. If required, Grantee will obtain written permission to encroach from the underlying property owner (other than the City), prior to issuance of any permit for any Transit Shelter. No telephones, vending machines, news racks, or any other devices not specifically authorized pursuant to this Agreement shall be permitted to be installed on, or adjacent to the 22-11488/288438 5 Transit Shelters without the prior written authorization of the Director of Public Works or his/her designee. E. Each Transit Shelter shall accommodate a minimum space of 48 inches by 48 inches for persons in wheelchairs. Each Shelter shall also have a matching trash receptacle with an inner and outer lining, not including plastic garbage bags, to prevent leaks and spills. All furniture shall be anchored to the site or otherwise attached to the Shelter to prevent theft and/or vandalism. 6. MINIMUM STANDARDS FOR RESTORATION OR REMOVAL OF TRANSIT SHELTERS Grantee shall comply with the following requirements when refurbishing or removing existing Transit Shelters to the Test Transit Shelter Standard: A. In order to meet the Test Transit Shelter Standard for refurbishment of Transit Shelters, all sidewalks and pads shall be steam pressure washed using a regulation-compliant water reclamation system in order to remove all gum and stains prior to reinstallation of Transit Shelters. B. All wiring and conduits shall be replaced. Solar panels and mounting brackets shall be replaced or refurbished. In the event that the existing lighting system is beyond repair or requires extensive and expensive repairs, alternative forms of power source such as solar-powered lighting may be used. See Exhibit B attached hereto and incorporated herein. 7. MINIMUM STANDARDS FOR OPERATION, REPAIR AND MAINTENANCE OF TRANSIT SHELTERS Grantee shall maintain, at its sole cost, all Transit Shelters in compliance with the following minimum standards: A. Grantee shall routinely maintain and refurbish all Transit Shelters to ensure that they conform to the Test Transit Shelter Standard. B. Grantee shall routinely collect trash from receptacles, and install liners. Grantee shall routinely clean all Transit Shelters. 22-11488/288438 6 C. Grantee shall conduct periodic night rides to check illumination and ensure all lighting is operating correctly. D. Grantee shall identify "hot spot" locations, where additional services may be required to address continuing debris overflow, frequent targets of vandalism, and/or overuse due to special events. These hot spot locations will change from time to time, and season to season. City shall assist by informing Grantee should City's code enforcement or public safety personnel encounters such conditions. Grantee shall provide additional services on an as-needed basis of trash activity at no extra cost to the City, including at special events, where City has provided Grantee 30-day advance notice of the special events. E. The name of the nearest cross street or local feature shall be placed on the Transit Shelter's roof facia on the approach end of the Shelter consistent with City of Huntington Beach standards, or as directed by the Director of Public Works or his/her designee. Grantee's name and 24-hour phone number shall be displayed for emergency purposes within the interior of each Shelter. F. Grantee shall supply the approved trash receptacle at each Transit Shelter in accordance with the site specifications, or as approved by Director of Public Works his/her designee. If needed, Grantee shall install a second trash receptacle at the request of the Director of Public Works or his/her designee. Trash receptacles shall not block the bypass space between the sidewalk, Transit Shelter, and the curb face. G. All new Transit Shelter locations shall be issued its individual permit application, shall specify the shelter or bench standard plan number to be used, and will be accompanied by an 8-1/2" x 11" location drawing, signed and stamped by a California Registered Civil or Structural Engineer. The location drawing shall contain a minimum 40 foot to 1 inch scale (1 "=40' scale) representation of the proposed Transit Shelter site covering the area from the property line to the street centerline at the intersection. Mid-block sites can be shown with broken line ties. The drawing shall also give all necessary street dimensions including sidewalk width, street width, etc. All substructures within the sidewalk area, street lighting electroliers, fire hydrants, storm drain catch basins, trees, vaults, gas lines, water lines, electrical, and any other sidewalk facility or street furniture must be shown on the location drawing. A no-scale key map must also be included on the location drawing. 22-11488/288438 7 H. The Transit Shelter, including roof, shall have a minimum 24 inches setback from the curb face. Any Transit Shelter located less than 48 inches from the curb face shall have rear access at the ad-panel end of the Transit Shelter. I. Every Transit Shelter shall be illuminated from dusk until dawn by an overhead LED light fixture concealed in the roof structure with a control timer and/or a photo electric cell, or its equivalent as determined solely at the discretion of the Director of Public Works. Grantee shall apply for, and obtain at its own cost, any necessary electrical service permits from the electrical provider. Metered electrical service charges shall be at Grantee's sole expense. J. At all times during the term of this Agreement, Grantee shall, at its sole expense, maintain all Transit Shelters in a neat, attractive, safe, and sanitary manner to the satisfaction of the City's Director of Public Works or his/her designee. This includes, but is not limited to removal of litter, graffiti, and debris, cleaning of all visible surfaces, and emptying trash receptacles. Grantee shall report to the City all maintenance activities for each quarter of the year. K. Grantee shall keep the pad and any area within fifteen feet (15') of the Transit Shelter clean and litter free at all times, including curb and gutter, exclusive of street. Steam cleaning of all Transit Shelters will be provided on an"as-needed"basis. Routine maintenance shall not be performed during peak hours from 6 a.m. to 9 a.m., and 4 p.m. to 7 p.m., Monday through Friday. L. Grantee shall, at its own expense, replace or repair any and all damaged, defaced or worn out Transit Shelters to conform to the Test Transit Shelter Standard no later than twenty- four hours after discovery by Grantee, or notification of such damage or defacement is received by telephone. If the condition of the Transit Shelter represents a danger, Grantee shall respond immediately (no later than within 4 hours of notification). Grantee shall maintain and furnish a twenty-four hour emergency telephone number. When damage requires emergency removal of an entire Transit Shelter, in order to leave the site in safe condition, the removed fixtures shall be replaced and made fully operational within five (5) working days. M. Grantee shall regularly patrol Transit Shelters to identify "hot spot" locations, where additional services are required to address continuing debris overflow, frequent targets of 22-11488/288438 8 vandalism, and/or overuse due to special events. These hot spot locations will change from time to time, and season to season. N. Grantee will provide additional services on an as-needed basis including trash activity at no extra cost to the City. By way of example, provided that the City provides at least 30-day advance notice of special events, Grantee shall perform addition trash removal services. O. Grantee shall provide the City a twenty-four (24) hour contact for receipt of written notice of need for maintenance or repair. 8. TRASH RECEPTACLES A trash receptacle shall be installed with an inner and outer (non-wire mesh) lining to prevent leaks and spills at each Transit Shelter and Advertising Bus Bench location, as needed. 9. AMERICANS WITH DISABILITY ACT. Grantee shall install and replace all Transit Shelters in compliance with the Americans with Disability Act. 10. REMEDIES, LIQUIDATED DAMAGES, AND TERMINATION FOR NON- PERFORMANCE. Failure of Grantee to maintain, clean, repair, or remove graffiti in order to conform to the Test Transit Shelter Standard shall subject Grantee to following penalties: A. The City may impose the following fines for Grantee's failure to clean or repair Transit Shelters to the Test Transit Shelter Standard or to promptly remove graffiti from Transit Shelters and Advertising Bus Benches: 22-11488/288438 9 MATTER LIQUIDATED NOTICE DAMAGES Graffiti $50 $50/day fine starting 24 hours after written notice*, except weekends and holidays to completely address/remove graffiti. $50/day fine starting 24 hours after written notice, except Trash $50 weekends and holidays to remove/empty trash (with exce tions where special events are taking lace). $50/day fine starting 24 hours after written notice, except weekends and holidays, if repair work is not initiated. In event of damage caused by auto accident, the Transit Repairs $50 Shelter shall be entirely secured and/or removed to ensure public safety within 24 hours written notice, weekends & holidays included. The City may secure and/or to remove the damaged Transit Shelter if it deems to be an urgent situation to protect public safety. Performance $100/day fine starting 24 hours after written notice that Schedule $100 Grantee is in violation of the Performance Schedule, except weekends and holidays. B. In all above cases, written notice of need for maintenance or repair will begin upon written notice to Grantee's specified contact via email, personal service, or US Mail. The Parties agree that the amounts set forth above as liquidated damages constitutes a reasonable approximation of the actual damages that City would suffer for each failure to meet the Performance Schedule, considering all of the circumstances existing on the effective date of this Agreement, including the relationship of the liquidated damages amount to the range of harm to the City and accomplishment of the City's purpose in entering into this Agreement, the difficulty and impracticability of determining actual damages involving such issues as the dollar damages per Transit Shelter per day of delay and the City's goals in installing new Transit Shelters and that the proof of actual damages would be costly or inconvenient. C. Alternatively to the remedy of liquidated damages, in the event Grantee fails to begin and complete maintenance, repairs or removal and replacement of a Transit Shelter as required by Subsection A, the City may, at its sole discretion, cause the correction, repair, replace, or removal of the Transit Shelter. Grantee shall pay the City its costs incurred by to correct the Transit Shelter within thirty (30) days following receipt by Grantee of the City's invoice. If payment is not received by the due date, a late charge of five percent (5%) per month, compounded monthly, will be added. 22-11488/288438 10 D. In addition to the remedy of liquidated damages, if Grantee fails to comply with any of its maintenance obligations or responsibilities pursuant to this Agreement, and Grantee fails to commence and cure any such default within thirty (30) days following written notice from City, City may terminate this Agreement for cause. If Grantee requires additional time to cure any such default and provides written notice to City requesting such additional time to cure, City shall not unreasonably withhold acceptance of said request. E. If Grantee does not maintain and replace Transit Shelters to the Test Transit Shelter Standard, and otherwise comply with the terms of this Agreement, the City may terminate this Agreement for cause upon 30-days written notice. 11. FORCE MAJEURE The time within which Grantee is obligated to commence and to complete the refurbishment and installation of Transit Shelters shall be extended for a period of time equal in duration to, and performance shall be excused on account of and for, and during the period of, any delay caused by earthquake, pandemic, strikes, threat of strikes, lockouts, war, threats of war, insurrection, invasion, acts of God, calamities, violent action of the elements, fire, delays in electrical service provider permit issuance, action or adoption of any regulation, law or ordinance by any governmental agency, precluding Grantee's performance. 12. ADVERTISING STANDARDS A. Transit Shelter advertising shall be limited to two backlit ad panels per Transit Shelter. If the sidewalk/parkway is narrow, Grantee may provide access by pouring additional slab. Alternative advertising panel designs and "full shelter wraps" on a site-by-site basis require the specific approval of the Director of Public Works, or his/her designee. Any additional, new, or future replacement locations shall be reviewed and approved by the Director of Public Works or her/his designee on a site-by-site basis. Further, each new full shelter wrap creative ad content shall be pre-approved by the Director of Public Works and/or his/her designee within five (5) business days, otherwise it is deemed approved. B. All advertising shall conform to the requirements of Huntington Beach Municipal Code §12.36.030. C. Any proposed advertising to be located on Transit Shelter ad panels shall not: 22-11488/288438 11 1. Display the words "STOP", "DRIVE-IN", "DANGER", or any other word, phrase, symbol or character, which may interfere with, mislead, confuse, or direct vehicular traffic. 2. Comprise of rotating, revolving, or flashing lighting devises. 3. Promote material, which the City in its sole discretion determines is offensive to community standards of good taste. 4. Promote alcohol and/or tobacco products. 5. Contain"on-site business identification signs", or"off-site business identification signs." For the purpose of this Agreement, "on-site business identification signs" are defined as Transit Shelter ad panels immediately adjacent to the business which is the subject of the Transit Shelter. Business with multiple sites within the City are exempt from this advertising restriction. "Off-site identification signs" are defined as ad panels that give specific direction to an advertiser's place of business other than the site's address. Restrictions include but are not limited to indications such as directional arrows. D. The Director of Public Works or his/her designee will make the final determination on unacceptable advertising. In the event that an advertisement is determined to be unacceptable, Grantee agrees to remove said advertising within twenty-four (24) hours of official notification, which may be made by telephone, or e-mail thereafter said telephonic notice shall be confirmed in writing by U.S. Mail, email or facsimile. 13. PUBLIC SERVICE MESSAGES A. Grantee shall make available to the City fifteen (15) advertising panels segments each year for ten (10) years and, in cooperation with the City, design, print, install and remove fifteen ( 15) four color posters, three times a year, for ten ( 10) years. The City shall incur all print costs for these campaigns. This cost can be reimbursed through a deduction of the revenue payment to the City. The City shall use color posters and advertising to promote the City of Huntington Beach interests. 22-11488/288438 12 B. Grantee shall permit the City to use unsold Transit Shelter ad panels for public service announcements. For purposes of this Section only, "unsold ad panels" exclude advertising required by contractual obligations with advertisers (e.g. "bonus" or "override" panels). C. Grantee shall arrange for service and installation of the public service announcements including promotions of transportation related programs as defined by the City Public Information Officer or his/her designee. Public service announcements may be preprinted ad sheets from organizations, such as DARE,NEIGHBORHOOD WATCH, MADD, VISIT HUNTINGTON BEACH, ETC. or on special occasions, the City shall provide camera ready copy only. Public Service Announcements shall be held to the same standards required of commercial advertising. 14. SITE RELOCATION The City will have the right to require Grantee to relocate Transit Shelters, at Grantee's sole expense, for the convenience of pedestrians and bus patrons, or because of street widening/construction. Grantee shall not relocate or remove a Transit Shelter without the City's permission. The City may require or permit a Transit Shelter to be removed or relocated if it has been demonstrated to be incapable of proper maintenance due to excessive vandalism or any other reasonable cause. "Excessive vandalism" is defined as damage inflicted to an individual Transit Shelter during any consecutive six (6) month period, which requires cumulative expenditures for replacement and repair that exceed the original cost of construction and installation of the Transit Shelter. In the event that a bus route is altered or deleted such that a Transit Shelter will no longer serve an active bus stop, Grantee shall, within thirty (30) days after notification, remove the Transit Shelter completely, restore the location to its original condition, and relocate the Transit Shelter to the new, City designated location. 15. INTEREST OF GRANTEE The Grantee covenants that it presently has no interest and shall not acquire any interest, directly or indirectly, that would conflict in any manner or degree with the performance of the Program. No person having such an interest shall be employed by or associated with Grantee. 22-11488/288438 13 16. PROPERTY TAXES By accepting this Agreement, Grantee acknowledges that notice is and was hereby given to Grantee pursuant to California Revenue and Taxation Code Section 107.6 that use or occupancy of any public property pursuant to the authorization herein set forth may create a possessory interest which may be subject to the payment of property taxes levied upon such interest. Grantee shall be solely liable for, and shall pay and discharge prior to delinquency, any and all possessory interest truces or other truces levied against Grantee's right to possession, occupancy or use of any public property pursuant to any right of possession, occupancy or use created by this Agreement. 17. CONTRACT TERMINATION Notwithstanding any other provision in this Agreement, and in addition to other methods of termination available under the laws of the State of California, Grantee's failure to comply with any of its obligations or responsibilities pursuant to this Agreement shall constitute a material default. If Grantee fails to commence and completely cure any default within thirty (30) days following written notice from the City, the City may immediately terminate this Agreement. The City may recover any unpaid monies through legal action against Grantee. 18. WORKER'S COMPENSATION AND EMPLOYER'S LIABILITY INSURANCE. Pursuant to California Labor Code section 1861, Grantee acknowledges awareness of Section 3700 et seq. of said Code, which requires every employer to be insured against liability for workers compensation; Grantee covenants that it will comply with such provisions prior to commencing performance of the work hereunder. Grantee shall maintain workers compensation and employer's liability insurance in an amount of not less than the State statutory limits. Grantee shall require all subcontractors to provide such workers compensation insurance for all of the subcontractors' employees. Grantee shall furnish to the City a certificate of waiver of subrogation under the terms of the workers compensation insurance and Grantee shall similarly require all subcontractors to waive subrogation. 22-11488/288438 14 19. INSURANCE Grantee shall obtain and furnish to the City, a policy of general public liability insurance, including motor vehicle coverage-. Said policy shall indemnify Grantee, its officers, agents and employees, while acting within the scope of their duties, against all claims arising out of or in connection with the acts or omissions of Grantee, its officers, agents and employees, and shall provide coverage in not less than the following amount: A. Combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of$ 3,000,000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $5,000,000. B. Auto Liability with combined single limit of$2,000,000. C. Each liability policy shall name the City, its officers, elected or appointed officials, and employees, agents and volunteer as additional insureds, and shall specifically provide that any other insurance coverage, which may be applicable to this Agreement, shall be deemed excess coverage and that Grantee's insurance shall be primary. Any available insurance proceeds in excess of the minimum coverage amount specified herein shall be available to the Additional Insured Parties. D. All coverage available to Grantee shall also be available to the City. E. Under no circumstances shall said above-mentioned insurance contain a self- insured retention without the express written consent of City however, an insurance policy "deductible" of$5,000.00 is permitted. F. Grantee shall be responsible for causing all its contractors to maintain the same types and limits of insurance coverage as that required of Grantee under this Agreement. 20. CERTIFICATES OF INSURANCE Prior to commencing performance of the work hereunder, Grantee shall furnish to the City certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; said certificates shall: l. provide the name and policy number of each carrier and policy; 22-11488/288438 15 2. shall state the policy is currently in force; 3. shall promise that such policies shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty days prior written notice; however, ten days prior written notice in the event of cancellation for nonpayment of premium. Grantee shall maintain the foregoing insurance coverages in force during the term of this Agreement. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of the City by Grantee under this Agreement. Grantee shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. If for any reason Grantee fails to obtain or keep any of such insurance in force, the City may, but shall not be required to, obtain such insurance, in which event Grantee shall promptly reimburse the City the premium cost therefor plus ten percent(10%)-monthly interest thereon until paid. 21. LEGAL WORK DAY—PENALTIES FOR VIOLATION Eight (8) hours labor constitutes a legal day's work during any one calendar day. Grantee shall forfeit fifty dollars ($50.00) for each workman employed in the execution of this Agreement by Grantee or by any subcontractor for each calendar day during which such workman is required or permitted to work more than eight(8) hours in any one calendar day and forty (40) hours in any one calendar week in violation of California Labor Code Sections 1810 through 1815, inclusive. 22. PREVAILING WAGE SCALE Grantee shall comply in all respects with California Labor Code, Sections 1770 et seq., including the keeping of all records required by the provisions of Labor Code Section 1776. 23. GRANTEE'S PRINCIPAL Grantee designates Michael Culver, President, mculver@focusmediagroupinc.com; 310- 897-7096 as its principal representative, who shall represent Grantee and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. Grantee may substitute a new principal representative upon thirty (30) days notice to the City. 22-11488/288438 16 24. INDEMNIFICATION, DEFENSE, HOLD HARMLESS Grantee hereby agrees to protect, defend, indemnify and hold harmless City, its officers, elected or appointed officials, employees, agents, and volunteers from and against any and all claims, damages, losses, expenses,judgments, demands, defense costs, and consequential damage or liability of any kind or nature, however caused, including those resulting from death or injury to Grantee's employees and damage to Grantee's property, arising directly or indirectly out of the obligations or operations herein undertaken by Grantee, caused in whole or in part by any negligent act or omission of the Grantee, any subcontractors, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, including but not limited to concurrent active or passive negligence, except where caused by the active negligence, sole negligence, or willful misconduct of the CITY, its officers, elected or appointed officials, employees, agents, and volunteers. Grantee will conduct all defense at its sole cost and expense and CITY shall approve selection of Grantee's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Grantee. 25, DEFAULT In addition to the remedies and penalties provided under Section 16, Grantee shall be considered to be in default of this Agreement when any of the following occurs: A. The abandonment, vacation, or discontinuance of Transit Shelter operations for more than ten (10) consecutive days following written notice from the CITY. Routine vacancies of advertising material shall not be considered discontinued operations. B. The failure of Grantee to punctually pay or make the payments herein when due, where the delinquency continues beyond ten (10) days following written notice of payment thereof. C. The failure of Grantee to operate in the manner required by this Agreement, where such failure continues for more than ten(10 days after written notice from the CITY to correct the condition therein specified. D. The failure to maintain the Transit Shelters in the state of repair required hereunder, in a clean, sanitary, safe and satisfactory condition, where such failure continues for 22-11488/288438 17 more than ten (10) days after written notice from the CITY for correction thereof, provided that where fulfillment of such obligation requires activity over a period of time and Grantee shall have immediately, following receipt of such notice, commenced to perform whatever may be required to cure the particular default and continues such performance diligently, said time limit may be waived in the manner and to the extent allowed by the CITY. E. The failure of Grantee to keep, perform and observe all other promises, covenants, conditions and agreements set forth in this Agreement, where such failure continuers for more than thirty (30) days after written notice from the CITY for correction thereof, provided that where fulfillment of such obligation requires activity over a period of time and Grantee shall have commenced to perform whatever may be required to cure the particular default within ten (10) days after such notice and continues such performance diligently, said time limit may be waived in the manner to the extent allowed by the CITY. F. The filing of a voluntary petition in bankruptcy by Grantee; the adjudication of Grantee as a bankrupt; the appointment of any receiver of Grantee's assets; the making of a general assignment for the benefit of creditors; a petition or answer seeking an arrangement for the reorganization of Grantee under any Federal Reorganization Act, including petitions or answers under Chapters X and Cl of the Bankruptcy Act; the occurrence of any act which operates to deprive Grantee permanently of the rights, powers and privileges necessary for the proper conduct and operation of the facilities; the levy of any attachment or execution which substantially interferes with Grantee's operations under this Agreement and which attachment or execution is not vacated, dismissed, stayed or set aside within a period of sixty (60) days. G. Determination by the CITY, the State Fair Employment Commission, or the Federal Equal Employment Opportunity Commission of discrimination having been practiced by Grantee in violation of state and/or federal laws thereon. H. Transfer of the majority controlling interest of Grantee to persons other than those who are in control at the time of the execution of this Agreement without approval thereof by the CITY. I. Failure to have commenced required construction of any Performance Schedule on or before the date designated in the Schedule. 22-11488/288438 18 J. Failure to have completed construction as required under the Performance Schedule on or before the date designated in the Schedule. 26. INDEPENDENT CONTRACTOR The performance of Grantee's services hereunder shall be in the capacity of an independent contractor and not as an officer, agent or employee of CITY. 27. NOTICES Any notice required to be given herein shall be in writing and shall be personally served or given by mail. Notice by personal service shall be effective upon delivery. ASSIGNMENT; SUBCONTRACTS The Grantee shall not subcontract, assign, sell, encumber or otherwise transfer its rights and obligations under this Agreement without the prior written consent of the City. Approval shall not be unreasonably withheld. Any attempted transfer without the City's prior written consent shall be void and shall, at the option of the City, terminate this Agreement. 29. AMENDMENT: WAIVER 22-11488/288438 19 This Agreement shall not be amended except by a written instrument signed by the Parties. No failure or delay of either Party in the exercise of any right given to that Party pursuant to this Agreement or given to that party by operation of law shall constitute a waiver of that right, nor shall any single or partial exercise of that right preclude any other further exercise of that right or of any other right. No waiver shall be effective unless the waiver is executed in writing and delivered to the other Party in compliance with the notice provisions of this Agreement. 30. INDEPENDENT CONTRACTOR Grantee shall perform all services required herein as an independent contractor of the City and shall remain at all times as to the City a wholly independent contractor and not an employee of the City. The City shall not in any way or for any purpose become or be deemed to be a partner of Grantee in its business or otherwise, or a joint venturer, or a member of any joint enterprise with Grantee. 31. LEGAL ACTIONS The Superior Court of the State of California for the County of Orange shall have the exclusive jurisdiction of any litigation between the Parties arising out of this Agreement. This Agreement shall be governed by, and construed under, the laws of the State of California. The rights and remedies of the Parties are cumulative and the exercise by either party of one or more of such rights or remedies shall not preclude the exercise by it, at the same or different times, of any other rights or remedies for the same default or any other default by the other party. Service of process on the City shall be made in the manner required by law for service on a public entity. Service of process on Grantee shall be made in any manner permitted by law and shall be effective whether served within or outside of California. 32. NON-LIABILITY OF CITY OFFICERS AND EMPLOYEES No officer, official, employee, agent, representative, or volunteer of the City shall be personally liable to Grantee, or any successor in interest, in the event of any default or breach by the City, or for any amount, which may become due to Grantee or its successor, or for breach of any obligation of the terms of this Agreement. 22-11488/288438 20 33. INTERPRETATION; SEVERABILITY The terms of this Agreement shall be construed in accordance with the meaning of the language used and shall not be construed for or against either Party by reason of the authorship of this Agreement or any other rule of construction which might otherwise apply. The Section headings are for purposes of convenience only, and shall not be construed to limit or extend the meaning of this Agreement. Each provision of this Agreement shall be severable from the whole. If any provision of this Agreement shall be found contrary to law, the remainder of this Agreement shall continue in full force. 34. EXTENT OF AGREEMENT This document represents the entire integrated Agreement between the City and Grantee. All prior negotiations, representations, or agreements, written or oral, are merged into and superseded by this Agreement. Grantee and the City expressly agree that no additional terms or conditions exist that affect this Agreement and that are not contained in this Agreement. 22-11488/288438 21 35. ATTORNEY'S FEES In the event suit is brought by either party to enforce the terms and provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees. A. Parts to be repaired or replaced o Ad Panel Covers/Doors: If doors are bent or dented beyond repair, vendor will need to install new doors and/or new modified acrylic cover. B. Parts to be repaired and painted o Domed Roof: Replaced with refurbished panels and fasteners. o Ad Boxes: If the Ad Box needs to be replaced due to dents or damage beyond repair,the following 3 options may be considered: • Option 1: Replace from existing inventory of remanufactured Ad Boxes until inventory is depleted. • Option 2: Replace with new Ad Box. • Option 3: Install new free-standing ad box. This also provides additional seating inside the shelter for high boarding locations. C. New parts that will be installed (Not refurbished) o Interior safety lighting to be replaced with solar power,where feasible. o Fasteners: high-grade bolts, nuts,washers and screws. o Wiring: including conduit and connections. o Anchors: these attach to the sidewalk/pad and are used to anchor the legs/shelter to the ground, where needed. o Safety Ad Panel Covers: Replaces as necessary. For locations that do not have new ad box covers, replace entirely with new modified acrylic panels o Bus bench in shelters with seat dividers on a location by location basis, to be approved by City. 22-11488/288438 24 o Prepare locations to receive the new structures by steam pressure washing sidewalks and pads to remove all gum and stains. Please use a regulation- compliant water reclamation system. Bus Benches: • All bus benches are replaced, within six (6) months of the contract, weather permitting and subject to any potential delay in City's approval time. All existing stand-alone Advertising Bus Benches shall be removed and a minimum of one hundred (150) new Advertising Bus Benches shall be replaced within six (6) months, subject to the City's final approval of the locations. • If benches have metal, it needs to be powered coated or other materials that do not rust in salt air. Lighting: • General lighting shall be given priority over advertising box illumination. • The following approach and process regarding illumination is recommended: A. General lighting:. In the event that the existing lighting system is beyond repair or requires extensive and expensive repairs, alternative forms of power source such as solar-powered lighting may be used. B. Ad box illumination: Repair and rewire the ad box lighting. FMG will address ad box lighting according to those locations that are highest in demand by advertisers or that provide a significant audience after dusk, as FMG determines. Where practical and economically feasible, convert the entire illumination system(general and ad box)to a solar-powered system. If a solar-powered system is considered, vendor needs to ensure that equipment is secure from theft or damage. C. Ni2ht rides and audits: Conduct quarterly night rides to check illumination and make sure all lighting is operating correctly, send quarterly reports to the City. Additional Items: • The City anticipates installation of refurbished bus shelters and new benches in the Coastal Zone where advertising previously was not permitted. Many of the new shelters may need to be "premium" and/or digital-enabled shelters, however all of them may be "full shelter wrap" eligible. In addition to offsetting the substantial expense and logistical challenges of maintaining an adequate number of shelters and benches,the contract between the City and FMG would guarantee the City significant revenue. The program is sustained by FMG monetizing the advertising space on the shelters and benches. In addition to the guaranteed revenue proposed, the City has the potential to earn substantially more as a result of the advertising revenue share provision (25%of revenue on the shelters and 15%of revenue on the benches). There are prohibited categories of advertising. FMG has reviewed the proposed Agreement in the RFP and agrees to all the terms and conditions requested. FMG would like to propose an alternative recommendation for the performance bond required if we are selected. Methodology FMG has vast experience implementing programs of the type outlined in our proposal. The same circumstances existed in the cities of Fountain Valley, Westminster, Stanton, Santa Ana and Sunset Beach. FMG refurbished the existing shelters and replaced the benches at no cost to the City. We have conducted a detailed survey to triangulate the ridership needs at every bus stop (How many boardings?Are there special needs?), the condition of the street furniture, and the desirability from an advertising perspective. The attached detailed bus stop survey provides up-to-date findings of all current street furniture in the market. This survey also details the following recommendations to be presented and discussed with the City: 1. We have Identified Street furniture (shelters and benches) that we recommend for removal due to a variety of reasons such as: a. The bus stop no longer exists b. The low boardings do not justify deploying and maintaining bus stop amenities c. The condition of the existing street furniture and the value it provides to the public or as an advertising asset does not justify refurbishment 2. Identified bus shelters that will remain and be completely refurbished 3. Identified bus benches & bus stops that need the following: a. Installation of new benches at stops where needed per boardings b. Replacement of all existing bus benches with new bus benches c. Determined if the bus bench will be replaced in Phase I, Phase II or Phase III FMG proposes a final review with the City on the exact quantity of the transit shelter based on OCTA boardings. Our experience is that many shelter markets in Orange County (like Huntington Beach) are overbuilt and the community is serviced better with fewer shelters. Results A full survey report and corresponding recommendation are attached as an Addendum to this proposal ("FMG Survey& Recommendation of Huntington Beach Bus Stops Amenities"). This included the bus stops in Sunset Beach &the Coastal area. ➢ Our survey noted that 19 of the 409 OCTA bus stops have been discontinued and will send our data to OCTA for verification. ➢ Our survey found bus shelters&bus benches at bus stops that have been discontinued and our survey recommends removing these amenities: o This includes 17 benches at 16 discontinued bus stops,and; 0 7 bus shelters at discontinued bus stops. Bus Shelter Findings & Recommendations The City currently has 150 shelters per our survey. Of those,7 will be removed because the bus stop no longer exists. Another 21 could be removed due to low boardings. FMG will add and install 2 refurbish shelters at key bus stops. This will provide 124 total bus shelters in the market. A detailed, location-by- location report is part of the FMG Survey& Recommendation of Huntington Beach Bus Stops Amenities. Bus Bench Findings & Recommendation The City currently has 183 advertising bus benches per our survey. Of those, 17 will be removed because the bus stop is discontinued. Another 13 will be removed due to low boardings). FMG will add and install 80 advertising benches throughout the market. This will provide 233 total advertising bus benches in the market. A detailed, location-by-location report is part of the FMG Survey& Recommendation of Huntington Beach Bus Stops Amenities. Trash Receptacles Recommendation FMG will supply a matching trash can to all refurbished bus shelters. All bus benches will be surveyed, and a refurbished trash receptacle or add a new one at any bus stop required. Project Phases The program will be implemented in Phases to manage and prioritize the refurbishment and replacement of assets to maximize the benefit for the public, the City and FMG. Phase I: Beach Blvd Beautification Project Among the elements in our planned Phase I is the Beach Blvd. Beautification Project. Beach Blvd. is a major thoroughfare and cuts through the heart of Huntington Beach. We will prioritize all the street furniture assets along Beach Blvd.for immediate refurbishment and replacement as part of Phase I (please see Project Schedule). This Phase will create a dramatic improvement in the aesthetics of Beach Blvd., one of the most important thoroughfares in the City. Phase I: Huntington Beach Coastal Zone, Downtown &Sunset Beach FMG has surveyed all the bus stops in the Coastal Zone, Sunset Beach &the Downtown area. A tentative recommendation for each bus stop is in the attached survey. Many of the high boarding bus stops in these areas are not ADA compliant for bus shelters. The survey also details which current concrete benches are recommended for removal or replacement with advertising benches. FMG will work with the HB Downtown Business Improvement District to request input. Our overall goal is to support the organization, local residents, and the city in enhancing the Downtown. All Sunset Beach bus shelters will be replaced with newly refurbished bus shelters. These shelters will match the design & color of the refurbished Huntington Beach Street Furniture. We would like to review this overall recommendation with the City and gather local input. Phase I: Bus Shelter Refurbishment Phase I includes repairing and rehabilitating the bus shelters to a safe, useful and marketable condition. It also includes removing shelters that are not needed or beyond repair and recycling useful ka parts to refurbish the remaining shelters. The shelters will be sanded X and painted to a color approved by the City. The refurbishment program will also include cleaning or replacing the glass on the advertising box.The shelter refurbishment program will begin with highly visible and trafficked locations. Phase I: Bus Bench Refurbishment & Replacement Phase I also includes refurbishing benches that can be rehabilitated to a decent and useful state and launching the program to replace all advertising bus benches. The methodology behind the replacement of bus benches in Phase I is whether or not the location is of high value to the public and as an advertising asset and whether the existing bench at that location is beyond repair or requires extensive repairs. We are connected to an extensive network of services in OC that offer Homeless assistance. As this is a critical issue in Huntington Beach, we have included the Homeless Encounter procedure established to help facilitate these situations when a Homeless Person overtakes a bus stop. Also, FMG will provide outreach to non-profits in the community to offer job opportunities and job training.This outreach will include developing relations at the Navigation Center to support and offer apprentice job programs for the homeless. This would provide the City with additional, high-quality, well-maintained bus stop amenities (bus benches) and a proven and trusted partner,to ensure that the City has an experienced local vendor to provide advertising bus benches and maintenance services. FMG operates all advertising bus benches in Orange County other than Huntington Beach. This dominant market position has allowed FMG the ability to raise the Orange County bus benches to a primary advertising medium. Our services will create a well monetized, attractive and sustainable program to manage all the bus benches in Huntington Beach. Advertising Revenue Proposal FMG will incur 100%of the cost to immediately refurbish existing benches and launch the new replacement benches. We will be responsible for all maintenance and repairs as outlined in the RFP, Franchise Agreement and Proposal A. The City of Huntington Beach would enjoy a portion of the advertising revenue, paid in quarterly payments and reconciled annually versus the revenue guarantee: • 15%of the transit bench advertising revenue or$100.00 per bench annually guaranteed, whichever is greater. The FMG program recommended consists of 233 new bus benches owned by FMG, per our survey results and our recommendation. It outlines a systematic and humane escalation of actions designed to relocate the homeless person to a facility or shelter and mitigate the negative impact on the bus stop patrons and surrounding businesses. Maintenance Crews are cautioned to be alert to the potential for danger to dN011 I themselves,other people or property when interacting with the homeless. Many homeless persons suffer from mental illness or other conditions that SAFETYmay make their behavior erratic, unpredictable and potentially dangerous. FIRST Crews must place their safety and that of those others at the scene above any interaction or engagement with a homeless person. The company will provide information cards,incentives and other tools to assist in motivating a homeless person to relocate. The term incentive will be used generically in this document,but should refer to food coupons,money or other incentives as directed by the company. St One If a homeless person is encountered occupying a shelter or bench,Crews are instructed to document the issue in the FMG Maintenance App. *' If possible,a picture of the scene(with detail on - - baggage or trash)should be submitted without including the identifiable features of the homeless ®� �~ person. If possible,Crews should ask for the person's first name and also document in the FMG Maintenance App. Crews will make note of the location to schedule another visit in 24 hours for follow up. Step Two Crews will visit any locations identified in Step One for a follow up visit the following day. If the homeless person is still occupying the shelter or bench,Crews should respectfully instruct thee homeless person that the shelter and/or bench has been scheduled for pressure cleaning the following day and that they need to vacate the premises. Crews should take the following actions to build rapport and incentivize a move: • Ask if there is someone,we can call to come pick them up. • Ask if we can give them a ride to a local shelter or facility. • Offer the person(s)an incentive with the understanding that they need to leave to"earn it." • Share the Homeless Facility flyer with the person(s). • If known,call them by their name. Make eye contact. Treat them with respect. Step Three Crews will visit any locations where there was a Step Two interaction and the person(s)was not seen to vacate the premises. Crews will be prepared with cones and pressure washing equipment. 1. If the person(s)is still there:Crews should inform the person(s)that they are there to pressure was the bus stop. They should emphasize that the maintenance has been scheduled and that it needs to be completed that day. Respectfully ask the person(s)locate and go through actions outlined in Step Two. If they still refuse to leave,continue to Step Four. 2. If the person is not there: Crews should inspect the area for excessive trash and clean or pressure wash as needed. 3. Both scenarios above should be documented in the App,with before and after pictures if the location required pressure washing or extensive cleaning. Step Four FMG will notify the city at this time, if the city was not the party that initiated the complaint. If the homeless person occupies an advertising bench or non-ad bench FMG will recommend to the city one of the following options.Pause for two to three days to see if the homeless person leaves on their own will. We will continue to report if the problem persists,we can temporarily remove the bus bench/non-ad bench and reinstall 24 to 48 hours later.This will be dependent upon ridership. If the homeless person occupies a bus shelter it becomes more difficult.We will continue steps two and three and continue to update the city on the situation.
