Home My WebLink AboutBridget Lunde - 2023-10-17 (2) Lk CITY OF HUNTINGTON BEACH 2000 MAIN STREET CALIFORNIA P.O.BOX 70 (714)960-8811 POLICE DEPARTMENT Eric G.Parra Chief of Police PRE-PURCHASE AND SALES AGREEMENT This Pre-Purchase and Sales Agreement is entered into between the City of Huntington Beach,a municipal corporation,(hereinafter"City") acting by and through the Huntington Beach Police Department(hereinafter"HBPD")and 134IDC67T WO (hereinafter"SELLER") with reference to the following: WHEREAS the City has authorized the HBPD to organize and deploy a horse-mounted police unit in the City as part of the HBPD's uniformed force;and WHEREAS the HBPD desires to purchase certain specified horses for use in said mounted police unit in accordance with the provisions of the Agreement;and WHEREAS the SELLER understands that said horses will be deployed by the HBPD in varying circumstances such as crowd control,street patrols and crime suppression. NOW THEREFORE in consideration of the above premises and of the covenants and representations herein contained,the parties hereto covenant and represent as follows: a. Delivery of Horse to HBPD The SELLER shall transport the horse,at SELLERS' expense,to the location identified by the HBPD.The HBPD will issue SELLER a receipt indicating therein the date the horse was delivered to the designed location,the description of the horse,the SELLER's designated location for the return of the horse in the event it is not accepted and the ' agreed upon sales price.Said receipt shall be incorporated into this Agreement as though fully set forth herein upon its execution by the SELLER and the HBPD and attached hereto as Exhibit A. 1 Pre-Purchase and Sales Agreement b. 30 Day Evaluation Period The SELLER understands that the HBPD must conduct an extensive evaluation of the horse over a period of time to determine its suitability for the use and purposes as described herein.Therefore,the SELLER agrees to transfer possession of the horse to the HBPD for a period not to exceed 30-calendar days.SELLER further understands that at any time during the evaluation,period the HBPD may reject the horse and request the SELLER to remove the horse from the designated location within three days of said notification. Board and Care of Horse During the Evaluation Period The City will be responsible for the board and care of the horse,including any emergency veterinary treatment,during the horse evaluation period. d. Horse Evaluation The HBPD will conduct an evaluation of the horse during the evaluation period. Said evaluation will include an extensive examination by a veterinarian,provided by the HBPD,at the City's expense. Said evaluation and examination shall be conducted in accordance with the requirements set forth in the HBPD's horse specifications which are incorporated herein by this reference and attached hereto as Exhibit A.SELLER understands that the suitability of the horse for the purpose described herein is a subjective matter and therefore the SELLER agrees that the decision as to whether the horse passes the evaluation shall be determined solely by the HBPD. e. City's Liability The City shall not be liable for any loss,injury to,or death to the horse during the evaluation period in excess of the sale price set forth in the receipt attached hereto as Exhibit A. • FINAL SALE a. Transfer of Ownership-Payment Title to the horse and any registration papers shall pass to the City upon the HBPD's written acceptance of the horse,SELLER shall be paid the sales price stated on the SELLER's receipt issued by the HBPD. . Warranty Re:Ownership SELLER hereby warrants that he/she is the owner of the horse and has full power and authority to sell the horse to the City without the consent of any other person. GENERAL PROVISIONS a. Integrated Agreement This Agreement sets forth all of the rights and duties of the parties with respect to the subject matter hereto,and replaces any and all previous agreements or understandings, whether written or oral,relating thereto. b. Amendments All amendments to this Agreement shall be iii writing and signed by the persons authorized to bind the parties hereto.
