HomeMy WebLinkAboutHarbor Party Rentals - 2020-03-23 (2) AMENDMENT NO. 1 TO AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND HARBOR PARTY RENTALS FOR TEMPORARY TENTING SERVICES THIS AMENDMENT is made and entered into by and between the CITY OF HUNTINGTON BEACH, a California municipal corporation, hereinafter referred to as "City," and HARBOR PARTY RENTALS, hereinafter referred to as "Contractor." WHEREAS, City and Consultant are parties to that certain agreement, dated March 23, 2020, entitled"Service Agreement Between the City of Huntington Beach and Harbor Party Rentals for Temporary Tenting Services" which agreement shall hereinafter be referred to as the "Original Agreement"; and City and Contractor wish to amend the Original Agreement to extend the term of the Agreement. NOW, THEREFORE, it is agreed by City and Contractor as follows: 1. TERM The term of the Agreement is extended for three additional years until March 23, 2026. 2. COMPENSATION In consideration of the performance of the services described therein, CONTRACTOR shall invoice rental customers directly at the rates specified in Exhibit "B", which is attached hereto and incorporated by reference into this Agreement. CONTRACTOR shall pay CITY 10% of the tent rental fee per tenting event, payable to CITY on a quarterly basis. Quarterly payments will commence three (3) months after execution of Agreement, and every three (3) months thereafter through 23-13853/324625 1 three (3)months past the end of the Agreement. All final payments must be made within 30 days of the date the Agreement expires. 3. REAFFIRMATION Except as specifically modified herein, all other terms and conditions for the Original Agreement shall remain in full force and effect. WHEREAS, CITY desires to engage the services of a contractor to provide temporary tenting services at the Newland Barn community building grounds for CITY facility rental customers;and CONTRACTOR has been selected to perform these services, pursuant to Huntington • Beach Municipal Code Chapter 3.02. SCOPE OF SERVICES CONTRACTOR shall provide all services as described in Exhibit"A", which is attached hereto and incorporated into this Agreement by this reference. CONTRACTOR hereby designates ELLEN LIEBHERR who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONTRACTOR in the performance of this Agreement. 3. TERM: TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONTRACTOR are to commence as soon as practicable after the execution of this Agreement by CITY (the "Commencement Date"). This Agreement shall automatically terminate three (3) years from the Commencement Date, with the option for extension of one- three (3) year period unless terminated sooner in accordance with the provisions of this Agreement. All tasks specified in Exhibit "A" shall be completed no later than three (3) years from the Commencement Date of this Agreement. The time for performance of the tasks identified in Exhibit"A" are generally to be shown in Exhibit "A". This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONTRACTOR. • In the event the Commencement Date precedes the Effective Date, CONTRACTOR shall be bound by all terms and conditions as provided herein. 4. METHOD OF PAYMENT CONTRACTOR and CITY shall be paid separately and pursuant to the terms of Exhibit «B» 19-8259/218938 2 6. EXTRA WORK At CONTRACTOR's sole expense, a permanent, subterranean anchor system must be installed into the ground to be used in lieu of staking the tents into the ground. City must approve anchor type and methodology prior to booking any tenting related services. 7. DISPOSITION OF PLANS,ESTIMATES AND OTHER DOCUMENTS CONTRACTOR agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONTRACTOR shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first.These materials may be used by CITY as it sees fit. _ 8. HOLD HARMLESS CONTRACTOR hereby agrees to protect,defend, indemnify and hold harmless CITY,its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONTRACTOR's (or CONTRACTOR'S subcontractors, if any) negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONTRACTOR, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CONTRACTOR will conduct all defense at its sole cost and expense and CITY shall approve selection of CONTRACTOR'S counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONTRACTOR. 9. WORKERS COMPENSATION INSURANCE Pursuant to California Labor Code Section 1961, CONTRACTOR acknowledges awareness of Section 3700 et seq. of this code, which requires every employer to be insured against liability for workers' compensation; CONTRACTOR covenants that it will comply with such provisions prior to commencing performance of the work hereunder. 19-8259/218938 3 • CONTRACTOR shall obtain and furnish to CITY workers' compensation and employer's liability insurance in an amount of not less than the State statutory limits. CONTRACTOR shall require all subcontractors to provide such workers' compensation and employer's liability insurance for all of the subcontractors' employees. Contractor shall furnish a to CITY a certificate of waiver of subrogation under the terms of'the workers' compensation and employer's liability insurance and CONTRACTOR shall similarly require all subcontractors to waive subrogation. 10. GENERAL LIABILITY INSURANCE CONTRACTOR shall obtain and furnish to CITY a comprehensive general liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONTRACTOR's general liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and a separate "Additional Insured Endorsement" page listing both the policy number and naming the "City of Huntington Beach, its officers, elected or appointed officials, employees, agents and volunteers" as additional insured on the endorsement. The above-mentioned insurance shall not contain a self-insured retention, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of CITY, 11. AUTOMOTIVE LIABILITY INSURANCE CONTRACTOR shall obtain'and furnish to CITY an automotive liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONTRACTOR's automotive liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and a separate "Additional Insured Endorsement" page listing both the policy number and naming the "City of Huntington Beach, its officers, elected or appointed officials, employees, agents and volunteers" as additional insured on the endorsement. The above-mentioned insurance shall not contain a self-insured retention, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of CITY. 19-8259/218938 4 12. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONTRACTOR shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement;the certificate shall: a. provide the name and policy number of each carrier and policy; and b. state that the policy is currently in force; and c. promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. CONTRACTOR shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONTRACTOR'S defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONTRACTOR shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. 13.INDEPENDENT CONTRACTOR CONTRACTOR is, and shall be,acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONTRACTOR shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONTRACTOR and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 14. CONFLICT OF INTEREST CONTRACTOR covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 19-8259/218938 5 15. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONTRACTOR's services hereunder with or without cause, and whether or not the PROJECT is fully complete. CITY may terminate this Agreement with or without cause by giving CONTRACTOR written notice ("Notice of Termination"), which clearly expresses CITY's intent to terminate the Agreement. Notice of Termination shall become effective no less than thirty (30) calendar days after CONTRACTOR receives such notice. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONTRACTOR. • 16. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the CITY and CONTRACTOR, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the CITY and by an authorized representative of CONTRACTOR. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, the terms and conditions hereof, shall not bind or obligate CONTRACTOR, OR THE CITY. Each party to this Agreement acknowledges that no representation, inducements, promises or agreements, orally or otherwise, have been made by anyparty, or anyone acting on behalf of any party, which are not embodied herein. 17. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONTRACTOR to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subcontractors must satisfy the insurance requirements as set forth in this Agreement. 19-8259/218938 6 18. CITY EMPLOYEES AND OFFICIALS CONTRACTOR shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 17, ' NOTICES Any notices, certficates, or other communications hereunder shall be given either by personal delivery to CONTRACTOR'S agent (as designated in Section 1 hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses below. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 22. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of.this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law,ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 23. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 19-8259/218938 8 24. IMMIGRATION CONTRACTOR•shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 25. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONTRACTOR and CITY 'agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONTRACTOR understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONTRACTOR. 26. CONFIDENTIALITY CONTRACTOR recognizes that in the performance of its duties under this Agreement, it must conduct its activities in a manner designed to protect information of a sensitive nature from improper use or disclosure. CONTRACTOR warrants that it will use reasonable efforts consistent with practices customary in the facilities management industry in recruiting, training and supervising employees and in otherwise performing its duties hereunder in order to achieve this result. In the furtherance of this, CONTRACTOR agrees, at the request of the CITY, to require its employees to execute written undertakings to comply with the foregoing confidentiality provision. 27. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the nonprevailing party. 28. SURVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement, shall so survive. 19-8259/218938 9 29. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 30. SIGNATORIES Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority or power is not, in fact,held by the signatory or is withdrawn. Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The types of events may include, but are not limited to: weddings, receptions, .fundraisers, conferences, holiday parties, birthday parties, celebrations of life and other social gatherings. Customers renting this facility often utilize the exterior lawn for ceremonies, receptions, and various other events for seating areas. The lawn area has no protected covering and rental customers sometimes face challenges with unfavorable weather such as extreme heat and rain. The approximate dimensions of the usable lawn area are 62' x 67'. These dimensions are approximate. Proposer should verify usable space dimensions during site visit. Rental events may accommodate between 20-200 persons and typically occur 2-3 times per weekend, annually. Rental events may range in duration from six (6) to fifteen (15) hours, with occasional deviations. Selected Contractor will be listed as sole required vendor for providing tenting services, and will conduct all business with rental customer directly. Customers are not required to rent a tent,but they are encouraged. The City estimates approximately 90-120 rentals are booked annually that may qualify for tenting needs. No guarantees are expressed or implied to the number of events and/or estimated revenue to the selected Contractor. Contractor will notify City personnel when a customer has booked tenting services at the Newland Barn. Contractor shall pay City a 10% administrative fee on a quarterly basis. The tenting Contractor shall be required to provide all tent structures and cannot selectively decline a request for service from a City rental customer. City will not pay for contractor .services:unless otherwise arranged and services booked by City for City- sponsored events. If Contractor neglects, fails,or refuses to provide the services,does not meet the intended schedule, and/or provides inferior quality or quantity as outlined in the Agreement for Tenting Services within the time specified, then the contractor does hereby agree, as part of the consideration for the awarding of this Contract, to pay the City for any loss in revenue due to the Contractor's failure to meet the customer's needs. Contractor, upon submittal of a proposal, agrees that they are capable and will provide tenting services for preapproved size tent needs required for the duration of the contract and will comply with the terms and conditions of the contract and any subsequent Agreement,a sample copy of which is attached. City requires the Contractor to supply prices for products and service as outlined on the attached Price Proposal Form for the anticipated contract period. Failure to fully 19-8259/218938 12 complete the attached Price Proposal Form may result in the rejection of the proposal. Contractor may attach any additional information that may be beneficial to their proposal. Clearly indicate on the Price Proposal Form any changes or modification to pricing for . products or services as a result of any and/or all contributions or special conditions. 4.2 Scope of Services 4.2.1 As sole provider of tenting services, Contractor shall provide tenting for three (3) preapproved layout(s) to include tent sizes to house up to 50 persons; 125 persons; 200 persons. Contractor shall carry adequate supplies to guarantee service of the Newland Barn rentals in addition to Contractor's other customer needs. Rental customer will select which preapproved layout best fits their event needs. NOTE: Once a Contractor is selected, City will work with the Contractor to determine tenting sizes, styles, and rigging to be installed according to City Fire codes and regulations. 4.2.2 Contractor will provide a fee schedule for tenting services that will include seating for 50, 125, and 200 persons. 4.2.3 Staking into the ground is strictly prohibited. Contractor must be responsible for installing a permanent, subterranean anchor system into the ground to be used in lieu of staking the tents into the ground. City must approve anchor type and methodology prior to installation. 4.2.4 Contractor must be available for all requested events. Setup/breakdown. hours may range 8;00 am Thursday through 12:00 noon Monday. No facility reservations accepted for legal holidays observed by the City of Huntington Beach. 4.2.4 Contractor shall provide all labor, materials, equipment, and supervision required for the delivery, setup, breakdown, and removal of tenting equipment agreed upon by customer and Contractor, and permitted by City regulations. 4.2.5 Contractor must comply with all City rules and regulations, including but not limited to, Community Services site-specific and Fire Department regulations (see Attachment B). Tents, canopies and temporary membrane • structures shall be in accordance with California Code of Regulations Title 19. These provisions are regulated by the Huntington Beach Fire Code. Tents, canopies and/or temporary membrane structures shall not be utilized for rentals without Huntington Beach Fire Department approval. 4.2.6 Contractor acknowledges that City facilities are for public use and • recognizes the obligation to ensure that Contractor representatives maintain the highest level of professional standards in attire, decorum, and interaction with the public, City personnel, and any other persons contacted in the course of providing services. Contractor shall be 19-8259/218938 13 responsible for the conduct of all its employees while performing under the contract. 4.2.7 Contractor shall make available to the City a 24-hour point of contact that may be reached to resolve conflicts such as scheduling issues, no-shows, or technical issues. 4.2.8 Contractor reserves the right of refusal due to unsafe wind conditions. During the day of installation or removal, if wind gusts are projected for • over 30 miles per hour tents cannot be installed nor removed. If winds are projected to exceed the manufacturer's maximum wind rate of 50 miles per hour during the time the tent is installed, the tent must be removed by Harbor Party Rentals to insure safety. 4.3 General Conditions: Services shall include, but is not limited to, the following considerations and concessions: 4.3.1 Contractor shall clearly indicate Contractor's ability to meet any and all scenarios listed in this RFP for tenting services. 4.3.2 Equipment, material, and supplies shall be maintained in appearance and good working order. 4.3.3 Contractor needs to be willing to provide Tenting Services for all requested events. Proposal must clearly indicate the films' ability to provide Tenting Services and appropriate personnel for installation/de- installation. 4.3.4 City policies prohibit any exchange of money at our facilities; therefore, gratuity needs to be included in the pricing. Proposal shall clearly indicate pricing,including any gratuity needs, if appropriate. 4.3.5 Contractor must provide pricing on all the items on the attached Pricing Form. Prices submitted must remain valid throughout the term of the contract. Prices must include installation and breakdown, and all taxes as outlined in the attached contract and the Contractors Agreement for Tenting Services. 4.3,6 Contractor must provide a certificate of liability insurance, which meets the City Attorney's requirements. 4.3.7 Contractor and/or their employees may wear their company uniform during the installation/de-installation of the tenting services; however, no solicitation of business allowed, including handing out promotional materials, hanging of signage or installation of yard signage. 19-8259/218938 14 4.3.8 City accepts no liability. The agreement is between the tent provider and the facility rental customer. 4.3.9 Prior to provision of services, Contractor must provide evidence of a valid, City-issued,business license. 4.3.10 No flooring may be added to the tent installation, set up or rental, including but not limited to hard flooring, dance flooring, or carpeting. Runners made of lightweight materials may be used by the renter at their sole cost. 4.3.11 City will not provide staging areas or storage space for the use of the tent equipment or the Contractor's personnel and for the on-site storage of the tenting equipment and supplies. 4.3.12 Due to the high probability of some back-to-back events utilizing the same size tent, Contractor shall include setup and breakdown charges into the base price so that one customer is not bearing the cost and another receiving the benefit of the tenting service. All customers shall be charged equally, with one not paying more or less than the other. Keeping this scenario in mind, Contractor shall take into account the cost and time savings that may occur when creating the proposed pricing plan. 4.3.13 Tenting must be removed within four(4)hours of a contracted rental event or by noon of the following day dependent upon the rental schedule provided by the Community Services Department. If the same tenting layout will be utilized for two or more subsequent events within a weekend,tenting may remain on the property between events. 4.3.14 Contractor must perform installation and de-installation in a manner that does not damage turf. 4.3.15 City will not be liable for any costs incurred by Proposer in the preparation or presentation of their proposal. 4.4 Duration of Contract The initial contract period shall start on the date the agreement is approved by City Council for a period of three (3) year with the option of one (1) additional three (3) year renewal. All prices,terms, and conditions shall remain firm for the initial period of the Contract and for any renewal period(s). We are in the business of supplying party rentals for events to include temporary tenting.We have delivered product to the Newland Barn facility for the past 12 years and fully understand and comply with the rules and regulations as posted on the City website. Contractor has the inventory to supply all tent sizes that will fit all scenarios listed in the RFQ including canopy tops,sidewalls and safety packages. Installation Staffing: Our tent installation staff has extensive training following the manufacturer's product installation and procedural guidelines. Once a month a training and safety meeting is held where videos and U-tube training is given. Our crew is assigned personal protective equipment including hard hats and appropriate footwear and attire.A good quality,well-stocked first aid kit is in each HPR delivery truck. Each job is assigned a supervisor who gives instructions to the rest of the crew. Securing Tent: . At its expense Contractor l-IPR will have a professional contractor install,City approved permanent, subterranean anchors into the ground. Our research recommends American Earth Anchors 36"Penetrator stakes with caps that will be low enough into the ground as not to impede mowing the grass.Caps will be removed to attach tent lines upon set up then replaced upon tear down. Please see Attachment A. Point of Contact: Our office staff includes two Newland Barn event planners familiar with the specifics of the facility and can guide customers through their event needs. Contact is made through email,telephone or a visit to our showroom. Other sales staff members are available to answer questions and make sure that all inquiries related to the Newland Barn are forwarded to the NB event planners. While price is certainly important, what is most valuable to us is their ability to work events at odd hours and on the weekends. Often times we are required to tear down an event and vacate the park or premises late in the evening. Harbor has always been able to meet those requirements. This is something that other vendors were not able to do with consistency. Harbor is also very flexible and does • their best to accommodate last minute changes. Our biggest event of the year is our annual Community Fish Fry. This event draws more than 7,000 people over a weekend in the summer. One year there was a sprinkler problem that made the ground mushy and difficult to erect the large tents and stages we ordered. The company went above and • beyond by going back to their facility a couple of times to get materials to help erect the tents without hurting the grass and landscape, It was a heroic effort. The bottom line is that we can count on Harbor Party Rentals so we use them for all of our events. Besides the three big events, we have several other smaller events annually where they perform flawlessly.
