INDEMNITY A. ,. 1§4-,8NT `Agreement")is dated for reference purposes only as of November 21,2024(the "Agreement Date.'�, and is being entered into by and between Donald Gafitzen and Aariya Galitzen,Trustees of the Galitzen Family Trust, established March 5, 1982.("Owner"), and the • • City of Huntington Beach, California; a municipal corporation ("City"). Owner and City are sometimes referred to individually as a"Party"and collectively as the'Parties.' RECITALS A. Owner is"the owner in fee of the:real property located at 315'13th Street in the City of Huntington Beach, California,. (Assessor's'Parcel No. 024-.117 12),.and legally described in Exhibit A.attached heteto.and made a part hereof(the"Property" . • B. Owner plans sell or develop the property in the foreseeable'future.. C. There is one abandoned oil well(APT 0406+04757)on the Property(the`Well') D. Owner has attempted to abandon the Well to the-curent standards of the California Department of conservation Geologic Energy Management Division"("CalGEk"),but has been notified that it has currently faded to do so. Consequently, the current and/or future property owners Will be solely responsible to mitigate potential hazardous conditions in perpetuity that ' result from the abandoned.oil well. . E;: Section 15327090 of the Huntington Beath: Oil Code provides that where the. Ca1GEM determines that one or more abandoned oil wells cannot.be abandoned to its current standards,the Fire Code Official may still authorize issuance of the buildingand/or gradingpennit for the development of the Property if the Official makes the Findings set forth at Section. 15.32.090(A).and City SpecificationNo.422, F. ' Priorto theAgreeinentDate,Ownersubaiitted to City various techniccal;.reports and recommendations relating to mitigation of potential public health and safety concerns relating to the abandoned oil wells,including without limitation the following(collectively,the "Technical Reports"): • 1. Carlin Environmental Consulting,Inc, has submitted a:report dated May 21, 2024, a copy of which is attached as Exhibit B to this Agreement: The-Report has determined that I 24-18091/354096 • I a. Future development at the site will be required to meet the specifications described in Huntington Beach City Spec. No. 429 and City Spec. No.431-92. b. Due to the presence of the former oil well, a methane investigation would be required to determine if the methane levels at the site complied with local, state, and federal requirements. c. Regardless of what any future methane investigation would reveal, Carlin Environmental Consulting determined that methane mitigation measures would be required for any development at the Site, The report provides suggested mitigation measures. 2. Miocene Inc. Engineering and Operating Services, submitted a report dated December 22,2022,a copy of which is attached as Exhibit C to this Agreement.The Report has determined that: a. To ensure that present and future property owners are aware of(a) the existence of all wells located on the property, and (b) potentially significant issues associated with any improvements near oil or gas wells, the report and any future information obtained should be submitted to the county recorder. b. Any hydrocarbons discovered in the soil must be disposed of in accordance with all applicable laws and local authorities must be notified should significant amounts of hydrocarbons be discovered during development, G. City's Fire Department has the responsibility and authority on behalf of City to i ! administer and enforce City regulations and requirements with respect to the Project's compliance with applicable federal, state, regional, and local laws, statutes, ordinances, regulations, and official policies relating to the abandoned oil wells on the Property, and, the standards for and requirements solely based on land use decisions relating thereto,and mitigation of potential public health and safety concerns relating to the previously abandoned oil wells,including,as applicable, measures such as, but not limited to, the installation of methane barriers, testing, monitoring, installation and maintenance of vents/blowers, alarms, and the like (collectively, "Oil Well Abandonment Regulations"): Prior to the Agreement Date, City's Fire Department reviewed Owner's Technical Reports and issued its July 30, 2024 Memorandum entitled Proposed Residential Development at 315 13th Street, Huntington Beach, California, attached as Exhibit D for the Property and Project ("HBFD Memorandum"). With respect to the abandoned oil wells located on the Property,the HBFD Memorandum noted that should any future development project move forward, guidelines and requirements for mitigation measures will be further discussed in detail by the Parties. COVENANTS Based upon the foregoing Recitals, which are incorporated into this Agreement by reference, and for good and valuable consideration, the receipt and sufficiency of which is j J acknowledged by both parties,Owner and City agree as follows: 2 24-14453/338550 ; I • • 1. Release. Owner agrees for itself and its successors and assigns, and every successor to Owner's interest in the Property(collectively,"Owner") to fully release and discharge City and all City officials, employees, and agents (collectively, "City Parties") from any and all claims, obligations, and causes of action, of any kind or nature whatsoever, known or unknown, for personal injury or death,property damage,economic loss,and fines and penalties(collectively, "Claims")relating directly or indirectly to the Project and the abandoned oil well on the Property, including without limitation any costs and expenses incurred by Owner to perform the Mitigation Measures, and to comply with all State and City laws,ordinances,codes and regulations, and any Claims arising out of Owner's actual or alleged failure to comply with any applicable Federal, State and City laws, ordinances, codes, regulations and CaIGEM orders, and the Mitigation Measures(collectively,the"Oil Well Abandonment Regulations"). In furtherance of the release described above, Owner expressly waives the benefit of Section 1542 of the California Civil Code,which section provides: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." 2. Indemnity. Owner shall indemnify, defend, and hold harmless the City Parties from and against any third party Claims which may be brought against any of the City Parties in any administrative or judicial proceeding relating directly or indirectly to the Project, and any previously abandoned oil wells on the Property, including without limitation any such Claims arising out of the actual or alleged failure to perform any of the Mitigation Measures or the actual or alleged failure to comply with any applicable Oil Well Abandonment Regulations. This Indemnity is comprehensive. Not by way of limitation of the foregoing,this Indemnity is intended to cover and include Claims made against the City Parties by any property owners,occupants,and invitees of properties located within 500 feet of the exterior boundaries of the Property against any of the City Parties arising directly or indirectly to the previously abandoned oil wells on the • Property,including any such Claims for alleged property losses and/or personal injuries involving exposure to minerals, gases, toxins, leaks, unstable ground, or any other condition in any way created by the previously abandoned oil wells on and under the Property. 3. Indemnity Procedure. (a) If a Claim is threatened or filed against City that is within the scope of Owner's indemnity obligation set forth in Section 2 of this Agreement, City shall promptly notify Owner in writing, tender defense of the Claim against the City Parties to Owner, and provide a copy of all records pertaining to the Claim to Owner,and thereafter the City Parties shall cooperate with Owner in the defense of said Claim, including without limitation promptly providing Owner access to City witnesses and copies of City records relevant to the defense of the Claim upon Owner's written request. If City fails to perform said obligations, Owner shall have no obligation to indemnify City for City costs and expenses incurred during the time that City is in default of its obligations hereunder. Upon City notifying Owner of the Claim, as provided in the preceding sentence, Owner shall assume on behalf of the City Parties and conduct with due diligence and in good faith the investigation and defense of the Claim with counsel reasonably satisfactory to City; ! f provided,however,that City additionally shall have the right to have the City Parties represented by advisory counsel of City's own selection at City's own expense. 3 24-14453/338550 ! I • • (b) If any Claim arises that is within the scope of Owner's indemnity obligation set forth in Section 2 of this Agreement and Owner fails to promptly assume or thereafter provide the defense of the City Parties,the City shall have the right to take reasonable steps to mitigate its damages, including retention of counsel of City's choosing and settlement or contesting of the Claim, and thereafter Owner shall be responsible to pay or reimburse City's costs incurred, including without limitation attorney's fees and collection costs City incurred in seeking payment/reimbursement from Owner;provided,however,that City shall not have the right to settle a Claim that requires Owner to perform any obligation other than the payment of money without Owner's prior written consent, which consent Owner may withhold in its sole and absolute discretion. (c) Owner shall have the right to settle or resolve any third party Claims within the scope of its indemnity obligation set forth in Section 2 of this Agreement;provided,however, that Owner shall not have the right to modify or amend any of the Owner's obligation under this Agreement in a manner that would require City approval in the first instance. 4. No City Representation or Warranty Re Satisfaction of Oil Well Abandonment Regulations. Nothing in this Agreement is intended or shall be deemed to constitute a representation or warranty by City to Owner that the Owner satisfactorily performed the Mitigation Measures or complied with the Oil Well Abandonment Regulations. 5. Successors and Assigns. This Agreement shall be binding upon Owner and its successors and assignees and shall inure to the benefit of and shall be enforceable by each of the City Parties and their respective successors and assignees. In this regard, the City Parties other than City and their respective successors and assignees are intended third party beneficiaries of Owner's release and indemnity obligations set forth herein, but there are no other intended third party beneficiaries hereunder. 6. Notices. Any notice, demand, or request required under this Agreement shall be given in writing at the address set forth below by personal service;facsimile;overnight courier;or registered or certified,first class mail,return receipt requested. Carlin has been retained by the property owner(s) Don and Hanya Galitzen as the Mitigation Engineer of Record for the subject site, This document has been prepared in anticipation of future development activities at the Site and for • submittal to the Huntington Beach Are Department(HBFD)for preemptive approval. This document has been prepared from the review of reports and information prepared and provided by other entities and the information reviewed and utilized in the development of these design specifications is assumed to be accurate, Future development at the site will be required to meet the specifications described Huntington Beach City Spec,No,429 and City Spec.No.431-92,These requirements fall under the prevue of the HBFD,and this and future documents and drawings will be submitted to the HBFD for approval. SITE BACiKGROUND The Site of approximately 5,850 square is planned for a future residential redevelopment project.The Site is currently undeveloped and based on Carlin's review of aerial imagery the site was formerly . t 9 developed as a residence until 2021. Is There is one (1) previously abandoned oil well located at the Site. Miocene, Inc. (Miocene) was retained as the Petroleum Engineer of Record to address oil well re-abandonment issues for the former oil/gas well at the Site. Reports have been provided to the California Department of Conservation Geologic Energy Management Division (CaiGEM) and HBFD documenting the 1 abandonment of the well Wright No. 1 (API No. 05904757), which according to the reports was originally abandoned in 1955. White, PE, a California licensed Professional Petroleum Engineer P1747. HBFD comments on the Miocene submittal were provided in a letter dated January 20,2023.The letter includes conditions of approval for future development at the site including, but not limited to,advising against building structures over abandoned oil wells and that the property owner shall fully execute and record an Environmental Release and Indemnity Agreement.This letter also requires the project proponent submit additional details/plans of the mitigation measures proposed including but not • limited to engineering drawings of the proposed mitigation measures to the City of Huntington Beach for review and approval. i I Carlin Environmental Consulting (Carlin) has prepared this overview of design specifications for a Methane Mitigation Measures System (MMS),that will be required for the subject site in order to address the requirement for mitigation measures described.above. Carlin discussed with HBFD the preparation of this document in-lieu of and as a preemptive proposal of mitigation measures that would be used as a design specification template to create a set of MMS engineering drawings In the . • future once the final development site plan and architectural drawings have been developed. This proposed design specification document provides general guidelines and requirements relating to the proposed development of the Site. If the project moves forward, it is anticipated that the guidelines and requirements described herein will be developed In greater detail by.appropriately qualified professionals. METHANE MITIGATION REQUIREMENTS • Due to the presence of the former oil well,the Huntington Beach Fire Department(HBFD)will require the performance of a methane investigation. Methane readings will then be compared to the allowable threshold for methane mitigation requirements according to HBFD City Specification 429 (City Spec 429). • j I Regardless of what future testing may reveal,because of the presence of the well on the site,methane mitigation measures will be required for any development at the Site. Assessment > Remediation > Mitigation Design PROPOSED MITIGATION MEASURES It is Carlin's professional opinion, and experience, that the proposed mitigation measures described herein will provide more than adequate protection to the health and safety of future structure inhabitants and satisfy the requirements of the City Spec 429. These mitigation measures specifications should be used to create design plans that shall be submitted to the HBFD for review/approval and will have been reviewed/stamped by a Registered Professional in the State of California. The following Is a description of the scope of work for the proposed methane mitigation measures: SCOPE OF WORK The Methane Mitigation System (MMS) that will be incorporated Into the construction of future building(s)has been designed in conformance with and to satisfy the requirements of the Huntington Beach City Specification 429, more specifically Section 3.0- Mandatory Procedures for Mitigation, and will consist of the following components: Oil/Gas Well Vent Cone: There is one (1) former oil well located on the subject site. It is Carlin's understanding that Oil well Wright No. 1 (API No. 05904757) will be located outside the foundation of the proposed future i E building(s).As directed in City Spec 429 Section 1.9,the former oil well be vented in accordance with City Spec 429 Section 3.1 and the abandoned oil well will be equipped with a vent cone and riser,the • details of the oil/gas well vent cone and riser will be provided in forthcoming prepared mitigation { measures drawings.The oil well vent cone will be Independent of(not connected to)the MMS for the building(s). Passive Mitigation System: ! { In accordance with City Spec 429 Section 1.4 which requires a passive mitigation system for any building within a distance less than or equal to 100 feet of any active or abandoned oil/gas well, it is Carlin's opinion that a passive mitigation system design which includes a vapor barrier(chemically I i compatible for both VOCs and methane), and a passive venting layer should be included in the proposed building(s). Assessment > Remediation > Mitigation Design METHANE GAS CONCENTRATION <5,000 ppmv >5,000 ppmv < 12,500 ppmv >12,500 ppmv No Barrier Passive Active with sensors Required' (sensors and alarms may be required) and alarms'" ppmv—parts per million by volume *A passive methane mitigation system will be required for any building or enclosed structure proposed within a distance less than or equal to 100 feet of any active or abandoned oil/gas well,or within a distance of less than or equal to 300 feet from any gas seepage zone **Exception:An active methane mitigation system will not be required for one-and two- family homes less than 5,000 total square feet It is Carlin's standard care and practice,and our recommendation,that proposed design of the passive MMS for the Site includes the option to be converted to an active, or sub-slab depressurization condition, if future monitoring or testing warrants such a conversion.The passive mitigation system described below has been designed in accordance with and in order to satisfy the requirements of the City Spec 429 Section 3.2. Soil Vapor and Methane Membrane Barrer — The proposed barrier system is an extremely low permeability layer constructed between the venting system and the building floor slab(s).The barrier system,which is chemically compatible for both soil vapor and methane is multiple layers thick and is • sealed around each penetration.The methane barrier will be incorporated across the entire footprint of the proposed building(s).The proposed system will be designed to meet the criteria included in City Spec 429 Section 3.2.1. I 1 Note: City Spec 429 Section 3,2,1.4 provides specifications that the membrane barrier shall be protected above and below the membrane by a 2-Inch thick sand layer or other manufacturer- approved protection course. The MMS recommended by Carlin should include a 2-inch thick sand layer above the membrane and 4 inches of permeable gravel layer of limited fine grain below the membrane.This design specification of 4 inches of gravel below the membrane is standard care and practice in the industry and also in accordance with manufacturer's recommendations for the membrane and the venting system described further below. • Sub-Slab Methane Collection and Venting System—an extensive system of low-profile(12"wide and 1"height)perforated and solid vapor collection piping will be embedded in a 4-Inch gravel layer.The purpose of this system is to provide a preferential pathway for any potential soil vapor and/or methane to travel from the subsurface through the solid vent riser piping to be released above the 2522 Chambers Road N 100 Tustin,CA 92780 31513th Street,Huntington Beach,CA Phone: 714-508-1111 4 • •0 Carlin Environmental Consulting, Inc. • Assessment > Remediation > Mitigation Design roof of the structures to the atmosphere.The collection and venting system design should include a } I minimum of four(4)vent risers for each building that vent the sub-surface. The installation of vent piping for the proposed MMS will be a minimum of 2-Inch galvanized steel(Carlin recommends 3-inch piping)and will be installed in accordance with the California Building Code, Mechanical Code, and Plumbing Code,and will be designed to meet the criteria included in City Spec 429 Section 3.2.1 and 3.2.2. It is Carlin's recommendation that the MMS for any proposed building(s) be designed independently,and the vapor collection piping should not be connected between two structures. Per City Spec 429 Section 3.2.2.6,vent riser pipe terminations shall be located at least 3 feet from a parapet wall and shall terminate at a distance of at least 10 feet from any building opening or air intake and at least 3 feet from any property line.The proposed locations of vent risers will be reviewed by the architect. This architect will confirm that the required parameters have been met. Further placement/location requirements from City Spec 429 will be included in the details of the design : drawings.These requirements will be verified in the field during construction. Buyer, Owner and City sometimes are referred to individually as a "Party" and collectively as the "Parties" to this Novation Agreement. Recitals A. B, Owner now has contracted to sell the Property to Buyer, and such sale will occur before the redevelopment of the Property contemplated by the Environmental Agreement—and, as such, the Parties acknowledge and agree that it is reasonable and appropriate that(as set forth below)the rights and obligations of Owner under the Environmental Agreement should and shall be transferred to Buyer upon Buyer's acquisition of the Property. Covenants Based upon the foregoing Recitals, and the Recitals set forth in the Environmental Agreement, all of which hereby are incorporated into this Novation Agreement by reference, and for good and valuable consideration,the receipt and sufficiency of which is acknowledged by all Parties,the Parties agree as follows: 1. Owner's Release of City Parties. Owner's obligation to indemnify,defend, and hold harmless the City Parties (the"Indemnity Obligations") from and against any third-party Claims which may be brought against any of the City Parties(as set forth in detail(and with terms as defined) in Section 2 of the Environmental Agreement) shall be and hereby are transferred to Buyer upon Buyers's acquisition of the Property. Buyer hereby expressly accepts and confirms its responsibility to satisfy the Indemnity Obligations to the City Parties. 3. Indemnity Procedure. Other than as necessary to effectuate the transfer of the Indemnity Obligations to Buyer as set forth above in Section 2,the Indemnity Procedure set forth in Section 3 of the Environmental Agreement shall remain unaffected by this Novation Agreement. 4. Release of Owner by City and City Parties. Upon Buyer's acquisition of the Property,the City and City Parties hereby expressly release Owner from the Indemnity Obligations and all other obligations and/or provisions of the Environmental Agreement except , for Owner's Release of City Parties as set forth in Section 1 above. 5. Successors and Assigns. Waiver of Section 1542 of the California Civil Code.
