The Agreement would clearly define facility use, fees, and rental obligations while generating consistent rental revenue to the City's General Fund, supporting operational cost recovery, long term fiscal sustainability, and the continuation of a productive partnership with a local nonprofit serving Huntington Beach residents. Financial Impact: The Agreement with Saddleback Church will generate anticipated, ongoing annual revenues of $157,500 for the City over a three-year term, with the option of two (2) additional one-year renewals. Recommended Action: Approve and authorize the Mayor and City Clerk to execute the "License Agreement Between the City of Huntington Beach and Saddleback Church for Use of Space at the Huntington Beach Senior Center in Central Park." Alternative Action(s): Do not approve the recommended action and direct staff accordingly. Analysis: Saddleback Church has utilized City facilities since 2024 to conduct weekly rentals. Saddleback Church now seeks to formalize this ongoing arrangement through a License Agreement, ensuring continued access to the facility in a structured and consistent manner. The City of Huntington Beach likewise seeks to formalize the Agreement to establish clear terms, strengthen the existing partnership, and secure stable rental revenue for a three-year term with two (2) optional one-year extensions. The proposed Agreement provides a dependable source of General Fund revenue, which will help offset operational costs and support long term fiscal sustainability, while continuing a collaborative relationship with a local nonprofit organization serving Huntington Beach residents. General obligations of Saddleback Church include: • Providing an offsite storage facility, loading all equipment in and out of the facility for each rental. • Notify the City thirty (30) days in advance of any rental cancellation. • Follow all City rental procedures and policies. • Provide monthly payment fourteen (14) days after receipt of invoice for Saddleback Church's facility use from the previous month. General obligations of the City include: • Providing rental space and city staff to facilitate room setups and opening and closing of the Senior Center. • Provide Saddleback Church with at least thirty (30) days' notice if a reservation requires cancellation. • Provide toiletries for restroom use, cleaning supplies, tables, chairs and A/V equipment. • Invoicing Saddleback Church monthly for the previous month's facility use. The FY 2025/26 City Council approved fee schedule can be found in Exhibit B of the Agreement. Providing a nominal discount rate ensures stable weekly use of the Senior Center while generating consistent annual revenue and strengthening a long-term partnership with a nonprofit that serves Huntington Beach residents. • Rentals occurring Friday - Sunday, a discounted rental rate will be applied to the current City Council approved hourly rates. • Rentals occurring Monday - Thursday, will be assessed the current City Council approved rates, and no discounts will be applied. • Year 1: 10% discount. • Years 2 & 3: 7% discount. o At year 3, upon mutual agreement, the City and Saddleback Church will discuss and evaluate rate adjustments if a disparity exists between the market rate and Saddleback Church's discounted rate. Approval of this Agreement will allow the City to preserve an effective partnership, support consistent facility use, and ensure reliable ongoing annual proposed revenues of$157,500 supporting the General Gund. ECITY OF HUNTINGTON BEACH 86 LICENSE AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND SADDLEBACK CHURCH FOR USE OF SPACE AT THE HUNTINGTON BEACH SENIOR CENTER IN CENTRAL PARK THIS LICENSE AGREEMENT("License") is made and entered into by and between the CITY OF HUNTINGTON BEACH, a municipal corporation of the State of California("City") and SADDLEBACK CHURCH, a nonprofit corporation ("Saddleback"), collectively (the "Parties"). WHEREAS, Saddleback seeks to occasionally use meeting space within the Huntington Beach Senior Center; and City desires to allow such use on the terms and conditions contained within this License, NOW, THEREFORE, the parties hereto do hereby agree as follows: 1. TERM. The Term of this License shall e three years commencing at 12:01 a.m. on Wig/20, 2026, and ending at 11:59 p.m. on $ /$ , 2029, unless extended or sooner terminated as provided for herein. Either party may terminate this Agreement at any time for any reason, upon thirty (30) days prior written notice. This License may be extended upon mutual agreement of the parties for two (2) additional one (1) year periods. 2. GENERAL DUTIES AND RESPONSIBILITIES OF SADDLEBACK. a. Saddleback shall provide a liaison for City to conduct daily business with and coordinate rental activities and efforts. b. Saddleback will provide its own off site storage facility. Storage at the Senior Center will not be utilized, all equipment will be loaded in and out every usage. If storage is requested it must be mutually agreed upon by both City and Saddleback in writing. c. Saddleback, from time to time, may require cancellation of meeting space on a regularly scheduled day. Saddleback will notify City 30 days in advance for all schedule changes. d. Saddleback will follow all rental procedures and policies set forth in City's Policies Governing Use of Facility, a copy of which is attached hereto as Exhibit"A" and incorporated by this reference as though fully set forth herein. e. Saddleback will provide monthly payment 14 days after receipt of City's invoice for Saddleback's utilization of the space in the previous month. f. Saddleback will provide any necessary equipment beyond City's current available inventory at the Senior Center. 1 26-18048/417277 3. GENERAL DUTIES AND RESPONSIBLITIES OF CITY. a. City will provide rental space for the period of this contract as noted in the Schedule of Fees, Payment and Days of Use, a copy of which is attached hereto as Exhibit"B" and incorporated by this reference as though fully set forth herein. b. City will provide staff to open and close the facility, and set up services according to the request of Saddleback site map to ensure a successful rental. c. City will identify a liaison at the Senior Center to conduct daily business with and coordinate rental activities and efforts. d. City from time to time may require cancellation of a meeting space rental on regularly scheduled days. City will notify Saddleback 30 days in advance for all schedule changes. City may also cancel reservations in an emergency or active disaster activation. City may, but is not required to, investigate the availability of alternative facility space before final cancellation of a rental. e. Rentals will not be provided on City observed holidays, unless upon mutually agreed upon in advance and subject to the availability of City staff f Storage at the Senior Center will not be provided.All equipment will be loaded in and out every usage. If storage is requested, it must be mutually agreed upon by both City and Saddleback in writing. g. City will provide a clean and safe facility. Upon completion of rental, Saddleback is to work with City to restore the facility to original condition when received. h. City will provide standard toiletries for restroom use, cleaning supplies, tables and chairs, and A/V equipment as available. i. City will invoice Saddleback monthly for the previous month's facility use. 4. NOTICES. INDEMNIFICATION, DEFENSE AND HOLD HARMLESS. Saddleback hereby agrees to protect, defend, indemnify and hold harmless City, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses,judgments, demands and defense costs (including, without limitation, costs and fees of litigation (including arbitration) of every nature or liability of any kind or nature) arising out of or in connection with this License including but not limited to: (1)the use or occupancy of the Premises by Saddleback, its officers, employees or agents, or (2) the death or injury of any person or the damage to property caused by a condition of the Gallery, or (3) the death or injury of any person or the damage to property caused by any act or omission of Saddleback, its officers, employees or agents, or (4) any failure by Saddleback to keep the Gallery in a safe condition, or (5) Saddleback's (or Saddleback's agents and/or sub agents, if any) performance of this License or its failure to comply with any of its obligations contained in this License by Saddleback, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of City. Saddleback shall hold all meetings on the site at the sole risk of Saddleback and save City harmless from any loss or damage thereto by any cause whatsoever, except such loss or damage which was caused by the sole negligence or willful misconduct of City. Saddleback will conduct all defenses at its sole cost and expense and City shall approve selection of Saddleback's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by Saddleback. 6. WORKERS' COMPENSATION AND EMPLOYERS' LIABILITY INSURANCE. Saddleback acknowledges awareness of Section 3700 et seq. of the California Labor Code, which requires every employer to be insured against liability for workers' compensation. Saddleback covenants that it shall comply with such provisions prior to the commencement of this License. Saddleback shall obtain and furnish to City workers' compensation and employers' liability insurance in amounts not less than the State statutory limits. Saddleback shall require all sub agents and contractors to provide such workers' compensation and employers' liability insurance for all of the sub agents' and contractors' employees. Saddleback shall furnish to City a certificate of waiver of subrogation under the terms of the workers' compensation and employers' liability insurance and Saddleback shall similarly require all sub agents and contractors to waive subrogation. 7. GENERAL PUBLIC LIABILITY INSURANCE. In addition to the workers' compensation and employers' liability insurance and Saddleback's covenant to defend, hold harmless and indemnify City, Saddleback shall obtain and furnish to City, a policy of general public liability insurance, including motor vehicle coverage against any and all claims arising out of or in connection with this License. This policy shall 3 26-18048/417277 indemnify Saddleback, its officers, employees and agents, while acting within the scope of their duties, against any and all claims arising out of or in connection with the License, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of One Million Dollars ($1,000,000.00) per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than One Million Dollars ($1,000,000.00). This policy shall name City, its officers, elected or appointed officials, employees, agents, and volunteers as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the License shall be deemed excess coverage and that Saddleback's insurance shall be primary. Under no circumstances shall said above-mentioned insurance contain a self-insured retention, or a "deductible" or any other similar form of limitation on the required coverage. 8. CERTIFICATES OF INSURANCE,ADDITIONAL INSURED ENDORSEMENTS. Prior to commencement of this License, Saddleback shall furnish to City certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this License; these certificates shall: a. provide the name and policy number of each carrier and policy; b. shall state that the policy is currently in force; and c. shall promise to provide that such policies shall not be canceled or modified without thirty (30) days' prior written notice of City; however ten (10) days' prior written notice in the event of cancellation for nonpayment of premium, which 10-day notice provision shall not apply to any property insurance referenced herein. Saddleback shall maintain the foregoing insurance coverage in force during the entire term of the License or any renewals or extensions thereof or during any holdover period. The requirement for carrying the foregoing insurance coverage shall not derogate from Saddleback's defense, hold harmless and indemnification obligations as set forth in this License. City or its representatives shall at all times have the right to demand the original or a copy of any or all the policies of insurance. Saddleback shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. Saddleback shall provide a separate copy of the additional insured endorsement to the Saddleback's insurance policies, naming the City, it's officers, elected and appointed officials, employees, agent and volunteers as Certificate Holder and Additional Insured by separate attached endorsement, to be approved prior to any payment hereunder. 9. CITY'S AUTHORITY TO CLOSE THE PREMISES. 4 26-18048/417277 City may close the Premises without liability and without advance notice to Saddleback therefore at any time as City in its sole discretion deems necessary for the protection of life, limb or property, or for public health, safety or welfare purposes, or upon reasonable notice to effect any repair, remodeling or rebuilding deemed necessary by City in its sole discretion. 10. MODIFICATION. No waiver or modification of any language in this License shall be valid unless in writing and duly executed by both parties. 11. ATTORNEY'S FEES. In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this License or to secure the performance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the non-prevailing party. 12. GOVERNING LAW. This License shall be governed and construed in accordance with the laws of the State of California. 13. NON-POSSESSORY INTEREST. City retains full possession of the Property and Saddleback will not acquire any title or possessory interest, whether temporary, permanent, or otherwise by reason of this License, or by the exercise of the permission given herein. Saddleback will make no claim to any such interest and Saddleback will not claim that it has or ever had an irrevocable license in the Property. 14. ASSIGNMENTS. This Agreement is personal to Saddleback, and Saddleback will not assign, transfer or sell this Agreement or any privilege hereunder in whole or in part, and any attempt to do so will be void and confer no right on any third party. The parties acknowledge and agree that they are entering into this License freely and voluntarily following extensive arm's length negotiations, and that each has had the opportunity to consult with legal counsel prior to executing this License. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party, or anyone acting on that party's behalf, which are not embodied in this License, and that that party has not executed this License in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this License. The License, and the attached exhibits, contain the entire agreement between the parties respecting the subject matter of this License, the Premises, the use of the Premises by Saddleback, or the License term created under this License, and supersede all prior understandings and agreements, whether oral or in writing between the parties respecting the subject matter hereof IN WITNESS WHEREOF, the parties hereto have caused this MOU to be executed by and through their authorized officers on Arch 72026. POLYSTYRENE (STYROFOAM) POLICY: • No utilization and/or distribution of expandable polystyrene products (commonly referred to by the trade name "Styrofoam") by any attendee or vendor including, but not limited to, caterers, entertainment, and rental equipment is allowed. If said product is used during your event, your deposit will be forfeited in full. Resolution 2005-1; Section 2; January 3, 2005: Excerpt. MUSIC/AMPLIFIED SOUND: • The provisions of Municipal Code Chapter 13.48.080 must be adhered to in the use of public spaces. • No person shall maliciously or willfully disturb the peace or quiet of a park or of any person therein, by loud or unusual noises, or by indulging in riotous, boisterous, threatening, indecent or offensive conduct, or by using abusive, profane, indecent or vulgar language. No person shall, within any park, disturb in any manner any picnic, meeting, services, concert, exercise or exhibition. No person shall play or utilize any sound-amplifying system within or upon any park or facility not set aside for such purpose by the City Council or the Director of Community & Library Services. • Any person violating any provision of this chapter shall, upon conviction thereof, be guilty of a MISDEMEANOR and subject to a fine of not more than five hundred dollars ($500) or to be imprisoned in the City or County jail for a period not to exceed three (3) months, or both such fine and imprisonment. • If music and/or sound can be heard outside the perimeter of your group, this is an indication that music and/or sound are too loud and must be turned down. Please be considerate of surrounding homes, businesses, and park patrons. Event must conclude and music must be turned off no less than one-hour prior to end of reservation time. • There should be no adjustments made to the center's audio/visual systems by the rental applicant. Only Senior Center staff are allowed to adjust/work on the center's AN systems. • Violations of the above-mentioned rules will result in the forfeiture of your rental deposit in full. NO SERVING OF ALCOHOL: • If alcohol is found in or around the facility, it will result in immediate termination of the event and the forfeiture of all fees and deposits in full. The police will be called and your event will be shut down immediately. Facility must be cleaned to its original condition and vacated by the end time on your application. • A Huntington Beach business license is required for all vendors providing a service for the event. • Building curfew: Sunday —Thursday 10:00 p.m., Friday and Saturday 11:00 p.m. (including the caterer). • Kitchen is to be used only by caterers approved by the City of Huntington Beach who have the required liability insurance and a Huntington Beach business license. All food must be removed from the kitchen upon conclusion of the event. • For storage, one fridge and one freezer will be available for use. • Food is not permitted in the Game Room, Dance Room, and Hallways. • Balloons inflated with helium are prohibited in the facility. No rice, birdseed, confetti, or other similar items shall be thrown on or around the facility. • If the facility is not left in good order by the time specified on your application, you will be charged double the hourly rate and staff fee for at least one hour or forfeit the security deposit. • Rented tables and chairs must be removed at the end of the event. Patron is responsible for set up/take down of all rental equipment not provided by the city. If furniture or the original setup needs to be adjusted, it should only be done by Senior Center staff to avoid damage to the facility. • Provided tables/chairs must remain inside the facility. Tables provided are rectangular and/or circular. Table coverings may be required depending on the type of event and/or room reservation. • Permits will only be issued to persons 21 years of age and over. The person signing the application must be present at the event. • An adult chaperone (21 years) is required for every 25 children at youth events. • The facility must be cleaned and left in good condition prior to the end time on the application. Clean up is the applicant's responsibility and includes clearing of all table tops, the lounge bar, ensuring chairs are clean, removing all trash from floors and disposing all trash into proper receptacles, removing all decorations and personal belongings. • The caterer is responsible for cleaning the kitchen. Counter tops and kitchen equipment must be wiped clean including all spillage in refrigerators, freezers, ovens, and burners. All equipment and items owned and/or leased (non- City owned) must be removed from the premises. • The security deposit will be reduced if the cost to clean the facility exceeds the amount of the cleaning charge. • Smoking is not allowed in the facility, on the patio, and within 20-feet of all entrances. • Fire, open flame, sparklers, incense, fog, hazer or smoke are not permitted in or outside the facility at any time. • Animals are not permitted in the facility with the exception of service animals (animals trained to do work or perform tasks for people with disabilities) are permitted. • Lawn is for wedding ceremony use only. • No tents or canopies allowed. No person over the age of five years shall use the restrooms and washrooms designated for the opposite sex. • Sanitation: Have brought in or shall dump deposit or leave any bottles, broken glass, ashes, paper, boxes, cans, dirt, rubbish, waste, garbage or refuse, or other trash. • Vending and Peddling: Expose or offer for sale any article or thing, nor shall he station or place any stand, cart or vehicle for the transportation, sale or display or any such article or thing. • Advertising: Announce, advertise or call the public attention in any way to any article for sale or hire. Refund Policy: • The security deposit will be refunded if the facility is left in clean and orderly condition and all reservation policies are followed. The $5.00 alcohol filing fee is non-refundable. • In the event of damage in violation of Municipal Code Chapter 13.48, 9.22 and 13.52, the applicant will be liable for expenses required to repair or replace the facility, its furnishings, and equipment to its original condition. • The refund will be issued four (4) to six (6)weeks after the event through the original form of payment. Cash payments will be refunded by check. Cancellation Policy: • Any request to change times, dates, or to cancel a reservation must be made no later than thirty (30) days prior to the event.
